RESOLUTION
AUTHORIZING ACCEPTANCE OF A GRANT OF TEMPORARY SEWER EASEMENT
FROM FIRST AMERICAN BANK AND BAILEY DEVELOPMENT, L.L.C.
(Graber and Bailey Parcels - Gifford Road)
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that it hereby accepts a grant of temporary sewer
easement from First American Bank, not personally, but solely as
successor trustee to First American Bank of Kane County, as Trustee
under Trust Agreement Dated December 21, 1988 and Known as Trust
No. K88-055, and Bailey Development, L.L.C. for the property
legally described on Exhibit C of the attached Grant of Temporary
Sewer Easement, a copy of which is attached hereto.

GRANT OF TEMPORARY SEWER EASEMENT
THIS GRANT OF TEMPORARY SEWER
EASEMENT ("Agreement") made as of the 8th day of
January, 2003, by and between First American Bank, as
successor trustee to First American Bank of Kane
County, not personally, but solely as Trustee under Trust
Agreement dated December 21, 1988 and known as Trust
No. K88-055 (hereinafter referred to as the "Grantor") and
Bailey Development, L.L.C., an Illinois limited liability
company(hereinafter referred to as the "Grantee").
WITNESSETH:
WHEREAS, Grantor is the record owner of the
property situated in the City of Elgin, State of Illinois, more
particularly described on Exhibit "A" attached hereto and
made a part hereof(the "Property").
WHEREAS, Grantee is the record owner of property lying to the north of the Property
more particularly described on Exhibit "B" attached hereto and made a part hereof("Grantee's
Property"). •
WHEREAS, Grantee is desirous of being granted and Grantor is desirous of granting to
Grantee an easement across a portion of the Property for the purpose of the construction and
installation of an underground sanitary sewer line.
To that end, the parties hereto agree as follows:
1. Grant of Easement. Grantor hereby grants to Grantee a temporary non-exclusive fifty
(50) foot easement on, under and across that portion of the Property more particularly identified
on Exhibit "C" attached hereto and made a part hereof and as depicted on the drawing attached as
Exhibit "D" ("Easement Area") hereto and made a part hereto, for the purpose of the
construction and installation of an underground sanitary sewer line. Said easement is for the use
and benefit of the Grantee's Property.
2. Repair and Maintenance. Grantee shall perform, at its sole cost and expense, any
construction and installation of said underground sanitary sewer line and Grantee shall perform
such construction and installation in such commercially reasonable manner so as to minimize
interference with the use of Grantor's property.
3. Use of Easement Area. Grantor shall not construct any building or structure on or use
or allow the Easement Area to be used in such a manner as will interfere with Grantee's exercise
of the rights granted by this Agreement. Grantee shall have the right, from time to time, to trim
trees,bushes and/or clear obstructions from the surface and sub-surface as may be reasonably
necessary to exercise the rights granted herein.
4. Term of Easement. It is understood that the Easement rights herein shall terminate on
the sooner of(a) two (2) years form the date hereof or(b) upon completion of the above-
mentioned construction and installation of the underground sanitary sewer line.
5. Indemnity. Grantor and Grantee hereby expressly agree to defend, hold harmless and
indemnify the other party respectively from and against any and all claims, costs, damages,
expenses, judgments and liability resulting from each party's respective negligence or willful
misconduct.
6. Binding on Successors. This Agreement shall be binding upon the parties hereto and
their respective heirs, successors and assigns and shall run with the land.
7. Counterparts. For convenience, this Agreement may be executed in any number of
counterparts, each of which shall be deemed an original and all of such counterparts when taken
together shall constitute but one and the same document which shall be sufficiently evidenced by
such executed counterparts.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day
and year first above written.

Exculpation of Trustee
It is expressly understood and agreed by and between the parties hereto,
anything herein to the contrary notwithstanding, that each and all of the warranties,
indemnities, representations, covenants, undertakings and agreements herein made
on the part of the Trustee,while in form purporting to be the warranties,indemnities,
representations,covenants,undertakings and agreements of First American Bank as
said Trustee, are nevertheless each and every one of them,made and intended not as
personal warranties, indemnities, representations, covenants, undertakings and
agreements by First American Bank or any of its directors, officers, employees, or
shareholders or for the purpose or with the intention of binding First American Bank
or any of its directors, officers, employees, or shareholders personally but are made
and intended for the purpose of binding only that portion of the trust property
specifically described herein, and this instrument is executed and delivered by First
American Bank not in its own right,but solely in the exercise of the powers conferred
upon it as such Trustee, and no personal liability or personal responsibility is

permitted assigns, shall have any benefits, rights, or remedies by reason of such
warranties, indemnities, representations, covenants, undertakings and agreements
herein made on the part of the Trustee. Nothing herein shall be deemed to be a
waiver of any right which Mortgagee may have under sections 506(a),506(b),1111(b)
or any other provision of the Bankruptcy Reform Act of 1978, as at any time
amended or reinstated, to file a claim for the full amount of the debt owing to
Mortgagee in the event Mortgagor or its beneficiary should become the subject of a
petition for bankruptcy or reorganization or to require that all collateral shall continue
to secure all of the indebtedness owing to Mortgagee in accordance with the
documents and instruments creating,securing,or otherwise governing the obligations
secured by this instrument.

SUBJECT: Acceptance of Grant of Easements for Constructing
Public Sanitary Sewer Along Gifford Road
PURPOSE
The purpose of this memorandum is to provide the Mayor and
Members of the City Council with information to consider the
acceptance of easements for the purpose of constructing and
maintaining public sanitary sewer.
BACKGROUND
Bailey Development, LLC, is the owner and developer of property
located approximately 700 feet north of the intersection of
Gifford Road and Spaulding Road along the East side of Gifford
Road. The property is generally known as Concrete Specialties
and is addressed as 1375 Gifford Road. The parcel number for
the property is 06-30-400-012 .
The First American Bank of Kane County, as a trustee, owns the
property immediately south of subject property, with parcel
number 06-30-400-011, also generally known as Graber property.
The properties are zoned for commercial use . A location map
depicting the two parcels is attached as Exhibit A.
Currently, Concrete Specialties is served by a septic system as
the public sanitary sewer terminates at Spaulding Road or 700
feet to the south. To serve the property with public sewer, the
owner of Concrete Specialties will need to extend existing
sanitary sewer along Gifford Road up to their property.
Concrete Specialties is proposing to install an 8" sanitary
sewer in an easement along their Gifford Road frontage and the
rGraber parcel . The easements are needed so that the developer
[ can construct the sewer and the City can access, maintain,
repair and replace completed sanitary sewer. In addition, a 50
feet wide temporary construction easement has been granted along
the frontage of the Graber parcel (the Graber parcel is

undeveloped) . The sewer will also serve the Graber parcel in he
future.
Staff has received and reviewed executed mylar plats of
easements for both properties. Copies of the three easements
are attached herein as Exhibit B. Typically, any public
sanitary sewer has to be constructed within public right-of-way.
However, Gifford Road right-of-way is under Cook County
jurisdiction and the county has resisted the location of
utilities within their right-of-way. Concrete Specialties will
have the easement agreements recorded at Cook County recorder' s
office at his expenses. Recording of easements will facilitate
acceptance of sanitary sewer by the City for maintenance .

There is no cost to the City for the easements. All recording
fees and costs for easements acquisition will be incurred by
Bailey Development, LLC.
