RESOLUTION
AUTHORIZING EXECUTION OF A SERVICE CONTRACT WITH
RENZ ADDICTION COUNSELING CENTER
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Olufemi Folarin, Interim City Manager, and Dolonna
Mecum, City Clerk, be and are hereby authorized and directed to
execute a Service Contract on behalf of the City of Elgin with
Renz Addiction Counseling Center for a domestic violence
prevention program, a copy of which is attached hereto and made a
part hereof by reference .

SERVICE CONTRACT
THIS AGREEMENT is made and entered into on this Tenth day of
April, 2002,by and between the City of Elgin, Illinois, a municipal corporation, (hereinafter
referred to as"City"), and the Renz Addiction Counseling Center, an Illinois not-for-profit
corporation(hereinafter referred to as "Provider") for services of the assessment and treatment of
individuals, who abuse alcohol and/or substances and have been effected by domestic violence.
WHEREAS, City has determined that domestic violence is a serious social problem
which is destructive not only to the families directly affected by such behavior,but which is also
generally detrimental to the general safety and welfare of the citizens of City; and that the vast
majority of domestic violence incidents are highly correlated with alcohol and/or substance
abuse; and
WHEREAS, Provider provides prevention, outreach and treatment services for alcohol
and substance abuse;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein,the sufficiency of which is hereby acknowledged, the parties hereto hereby agree as
follows:
1. Provider shall furnish City reasonably competent professional treatment and
educational services for a period beginning on the date of this agreement and ending June 30,
2002,which services are more particularly described in Exhibit"A", which is attached hereto
and made a part hereof. Exhibit"B", a budget, is also attached and made a part hereof.
2. City shall pay to Provider the sum of$12,500.00 for the term of this contract in
four installments of$3,1250.00 payable within thirty(30) days of execution of this agreement.

Paymentsupon shall be made u on written request from the Provider and will be made quarterly.
Provider shall not be entitled to any payment in excess of said$12,500 pursuant to this
Agreement unless otherwise agreed by both parties hereto in writing.
3. Provider shall maintain detailed records and receipts of all services and other
expenditures provided directly and solely pursuant to City's fulfillment of the terms of this
Agreement, and shall make such records and receipts available to City for inspection and
copying upon reasonable notice.
4. The Provider shall provide appropriate case management services, including but
not limited to the continuous evaluation of client progress which leads to re-assessment and the
development of new service plans, coordination of services, or other disposition.
5. The Provider shall comply with any and all applicable labor standards imposed by
all Local, State, and Federal regulatory authorities.
6. Provider agrees that no person shall, on the grounds of race, color,national origin,
sex, age, disability, or handicapped status or religion be excluded from participating in, or be
denied the benefits of, or be subjected to discrimination under any service,program, or activities
funded with any portion of the funds received by the Provider under this Agreement.
7. City shall have the right to cancel this Agreement by written notice to the
Provider, at any time, in City's sole and absolute judgment that the Provider has failed to
perform, in City's sole judgment, in a timely fashion, any obligation of the Provider under this
Agreement. Such written notice from City to Provider shall be effective on the first day of the
month immediately following the mailing of the written notice as provided hereafter, as of which
first of the month, in such event, City shall have no further obligation under this Agreement,

whether for the payment of money or otherwise. Provider shall have the same right to cancel this
Contract by the giving of such written notice, to be effective in the same fashion, on the first day
of the month immediately following the mailing of the notice.
In the event this agreement is terminated or in the event the program for which the City
funds provided herein are to be applied is discounted or Provider ceases operations prior to
June 30, 2002,Provider shall refund to the City any unexpended funds paid by the City
hereunder.
8. This Agreement shall terminate on June 30, 2002,unless otherwise
terminated as provided herein.
9. The Provider expressly agrees to defend, indemnify and hold City as well as
City's agents, employees, and assigns,harmless against any or all claims (1) for bodily injures
(including mental health injuries or emotional distress) and property damage, or any claim,
whatsoever, arising out of any services provided by Provider under this Contract and any action
taken by Provider pursuant to this contract; (2) for violations of rights of privacy; (3) for any
liability alleged to have resulted from negligence of Provider; (4)willful acts of omissions of
Provider in providing or failing to provide service on behalf of City,whether pursuant to this
Contract or otherwise; (5) for contractual liability; and(6)workman's compensation claims of
Provider's employees.
The Provider shall procure and maintain at all times during the term of this
Agreement insurance for comprehensive general liability insurance and bodily injury liability
limits (including coverage for mental injury and emotional distress),not less than One Million
Dollars ($1,000,000)per occurrence and Two Million Dollars ($2,000,000) aggregate insuring
the Provider and City, and their officers, employees, and any volunteer while acting on behalf of

the same, against any liability set forth in paragraph A,with companies having at least an"A"
rating in the Best Guide. Provider shall provide certificates of insurance to City for all policies.
Such certificates shall state, specifically, that 10 days advance notice shall be given to City in the
event of cancellation, for whatever reason, of said policies. In the event Provider so defends and
indemnifies City, its employees, agents or assigns, counsel for such defenses shall be of City's
choosing.
10. The Provider shall promptly refund to the Purchaser:
a. Any p ayments received by the Provider as a result of any material
misrepresentation or fraud contained in any statements,written or oral,made by the
Provider or any of its agents, employees,or subcontractors to City. Provider
acknowledges that payment is made under this Contract dependent also upon the proper
staff and employees. Material misrepresentation shall
qualifications of Provider's
include,but not be limited to,the qualifications of Provider, employees, staff and their
agents. In addition,material misrepresentation shall also include the failure by Provider
to perform reasonable quality of service which is determined subsequent to payment of
Provider's fee.
If at anytime, pursuant to thisparagraph,Provider owes a refund to City, City

may set off same from any monies otherwise due from City to Provider hereunder, in
City's sole judgment.
c. City shall be entitled to all other remedies which may be available by law.
11. The terms of this agreement shall be severable. In the event any of the terms or
provisions of this agreement are found to be void or otherwise unenforceable,the reminder of
this agreement shall remain in full force and effect.

12. This agreement shall not be deemed or construed to create an employment,joint
venture,partnership or other agency relationship between the parties hereto.

EXHIBIT A
Renz Addiction Counseling Center(or Renz Center) agrees to provide assessment,
treatment planning and treatment services to individuals who are determined to abuse or be
dependent on alcohol and/or drugs and who has been involved in domestic violence. These
services may include,but may not be limited to, individual assessment,treatment planning
meetings, individual counseling, group counseling and family counseling. Family and/or
additional significant others may also receive family counseling.
Renz Addiction Counseling Center also agrees to provide educational presentations about
alcohol and substance abuse and domestic violence.
Renz Addiction Counseling Center agrees to provide semi-annual reports to the City
regarding the treatment services and the prevention activities provided by Renz Center staff.

SUBJECT: Purchase of Service Agreements
for a Domestic Violence Grant
PURPOSE
The purpose of this memorandum is to provide the Mayor and members
of the City Council with information to consider entering into
three Purchase of Service Agreements for the Domestic Violence
Prevention Program.
BACKGROUND
In 2001, the City of Elgin received a grant from the Department of
Commerce and Community Affairs (DCCA) ($150 , 000) to address the
problem of domestic violence in the City of Elgin. A coordinator
was hired at the beginning of this year and she has negotiated on
behalf of the City with three social services agencies to provide
services to prevent and treat the problem of domestic violence . The
three agencies are the Community Crisis Center ($20, 000) , the
Children' s Home and Aid Society ($30, 000) and the Renz Addiction
Counseling Center ($12 , 500) . Each of these contracts was part of
the original grant proposal and all three are fully funded by the
DCCA Grant . The grant funds must be fully obligated before the
expiration of the grant, June 30, 2002 . These contracts will serve
to obligate these funds . The City has no obligation for any funding
at the expiration of this grant for these services .
The use of these agreements will allow the City to monitor the
contractors and make the required quarterly reports to DCCA. A
final report of the progress of each organization will be forwarded
to DCCA and the City Council .
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
The City met with Renz, the Community Crisis Center and the
Children' s Home and Aid Society to present a unified response to
Domestic Violence in the City of Elgin. The contracting with these
groups was also reviewed and approved by DCCA as part of the grant
application.

It is recommended that the City Council approve each of these
contracts .
