RESOLUTION
AUTHORIZING EXECUTION OF A LICENSE AGREEMENT WITH
AMEREN ENERGY DEVELOPMENT COMPANY
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Olufemi Folarin, Interim City Manager, and Dolonna
Mecum, City Clerk, be and are hereby authorized and directed to
execute a License Agreement on behalf of the City of Elgin with
Ameren Energy Development Company for the installation of gas
service along and across Spaulding Road, a copy of which is
attached hereto and made a part hereof by reference .

LICENSE AGREEMENT
THIS AGREEMENT, made and entered into this 8'?X4day of iE 19 t - , 2002 by and between CITY
OF ELGIN, a municipal corporation, organized and existing under the laws of the State of Illinois
("Licensor") and Ameren Energy Development Company, an Illinois Corporation ("Licensee");
WITNESSETH;
WHEREAS, Licensee is or will be the owner of the following described parcel of real estate and easement
("Benefited Parcel") commonly known as1559 Gifford Rd., Elgin, Illinois and legally described as follows:
SEE ATTACHED EXHIBIT A
WHEREAS, Licensor is the owner of certain public right-of-way commonly known as Spaulding Road,
running east and west along the north boundary of the Benefited Parcel easement; and
WHEREAS, the License Parcel is depicted on Exhibit B attached hereto and made a part hereof; and
WHEREAS, Licensee desires to install and maintain a single 16" diameter natural gas main
("Improvement") as a service connection to the benefited parcel on a portion of the License Parcel, and
across and along Spaulding Road.
NOW, THEREFORE, the parties agree as follows:
1. The Licensor hereby grants unto Licensee a license granting the licensee the right to install and
maintain the Improvement within the License Parcel as set forth in Exhibit B, across and along
Spaulding Road as set forth in Exhibit C.
The Licensee shall maintain signage being post that is 4" in diameter and 48" in height that is
directly above the Improvement identifying its location and function. The Licensee shall also
install Improvement at the crossing of Spaulding Road a minimum depth of eight (8) feet and a
maximum depth of fifteen (15) feet.
2. In consideration for this Agreement, Licensee agrees to pay to Licensor a fee of Ten and 00/100
Dollars ($10.00), due and payable when this Agreement is executed.
3. Licensee agrees to install the Improvement only as depicted on Exhibit C and in compliance with
all applicable utility and natural gas facility regulations.
4. Licensee agrees that the Improvement shall be installed and maintained pursuant to plans
approved by the city engineer of the City of Elgin and at all times in accordance with generally
accepted standards for the installation and maintenance of natural gas facilities in the City of
Elgin and in accordance with all applicable requirements of the Elgin Municipal Code, 1976, as
amended. Licensee shall at its own responsibility and expense obtain and keep in effect all
Licenses, bonds and permits necessary for the installation and existence of the Improvement.
5. Upon termination of the Agreement, Licensee agrees to remove the Improvement from the
License Parcel and the Spaulding Road right-of-way within a reasonable time period to be
mutually agreed between Licensor and Licensee at the time of termination, and restore the site to
its original condition.

6. Licensor shall in no way be responsible for loss of, or damage to, the Improvement or for any
property belonging to or rented by Licensee, its officers, servants, agents, or employees which
may be stolen, destroyed, or in any way damaged during the installation or maintenance of the
Improvement, and Licensee hereby indemnifies and holds harmless Licensor, its officers, agents,
servants and employees from and against any and all such claims.
7. Licensee agrees to and does hereby, indemnify, hold harmless, and defend Licensor, its officers,
agents, servants, for any property loss or damage and/or personal injury, including death, to any
and all persons, of whatsoever kind or character whether real or asserted, arising out of or in
connection with the existence, maintenance, use or location and responsibility of Licensor, its
officers, agents, servants and employees for such suits or claims. Licensee shall likewise
indemnify and hold harmless Licensor for any and all injury or damage to the License Parcel,
whether arising out of or in connection with any and all acts or omissions of Licensee, its officers,
agents, employees, contractors, Licensees, invitees, or trespassers. In the event of any such
action against Licensor, it's officers, agents, or servants, such action shall be defended by
counsel of the Licensor's choosing. Additionally, Licensee shall insure that any damage done to
Licensor's property whether caused by Licensee or not, shall be repaired immediately by
Licensee at Licensee's sole expense. Licensee further agrees that should Licensor be required to
repair said damage, Licensee agrees to pay the cost of repair as well as all costs and reasonable
attorney fees incurred by Licensor to properly repair said damage. Finally, The provisions of this
paragraph shall survive the termination of this agreement.
8. Licensees shall provide pay for and maintain in effect, during the term of this Agreement, a policy
of comprehensive general liability insurance written in occurrence form with limits of at least
$1,000,000.00 per occurrence and $1,000,000.00 annual aggregate for bodily injury including
death and $1,000,000.00 per occurrence and $1,000,000.00 annual aggregate for property
damage.
Licensee shall deliver to the Licensor a Certificate of Insurance naming the Licensor as additional
insured. The policy shall not be modified or terminated without thirty (30) days prior written notice
to the Licensor.
The Certificate of Insurance, which shall include contractual obligations assumed by the Licensor
under paragraph 7 shall be provided.
This insurance shall apply as primary insurance with respect to any other insurance or self-
insurance programs afforded to the Licensor. There shall be no endorsement or modification of
this insurance to make it excess over other available insurance, alternatively, if the insurance
states that it is excess or prorate, it shall be endorsed to be primary with respect to the Licensor"
9. This License is personal to Licensees. This license is assignable with the approval of the licensor
and such approval shall not be unreasonably withheld..
10. Licensee agrees that should any action, whether real or asserted, at law or in equity, rise out of
the terms of this Agreement, or by Licensee's operations on the License parcel, venue for said
action shall lie in Kane County, Illinois.
11. In any action brought by Licensor for the enforcement of the obligations of Licensee, Licensor
shall be entitled to recover interest and reasonable attorney's fees.
12. Licensee agrees to provide for recordation of this Agreement at its own expense and to provide
proof of such recordation to Licensor.
13. This License may be terminated by the city in the following instances:

a. Upon Licensee ceasing utilization of the Licensed premises for a period of one hundred
eighty (180) days.
b. Upon the City of Elgin ceasing utilization of the Licensed Premises as a public right of
way
c. In the event the Licensee breaches a material term of this Agreement, and fails to initiate
a cure for such breach within thirty (30) days of written notification from the city.
d. In the event of a final order by a court of competent jurisdiction voiding this License.
IN WITNESS WHEREOF, the parties have caused this agreement to be Executed by the City Manager
and City Clerk of the City of Elgin and Ameren Energy Development Company, by its Vice President and
Assistant Secretary.

SUBJECT: Ameren Energy Licensing Agreement - Gas Service
PURPOSE
The purpose of this memorandum is to provide the Mayor and members
of the City Council with information relating to the installation
of natural gas service across and along Spaulding Road.
BACKGROUND
In 2001, the City Council approved Ameren Energy' s request to
construct an electrical power generating facility on Gifford Road,
south of Spaulding Road. The facility requires natural gas to
produce the electricity. In order to get gas service to Ameren a
16" diameter pipe must be extended along Spaulding for several
hundred feet and then cross Spaulding to an easement Ameren has
acquired.
The attached license agreement authorizes Ameren to extend the gas
service from the Com Ed right-of-way parallel to the centerline of
the road, then to cross Spaulding Road to their easement . In
exchange for permission to do so, this agreement obligates Ameren
to a variety of improvement, maintenance, and insurance
responsibilities . The license agreement requires plan approval
for this utility and said plans will include restoration of the
parkway and pavement . Ameren will pay for all installation and
restoration costs .

It is recommended that a license agreement which allows for the
