BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Ed Schock, Mayor, and Dolonna Mecum, City Clerk, be and are hereby authorized and directed to execute an easement agreement for storm sewer purposes from Sherman Health Systems, Inc . for the property legally described on Exhibit A, a copy of which is attached hereto. SHS EASEMENT AGREEMENT THIS EASEMENT AGREEMENT made and entered into this ? day of , 2004, by and between Sherman Health Systems, Inc . , an Illinois corporation (hereinafter referred to as "Grantor" ) and the City of Elgin, an Illinois municipal corporation, (hereinafter referred to as the "City") . WITNESSETH WHEREAS, Grantor is the owner of a tract of real property located in the City of Elgin and legally described as in Exhibit A attached hereto ( "Grantor ' s Parcel " ) ; and WHEREAS, Grantor has previously dedicated a portion of property from Grantor ' s parcel for roadway purposes now commonly known as Capital Street (the "Roadway Parcel" ) ; and WHEREAS, the City has requested and Grantor has agreed to grant the city a drainage easement to allow for stormwater runoff from the Roadway Parcel to be discharged onto certain portions of Grantor ' s parcel . NOW, THEREFORE, for and in consideration of the mutual promises, agreements and undertakings as set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows : 1 . That Grantor does hereby grant to the City a non-exclusive easement ( "Drainage Easement " ) to allow for the flow of stormwater collected from that portion of the Roadway Parcel lying adjacent to Grantor ' s Parcel to be discharged 2O01K411645 through a Pipe extending from Roadway Parcel, under and below the surface of that portion of the Grantor' s Parcel legally described and depicted on Exhibit "B" attached hereto (the "Easement Parcel") . Such grant of Drainage Easement parcel to the City shall include the right of the City to install, maintain, repair, replace, service, remove or upgrade a storm sewer pipe from the westerly edge of the Roadway Parcel to the western terminus point of the Easement Parcel so as to cause all drainage and flow of storm water emanating from the Roadway Parcel to drain through the Easement Parcel to the westerly edge of the Grantor' s Parcel and to be discharged onto the land lying to the west of Grantor' s Parcel . Such storm sewer pipe installation in the Easement Parcel shall be performed byCity the in substantial conformance with the drawing attached hereto as Exhibit "C" and made a part hereof by this reference. 2 . That following the exercise by the City of any easement rights granted herein, the City shall promptly repair and restore the Easement Parcel- to the same condition as • existed immediately prior to the exercise of such rights as is reasonably practicable and shall leave the Easement Parcel and the surrounding areas of Grantor' s Parcel free from debris . 3 . That the City hereby covenants and agrees that it shall at all times construct, maintain and operate the drainage system and facilities within the Easement Parcel in such a manner as to prevent the occurrence of, and shall indemnify, defend and hold Grantor and Grantor' s heirs, -2- 2oo1 'KI 1 1 645 successors, grantees and assigns, harmless from and against any and all liability, loss, damages, costs and expenses arising out of or in connection with (i) the development of any Ponding on the Easement Parcel or on any other portion of the Grantor' s Parcel and (ii) any reasonable action taken by Grantor to eliminate or ameliorate any such Ponding on the Easement Parcel or any other portion of Grantor ' s Parcel following demand by Grantors to the City to take such action and failure by the City to do so . The Grantor shall promptly notify the City of any alleged breach by the City of its covenants and obligations under this Easement Agreement and, thereafter, the City shall promptly take such reasonable actions as may be necessary to correct or eliminate such breach (including, without limitation, such reasonable actions as may be necessary to eliminate any Ponding which may occur or be likely to develop by reason of the exercise by the City of its easement rights hereunder) . Should the City fail to take corrective action within ninety (90) days following the date of such notice then the Grantor- shall have the right to take such action on its own and to obtain indemnification from the City as provided herein. The covenants of indemnification on the part of the City running in favor of the Grantor shall survive the termination or expiration of this Easement Agreement . 4 . That the City hereby agrees to indemnify and hold Grantor and their successors harmless from any damages or claims directly arising as a result of the City' s work in -3- 2oo1K01I645` the Easement Parcel during construction or during any subsequent maintenance or repair thereof by the City. The City further agrees to indemnify and hold Grantor and their successors harmless from any damages or claims arising as a result of the City' s drainage of stormwater from the Roadway Parcel through the Easement Parcel and onto adjacent lands and "down-stream" properties, including but not limited to, any such claims made by owners of adjoining or down-stream properties against Grantors . The City further agrees to indemnify and hold harmless Grantor from any and all liens placed against the Grantor ' s Parcel (or Easement Parcels) arising from said construction activities . 5 . That the easement rights granted herein shall expire at the earlier of (1) such time as the storm sewer for that portion of the Roadway Parcel adjacent to Grantor' s Parcel is connected to a central storm system providing for the discharge of stormwater from the Roadway Parcel or (2) adoption of a final plat by the City which encompasses any portion of the Grantor ' s Parcel and which provides for adequate drainage of the Roadway Parcel in accordance with sound engineering principles . In the event of the termination or vacating of the easements provided herein, the City shall execute and deliver to Grantor or their successors all such releases and other instruments, in recordable form and containing such terms and conditions as Grantor shall reasonably request, to evidence the termination of said easements and the City' s rights hereunder. -4- 2001 K 0 I I 6 4 5 6 . That the Grantor and their successors shall not erect any permanent structures on the Easement Parcel nor alter or interfere with the surface drainage of water through the Easement Parcel until such time that the easements provided herein are vacated as set forth in the preceding paragraph, and Grantor has complied with any applicable laws and regulations in relation to the construction of such permanent structures . 7 . That all notices, requests, demands and other communications shall be in writing and shall be deemed to have been given when: (a) hand delivered, including delivery by messenger or courier service (or if delivery is refused, at the time of refusal) to the address set forth below; or (b) when received or refused as evidenced by the postal receipt if sent by United States Mail as certified, return receipt requested, with proper postage prepaid, addressed as set forth below) : If to Grantor: Sherman Health Systems 934 Center Street Elgin, IL 60120 Attention: President with a copy to : Douglas J. That this Agreement constitutes the entire agreement between the parties and is intended as a complete and exclusive statement of the terms of the parties agreement, and its supersedes all prior and concurrent promises, representations, proposals, negotiations, discussions and agreements that may have been made in connection with the subject matter hereof . 9 . That this Agreement shall be governed by and construed in accordance with the laws of the State of Illinois . 10 . That the City shall not assign this agreement or any interest herein or any rights hereunder without the prior written consent of Grantor. 11 . That this Agreement shall be binding upon and inure to the benefit of parties hereto and, their respective successors, assigns and grantees . 12 . That this Agreement shall be recorded by the City at the City ' s cost with the Kane County Recorder.
