RESOLUTION
AUTHORIZING EXECUTION OF A PURCHASE OF SERVICE AGREEMENT WITH
THE DOWNTOWN NEIGHBORHOOD ASSOCIATION FOR THE
RIVERFRONT MASTER PLAN DISCOVERY STUDIO
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Ed Schock, Mayor, and Dolonna Mecum, City Clerk,
be and are hereby authorized and directed to execute a Purchase
of Service Agreement on behalf of the City of Elgin with the
Downtown Neighborhood Association for the establishment of the
Riverfront Master Plan Discovery Studio, a copy of which is
attached hereto and made a part hereof by reference .

PURCHASE OF SERVICES AGREEMENT
BETWEEN THE DOWNTOWN NEIGHBORHOOD ASSOCIATION
AND THE CITY OF ELGIN FOR THE ESTABLISHMENT OF
THE RIVERFRONT MASTER PLAN DISCOVERY STUDIO
THIS AGREEMENT is made this day of , 2001,
by and between the City of Elgin, an Illinois municipal corporation (the "City") and the
Downtown Neighborhood Association, an Illinois not-for-profit corporation ("DNA").
WHEREAS, the City's Riverfront and Center City Master Plan contemplates the
development of office space within the Center City that will be known as the Riverfront
Master Plan Discovery Studio; and
WHEREAS, the Riverfront Master Plan Discovery Studio will be used for the display of
drawings, renderings and other materials related to the Center City Master Plan, and as
a meeting place for the public and various committee members to interact; and
WHEREAS, the Riverfront Master Plan Discovery Studio will serve as the office of DNA
and DNA personnel will provide staffing for the studio; and
WHEREAS, DNA estimates the cost of creating the Riverfront Master Plan Discovery
Studio to be approximately$72,950.00; and
WHEREAS, the State of Illinois, through the Illinois Department of Commerce and
Community Affairs has committed $35,000.00 to the creation of the Riverfront Master
Plan Discovery Studio and the New Century Partnership has contributed $10,000.00 to
the creation of the Riverfront Master Plan Discovery Studio; and
WHEREAS, DNA is requesting that the City contribute the balance of the funding for
the creation of the Riverfront Master Plan Discovery Studio, the balance of such funding
being $27,950.00.
NOW, THEREFORE, for and in consideration of the mutual promises and covenants
contained in this agreement, the sufficiency of which is hereby acknowledged, DNA
and the City agree as follows:
1. The City shall pay DNA the sum of$27,950.00 on or before , 2001
(the "Funds").
2. DNA shall exclusively apply the Funds to the costs of developing and constructing
the Riverfront Master Plan Discovery Studio at the Tower Building, 100 East
Chicago Street, Elgin, Illinois.
3. DNA shall provide a written report detailing the disbursement of the Funds. Such
report shall be submitted by i-rS S" ( , 2001 to the City of Elgin City
Council. The report shall include an accounting of the expenditures relating to the
development and construction of the Riverfront Master Plan Discovery Studio and
shall detail the manner in which the Funds have been disbursed.
4. The City shall have the right to review all accounting records related to the use of
the Funds. The City shall provide DNA with 72-hour notice of its intent to review
such accounting records with such review being conducted at a mutually agreeable
time to the City and DNA.
5. DNA shall address all inquiries and requests regarding the terms, obligations and
conditions of this agreement to the City's Director of Economic Development.
6. This agreement shall not be construed so as to create a joint venture, partnership,
employment, or other agency relationship between the City and DNA.
7. DNA shall indemnify and hold the City harmless from and against any and all
claims for damages, suits, causes of action or any and all other liability which may
arise out of or in connection with the performance of this agreement or other
operations as a result of any negligent actions by DNA.
8. This agreement shall be subject to and governed by the laws of the State of Illinois.
Venue for the resolution of any disputes or the enforcement of any rights arising out
of or in connection with this agreement shall be in the Circuit Court of Kane County,
Illinois.
9. The terms of this agreement shall be severable. In the event any of the terms or
provisions of this agreement are deemed to be void or otherwise unenforceable, for
any reason, the remainder of this agreement shall remain in full force and effect.
10. This agreement shall be in full force and effect upon its execution by the City and
DNA.

SUBJECT: Riverfront/Center City Master Plan
Discovery Studio
PURPOSE
The purpose of this memorandum is to present to the Mayor and
members of the City Council a request from Downtown Neighborhood
Association (DNA) for funding assistance to be directed toward the
establishment of a Riverfront Master Plan Discovery Studio in the
Tower Building.
BACKGROUND
The Riverfront/Center City Master Plan calls for the development of
an office space, within the Center City to be used for the display
of drawings and materials related to the Master Plan, and as a
location for the public and various committee members to meet and
direct the implementation of these plans .
DNA estimates the cost of the project to be approximately $72, 950 .
DCCA has committed to $35, 000 and New Century Partnership
contributed $10, 000 to the project . A gap of $27, 950 remains to be
filled. DNA is requesting that the City of Elgin contribute the
$27, 950 . Upon completion, the studio space will also serve as the
DNA office . DNA personnel will staff the studio.
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
The Project Management Team for the Riverfront/Center City Master
Plan has discussed and supports the effort to develop the studio.
FINANCIAL IMPACT
This project could be funded through project number 039518, account
number 275-0000-791 . 92-32 . These funds are designated for
Riverfront Master Plan projects .

A purchase of service agreement would need to be prepared.
ALTERNATIVES
1 . Fund the request at $27, 950 .
2 . Fund a portion of this request .
3 . Deny the request for funding.
RECOMMENDATION
Staff recommends that the Mayor and members of the City Council
enter into an agreement with DNA to provide $27, 950 toward the cost
of developing a Design Studio at the Tower Building.

On behalf of the Downtown Neighborhood Association of Elgin, I hereby request
the sum of S27,950 for the development of the Discovery Studio in the 1st floor
space of the Tower Building. We have secured all of the financing needed to
complete the project, excepting the City's contribution, We are now at a point
• - _ - .. where we need to enter into contracts with the contractors, and the 3 year lease
arrangement with the William R. Stickling Foundation as previously discussed. To
that end we are requesting the following:
--$27,950.00, representing the balance that will be due on the contrator's
proposals after using the $35,000.00 DCCA grant secured by Senator
Rauschenberger and the $10,000,00 grant from NCPE;
--that the money be distributed to DNA as soon as possible, as we need it for the
initial payments to the contractors while awaiting the DCCA money;
--a confirmation in writing that the City will provide the $27,950.00 to provide to
. the Stickling Foundation, who is requesting the confirmation prior to beginning

any demolition in the space.
