The parties, in consideration of the mutual promises hereinafter set forth, hereby agree to the following: 1. TERM- This agreement will be in effect beginning January 1, 2000 and ending December 31, 2000. 2. SERVICE DESCRIPTION - The City will participate in the financial support of the transportation service described in the attached Exhibit A. Exhibit A is hereby incorporated and made a part of this Agreement. 3. REPORTING - Pace will provide to the City on a monthly basis, a report with the following: A. Number of one way trips. B. Total Vehicle service hours (provided for Dial-A-Ride service as outlined in Exhibit A of this Agreement). C. A billing for Local Share, determined as outlined in Section 4 of this Agreement. 4. LOCAL SHARE FUNDING - The City agrees to reimburse Pace monthly for the Local Share incurred in operating the service described in Exhibit A of this Agreement. The Local Share will be calculated in the following manner: A. The Total Expense of the project will be calculated by multiplying the actual number of vehicle service hours attributed to service delivered per this Agreement by the hourly rate for providing service. Operating Deficit will be defined as Total Expense less fare revenue. B. The Pace Contribution will be the lesser of 1) 75% of the actual Operating Deficit attributed to a maximum of 4,850 vehicle hours of service, 2) $2.50 multiplied by the number of one-way passenger trips, or 3) $45,233. The Pace Contribution shall be calculated monthly on a year-to-date basis to adjust for actual vehicle hours of service and ensure that the annual Pace Contribution is not depleted in advance before the end of the term of this agreement. The Local Share is the Total Expense, as described in Section 4.B.1., minus fares, minus the Pace Contribution. Charges to the City for service provided under this Agreement will not exceed $16,111. C. The City shall pay Pace within thirty (30) days of receiving the monthly bill for service costs. 2000 LSA Page 1 s City of Elgin n. - 5. AMENDMENT - This Agreement constitutes the entire Agreement between the parties hereto. Any proposed changes in this Agreement shall be submitted to Pace for its prior approval. Except for minor service changes, no modification, addition, deletion, revision, alteration or other change to this Agreement shall be effective unless and until such changes are reduced to writing and executed by the authorized representatives of parties hereto. 6. TERMINATION- This contract can be terminated upon thirty (30) calendar days written notice by Pace, if: 1) sufficient funds have not been appropriated to cover the estimated requirements by Pace or by any other agency funding the service; 2) Pace develops alternative public transportation services which, as determined by Pace will better meet the transportation needs of the public; or, 3) the City fails to make payments as required by Section 4 of this agreement. 7. FAILURE TOP .RFO M - Pace will not be responsible for any failure to provide service due to circumstances beyond the reasonable control of Pace. Pace shall make every reasonable effort to have service restored as soon as practical under the circumstances. No fees will be charged for service not performed. 8. INDEMNIFICATION- Pace agrees to and shall defend, indemnify, and hold harmless the City, and other municipalities or townships which contribute to the payment of the City's Local Share and their respective officers, agents, and employees from all and any liability, losses, costs, damage or expense, or injury to person or property, including reasonable attorneys fees, and other reasonable costs of defense, arising out of or resulting from this Agreement or from the services provided or to be provided under this Agreement. The applicable fares listed above are defined as follows: The Reduced Fare category includes children ages 7-11, senior citizens age 65+, and persons with disabilities who have an RTA Reduced Fare Card or an RTA ADA Paratransit Services card, and students(high school or younger with proper identification)traveling to/from school only, during school hours. Children under the age of 7 can only ride when accompanied by a fare paying passenger. Parker, City Manager SUBJECT: City Support for PACE Dial-A-ride Service PURPOSE The purpose of this memorandum is to transmit a request from PACE, the suburban bus service, for 2000 support of the Dial-A-Ride Program. BACKGROUND PACE provides Dial-A-Ride service in Elgin and the surrounding area. This service is available to senior citizens age 65 and over and persons with a disability. Service is available only with a 24-hour advance reservation and only in the morning and afternoon, rft. Monday through Friday. The Dial-A-Ride service goes beyond the requirements of the ADA. In January of 1994, the City Council approved a one-year agreement with PACE for the City to provide a local share for Dial-A-Ride . This resulted from the City being approached by Elgin Township officials who were unable for financial reasons to continue the support for the service. Elgin Township had only been supporting the program since 1993 . Prior to that, the service was part of the City-provided bus service. Around the area, municipalities pay the local share of the Dial-A-Ride services as opposed to townships . Cost estimates provided by PACE show the program costing $79, 007, with revenue covering 22 . 3%, PACE subsidizing 57 . 3%, and the City requested to cover 20 . 4% . COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED The Fox Valley Center for Independent Living has indicated this service provides a critical link for residents to maintain their independence. FINANCIAL IMPACT Olt& The City' s share is a maximum of $16, 111, and will be paid out of eft' the General Fund, Non-Departmental account (account number 010- 6902-719 . 30-99) . ALTERNATIVES The City could choose not to fund the Dial-A-Ride program. RECOMMENDATION The requested subsidy is a maximum amount of $16, 111 . The program provides a service for residents without an alternative means of transportation. It is recommended the local share agreement be approved. Also enclosed is a Cost Estimate Worksheet showing projected costs and ridership for year 2000. Your current Local Share Agreement expires on December 31, 1999. In order to ensure that your ruk dial a-ride project can continue, uninterrupted, beginning January 1, 2000, the new agreement should be fully executed and all four copies returned to Pace no later than Wednesday, December 29, 1999. I also want to take this opportunity to inform you about organizational changes at Pace. The Paratransit Department is now part of the Revenue Services area which also includes fixed route and vanpool services. It is our hope that by combining these areas we will be able to achieve greater efficiencies and provide better service to our constituents.
