Ordinance No. G100-85
AN ORDINANCE
GRANTING CERTAIN RIGHTS TO AMERICAN DISTRICT TELEGRAPH COMPANY
FOR THE INSTALLATION AND MAINTENANCE OF AN ALARM CONTROL SYSTEM
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS:
Section I. That American District Telegraph Company, of Illinois, with its
offices at 205 North York Rood, Elmhurst, Illinois (hereinafter referred to as ADT) is
hereby granted on exclusive license to install and maintain an ADT 2016 Alarm Monitor-
ing System with o capociity of 1000 circuits.
Section 2. That the system herein authorized shall be substantially as depicted
in Exhibit A attached hereto and mode a part hereof by reference.
Section 3. That ADT shall be solely responsible for the installation and mainte-
nance of the alarm system in a safe and proper working order and shall repair or correct
any defect or malfunction to the system promptly upon receipt of notice from the City
of Elgin of any defect or malfunction. The City of Elgin, its officers, agents and
employees, shall not be responsible for any maintenance or repair to the system and shall
not undertoke such maintenance or repair.
Section 4. That the City of Elgin shall be responsible for monitoring the system
and for dispatching personnel in response to alarms received on the system.
Section 5. That ADT shall convert existing circuits to the alarm monitoring
system without cost to the subscriber.
Section 6. That ADT shall install and maintain equipment approved by Under-
writers' Laboratories, Inc. including the following:
One (I) ADT 2016 Alarm Monitoring Board
One (1) Standby Power Supply
Section 7. Thai ADT shall reserve all necessary alarms/circuits for use by the
City of Elgin at no charge.
Section 8. That ADT shall furnish maintenance service as described above on a
24 hour, seven day a week schedule.
Section 9. That installation charges and monthly service charges shall be in
accordance with the following:

Installation Fee: $75.00 per circuit
Subscriber Rate: $11.50 per month except that no charge
shall be mode to the City of Elgin
Section ID. That telephone line current requirements shall be in reverse polarity
mode and each subscriber or applicable security company shall provide any necessary
equipment. In the event that ADT furnishes and installs the required relay, subscribers

shall be charged a fee of the prevailing rote but not to exceed $250. Any Illinois Bell
Telephone Wire facility charges shall be the responsibility of the subscriber.
Section II. That within 30 days following the close of eoch three month period
ADT shall pay to the City of Elgin the sum of seven dollars (SLOWfor each month for
each subscriber during the preceding three month period, other than the City of Elgin.
Section 12. That other than with respect to claims, demands, suits, damoges,
judgments, costs or expenses arising from the performance or nonperformance by the
City, of its responsibilities under Section 4 hereof, ADT shall, at its own expense, defend
all claims, demands or suits resulting from the use or maintenance of the alarm monitor-
ing system herein authorized and ADT shall agree to save and hold harmless the City
from any and all claims, demands or suits and from any and all damages, judgments, costs
and expenses of any kind which may arise from the use or maintenance of the alarm
monitoring system herein authorized. ADT is self-insured up to an amount of
$2,000,000. In oddition thereto, ADT will name the City of Elgin as additional insured on
o policy in the amount of $5,000,000 in excess of the self-insurance retention. Said
policy shall be filed and maintained with the City Clerk. This section shall not apply to
connections furnished for use of the City of Elgin without charge as provided in Section 7
thereof.
Section 13. That within 30 days following the passage of this ordinance, ADT
shall occept the terms of the franchise granted herein by filing with the City Clerk on
unconditional acceptance thereof, duly executed in the manner provided by low; sold
franchise shall not be assignable without the consent of the corporate authorities of the
City of Elgin.
Section 14. That this ordinance shall be in full force and effect from and after
the dote of filing by ADT of its unconditional written acceptance of this ordinance with
the City Clerk.
Section 15. That the franchise herein granted to ADT shall continue for a period
of five years beginning January I, 1986; that thereafter it shall be renewed automatically
for successive terms of one year, unless either party shall terminate the same by giving
the other party written notice of its intent to terminate not less than 180 days prior to
the end of the same term.
Section 16. That ordinance G36-79 passed May 9, 1979 as amended by Ordinance
G3-80, passed January 9, 1980, be and are hereby repealed.
Section 17. That this ordinance shall be in full force and effect from and after
January I, 1986.

Note: In addition this list includes all equipment and components required under
Paragraph 9. Specifications and Description in the request for Proposal . The above
referenced IBM Computer system and associated accessories may be substituted at the
time of installation for an acceptable substitute. The system may have either dual
alarm receivers, or a single receiver with an optional remote command center. In
addition to the dual serial ports, one parallel port is available for a standard
line printer.

SUBJECT: Burglar & Fire Alarm Service Contract With American
District Telegraph Co. (A.D.T. )
Due to the unacceptable level of service that A.D.T. provided to the City
Of Elgin throughout the past year, I recommend the City not renew it's
contract with A.D.T. for burglar & fire alarm monitoring service.
During the past year, the City Of Elgin Emergency Communication Center has
experienced several serious problems as a result of A.D.T. alarm equipment
malfunctions, and A.D.T. 's inability to satisfactorily identify the causes
of the malfunctions and correct them. The Communication Center also
experienced numerous additional problems due to A.D.T. 's overall poor
service (i.e. disconnecting fire alarms that should not have been
disconnected, failure to notify service technicians for repairs in a timely
manner, very poor or no follow up by management on problems that were
reported to them, repairs not made in a timely manner due to inadequate
inventory of spare parts or insufficient number of properly trained service
technicians, etc. ) . A few of the more serious problems that we have
experienced are summarized below.
On three separate occasions, the A.D.T. Alarm Monitoring Panel in the
Communication Center failed to activate when fire alarm signals were sent
to it. On one of these occasions, the fire alarm signal was sent from a
local hospital that had an actual fire. The alarm panel at the hospital
had been activated, however the A.D.T. Alarm Panel in the Communication
Center failed to activate during the fire. As a result, personnel at the
hospital had to telephone the Fire Department for assistance. Needless to
say, there was a delay in dispatching fire equipment to the fire. A.D.T.
told me they were unable to determine what caused these problems to occur.
I insisted that A.D.T. further investigate the cause of the problem so
corrective measures could be taken to prevent the problem from reoccurring.
A.D.T. could not determine a cause, nor could they assure me that this
problem would not occur again in the future.

A.D.T. then decided to replace the existing alarm monitoring panel in the
Communication Center. A.D.T. told me that a used, but newer model of alarm
monitoring panel would be installed as a replacement. I was also told that
the newer model alarm panel would operate exactly like the old one. They
assured me that it would not be necessary to train my personnel on it's
operation.
A.D.T. installed a used condition, different model, replacement alarm
monitoring panel in the Communication Center. I later learned that this
model alarm panel was older and less reliable than the alarm panel that was
replaced. The alarm panel did not operate anything like our previous alarm
panel. The A.D.T. service technician installed the replacement alarm
panel, briefly explained it's operation to two communication operators, and
left. A.D.T. did not provide us with an operating guide or training
manual. Subsequently, communications personnel experienced problems and
difficulty in operating the panel due to a lack of training. The next day
when I became aware of the problem, I spoke with the A.D.T. service
technician and requested that A.D.T. provide us with an operating guide or
training manual. I finally received an operating guide approximately six
weeks later, only after we made several more requests for it.
The replacement alarm panel was installed in April, 1991. A short time
later, I became aware that this panel was also experiencing malfunctions.
On numerous occasions (a minimum of 30 documented) , an alarm which had
activated and displayed on our alarm monitoring panel, suddenly disappeared
off the panel.
Normally, on a properly working Communication Center alarm panel, an
activated alarm continues to display on the alarm panel until it is reset
from the location where it originated. Then, the alarm panel in the
Communication Center reactivates, displays a "secure" condition, and the
alarm no longer displays on the alarm panel.
In the incidents we experienced, the activated alarms had not been reset.
They should have continued to display on our alarm panel, however they
simply disappeared from the alarm panel. A.D.T. was notified numerous
times about this malfunction. A.D.T. has not been able to identify the
cause of the problem, nor have they taken corrective measures to prevent
the problem from reoccurring.
On five other occasions, the A.D.T. Alarm Monitoring Panel in the
Communication Center "seized-up" (completely stopped operating) , and as a
result, we were not able to monitor any alarm activations coming into the
panel. Incidentally, this problem occurred on the replacement alarm
monitor panel. On each of these five occasions, the alarm monitoring panel

in the Communication Center was completely out of service for a period of
time ranging from 2 1/2 - 4 1/2 hours. If any fire or burglar alarms
activated during that period of time, we were not aware of it. The
liability and consequences of a malfunction of this magnitude could be
devastating. Fortunately, it appears we did not receive any activations
during these malfunctions.
Again, A.D.T. was not able to determine what caused these malfunctions. It
took A.D.T. approximately 3 weeks to somewhat resolve the problem by
experimenting with the replacement of several different parts. Even then,
A.D.T. did not determine the cause of the malfunction, so they were not
sure they had resolved it. It appears that it has been resolved; we have
not experienced this type of malfunction since then.
In summary, the level of service that A.D.T. provided to the City of Elgin
during the past year was not, and is still not acceptable. The
malfunctions that were experienced by the Emergency Communication Center
were very serious problems, which could have had more serious consequences
than they did. On too many occasions, A.D.T. was unable to determine what
caused their equipment to malfunction, nor did they take appropriate
corrective measures to prevent problems from reoccurring. In addition to
some of the serious problem which I have discussed, there have been
numerous, less serious problems with A.D.T. , and an overall lack of
professional, quality service throughout the past year.
I have experienced more problems with A.D.T. during the past year, than I
experienced over a 12 year period with another alarm service company
(National Guardian) , while at my previous place of employment. I strongly
recommend the City Of Elgin not renew it's contract for burglar and fire
alarm monitoring service with A.D.T.

Manager for the Hoffman Estates Police Department. We presently
utilize National Guardian as our alarm board service. To the
best of my knowledge, they have been our alarm board service for
the past several years.
My personal dealings with them have always been positive. Calls
for service are maintained at a minimum, they are quick to
respond, and can be counted upon to remedy problems on their
first visit.
I have no problem recommending them as an alarm service. Please

Dear Lori;
Our agency has utilized National Guardian Alarm Systems monitoring
equipment for over 12 years. As recent as 3 years ago exclusively
contracting their services for same.
The services and cooperation afforded us by National Guardian is
exceptional. Repairs to the system are nearly non-existent.
I would recommend their system to any Law Enforcement agency so

Southwest Central Dispatch has been a monitoring station for
National Guardian Alarm Systems since our inception, July 1986.
We have not encountered any problems with their service or
reliability. If we have needed service on any of the equipment,
the service call has always been completed quickly and
professionally. Requests for supplies, such as paper, ribbons
etc, are expedited.
