Beck PAGES: 16 City of Elgin C� Legal l Dexter Depar Court ent Elgin IL 60120-5555 EASEMENT AGREEMENT THIS EASEMENT AGREEMENT made and entered into this 25th day of January , 2017 by and between the City of Elgin, an Illinois municipal corporation, (hereinafter referred to as the "City"), and Target Corporation, successor to Dayton Hudson Corporation, a Minnesota corporation(hereinafter referred to as the "Grantor"). WITNESSETH WHEREAS, Grantor owns the real property depicted on the Plat of Easement prepared by Hampton, Lenzini and Renwick, Inc., dated, October 1, 2015, attached hereto as Exhibit A and incorporated herein by this reference, said property commonly known as 300 South Randall Road, Elgin, Illinois, and having Permanent Index Number 06-20-227-003 (hereinafter referred to as the "Subject Property"); and, WHEREAS, the City desires to obtain a permanent easement from the Grantor for the purposes of constructing, maintaining, operating and repairing sewer lines over that portion of the Subject Property depicted by the area designated "Perm. Sanitary Sewer Easement#2" on the above-referenced Exhibit A,as the same is legally described on said Exhibit A(hereinafter referred to as the "Easement Premises"); and, WHEREAS, the City further desires to obtain a temporary construction easement from the Grantor, for the purposes of constructing said sewer line, over that portion of the Subject Property depicted by the area designated "Temp. Construction Easement#2" on Exhibit A, as the \V) - 1 - 69 same is legally described on said Exhibit A(hereinafter referred to as the"Temporary Construction Easement Premises"); and, WHEREAS, Grantor has agreed to grant such easements to the City for such purposes and pursuant to the terms and conditions of this Easement Agreement. NOW, THEREFORE, for and in consideration of Thirty Five Thousand Dollars ($35,000.00) in hand paid to Grantor, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. That Grantor, being the owner of the Subject Property, does hereby grant to the City and its successors and assigns, subject to the terms and conditions set forth in this agreement, a permanent and non-exclusive easement for the construction, installation, reconstruction, replacement, alteration, inspection, maintenance, operation, repair, renewal, and removal of underground sewer lines, along with any underground appurtenances or facilities related thereto (the "City Improvements," herein), under the surface of the Easement Premises, together with the right of reasonable and necessary ingress and egress to and from the Easement Premises with such personnel and equipment as may be deemed reasonable and necessary in connection with the exercise of the rights granted herein. 2. That Grantor does hereby further grant to the City a temporary, non- exclusive, construction easement allowing access over, within, under, along, across and through, the Temporary Construction Easement Premises for the purpose of installing the City Improvements within the above-described Easement Premises. The temporary construction easement hereby granted shall be deemed terminated after the earlier of(i) completion of all work required to install the City Improvements, and (ii) the twelve (12) month period following the commencement of construction within the Easement Premises. The City shall send Grantor written notice of the date on which commencement of construction within the Easement Premises will commence for the purposes of determining the beginning of said twelve (12) month - 2 - construction period. The City shall not commence any construction within the Easement Premises prior to sending said written notice to Grantor. 3. Intentionally Deleted 4. That Grantor hereby reserves and retains all other property rights in and to the Easement Premises and the Temporary Construction Easement Premises, including without limitation the rights to use the Easement Premises and Temporary Construction Easement Premises for any purpose whatsoever, so long as such use does not unreasonably interfere with the City's rights hereunder and the City's permitted Easement Premises or Temporary Construction Easement(it being expressly understood that the use of the surface of the Easement Premises and Temporary Construction Easement Premises for vehicular traffic, pedestrian traffic, landscaping (but not including the planting of trees), parking and/or signage shall be deemed not to unreasonably interfere with the City's rights hereunder); provided, however, Grantor shall not locate electric, gas and water lines and other utilities in the Easement Premises without the City's prior written consent, which consent may will not be unreasonably withheld, conditioned or delayed so long as such proposed improvements do not unreasonably interfere with the City's permitted use of the Easement Premises or the Temporary Construction Easement Premises. The foregoing provisions notwithstanding, the Grantor and its successors shall not construct any structures or buildings nor plant any trees on or over the Easement Premises. 5. That the City Improvements placed in the Easement Premises shall be buried to a depth of not less than thirty (30) inches below the existing surface, with the exception of the installation of manholes and improvements related thereto. In addition, upon the execution of this Agreement by the parties hereto, the City shall cause the engineering plans for the City Improvements to be revised to(1)relocate the force main connection from SA-MH12 to SAMH13, and(2) add a note stating"Maintain access for Target trucks to access loading docks", as set forth on Exhibit B, attached hereto and incorporated herein by this reference. In addition,the City shall - 3 - cause the backfill to be compacted in layers to avoid settling, voids and/or air pockets. The City assumes the risk that vehicles using the surface of the Easement Premises may damage the City Improvements if the same are not adequately protected. 6. That any installation, maintenance,replacement,repair and/or removal of the City Improvements performed by the City, its agents and employees shall be performed (i) at the City's sole cost and expense, (ii) during months other than November, December or January (except in the event of an emergency), (iii) after thirty (30) days notice to the Grantor (except that in an emergency the City shall notify the Grantor as soon as practicable after the repairs are made), and(iv) with adequate provision for the safety and convenience of all persons using the surface of such areas. In addition,the City and its agents and employees shall (a)promptly pay all costs and expenses associated with said work and(b)diligently complete such work as quickly as reasonably practicable. 7. That during the installation,maintenance,replacement,repair and/or removal of the City Improvements, northerly access to the parking lot on Grantor's property shall be maintained, and the City shall install directional signage directing vehicular traffic to any such northerly access. In addition, Grantor's ability to access and use its loading dock shall be maintained during such periods of construction. 8. That any use of the Easement Premises or Temporary Construction Easement Premises shall be performed with care and in such manner as to cause the least interference with the surface thereof and with the use and enjoyment of thereof by Grantor and others lawfully present thereon. The City shall maintain the City Improvements in a good and safe condition, and the City shall install, maintain, operate, repair, replace and remove the City Improvements in compliance with all applicable governmental rules,regulations and requirements. The City agrees to obtain at its sole cost and expense, before using the Easement Premises or Temporary Construction Easement Premises for the purposes permitted hereunder, such permits, licenses or - 4 - other authority as may be required from Federal, State, County, City or other governmental agencies or units exercising jurisdiction over the installation and operation of the City Improvements, and the City further agrees to comply with and strictly observe any and all laws, ordinances, rules, regulations, codes and orders of any such governmental agency or unit. 9. That following the exercise by the City of any easement rights granted herein, the City shall promptly repair and restore the Easement Premises and the Temporary Construction Easement Premises, or any landscaping, cubing, pavement or other improvements thereon, to the same condition as existed immediately prior to the existence of such rights as is reasonably practicable, and shall leave the Easement Premises and the Temporary Construction Easement Premises and surrounding premises free from debris. 10. That in the event that the City shall fail to comply with its maintenance and or restoration obligations, as set forth herein, for a period of thirty(30)days after receipt of written notice from the Grantor (except in the case of an emergency, in which case no notice shall be required for Grantor to act), Grantor may, but shall not be obligated to, carry out the City's maintenance and/or restoration obligations, and the City shall reimburse the Grantor for the costs expended in connection therewith within twenty(20)business days after receipt of an invoice from the Grantor therefore. 11. That Grantor, its successors and assigns, and person occupying or lawfully present on the Easement Premises shall not be liable for damage to the City Improvements, if any, which may be caused by normal and reasonable use of, or vehicular or pedestrian traffic over,the Easement Premises. Such normal and reasonable use may include the landscaping (but not including the planting of trees) or parking of vehicles on the Easement Premises, and the installation, operation and maintenance of standard parking lot improvements including paving, bumper curbs, light standards, striping and landscaping (but not including the planting of trees). 12. That the City for itself, its agents and independent contractors,hereby agrees - 5 - to indemnify, defend and hold Grantor and its successors harmless from and against any and all claims, demands, losses, damages, costs and expenses (including but not limited to court costs, penalties and reasonable attorneys' fees),judgments, liabilities and causes of action of any nature whatsoever resulting solely from the City's, its employee's or agent's use or occupancy of the Easement Premises or arising in any manner out of the acts or omissions of the City or its agents or employees or any other persons acting under the City's direction or control in connection with the easement rights granted herein or with the use or occupancy of the Easement Premises and/or the Temporary Construction Easement Premises. 13. That the City further agrees not permit any mechanics', materialmen's, or other liens to be filed against Grantor's property or any part thereof for work or materials furnished to the City in connection with the easements granted herein, and to indemnify, defend and hold harmless Grantor from any and all liens placed against the Easement Premises or the Temporary Construction Easement Premises arising from said construction activities. The hold harmless indemnity obligations set forth in paragraphs 10, 11 and 12 of this Easement Agreement shall survive any termination of the easement. 14. That the City agrees to maintain at all times adequate general liability insurance with respect to the Easement Premises and the use and occupancy thereof(in an amount not less than$1,000,000 per occurrence), specifically including coverage against claims for bodily injury, death and property damage occurring on or about the Easement Premises and contractual coverage with respect to the indemnity obligations set forth in this instrument. The City shall furnish Grantor with evidence of such coverage before commencing any use or occupancy of the Easement Premises, and from time to time thereafter. 15. That the City agrees that it is accepting the easement described herein without any warranty or representation regarding the easement or the Easement Premises or the Temporary Construction Easement Premises except as explicitly set forth herein, and subject to all valid and - 6 - existing licenses, leases, grants, exceptions, encumbrances, title defects, matters of record, reservations and conditions affecting the Grantor's Property and or affecting access thereto. 16. That the City shall not claim or declare any fee interest in the Easement Premises or Temporary Construction Easement Premises, and that in the event of eminent domain proceedings or settlement pursuant thereto, the City shall make no claim against the award or compensation accruing out of or resulting from such event, save and except any payment made to the City for damage to the City Improvements or with respect to removing or relocating the same. 17. That the City agrees to assume and pay all taxes, assessments and other charges, if any, which may be levied, assessed or asserted against the City Improvements within the Easement Premises, and if the same are not separately billed, agrees to promptly reimburse the Grantor for any such taxes, assessments or other charges which may have been paid in whole or in part by Grantor. 18. That the terms "Grantor" and "City", whenever used in this instrument, are intended in each instance to include the successors and assigns of Grantor as the owner of the Easement Premises, and the City as the owner of the City Improvements; provided, however, that any liability or obligation of the Grantor as to future events shall terminate upon the transfer of the ownership of the Easement Premises and any liability or obligation of the City as to future events shall terminate upon the transfer of ownership of the City Improvements. 19. That no amendment, revision or modification hereof shall be effective unless it is in writing and signed by all parties hereto. 20. That this Easement Agreement constitutes the entire agreement between the parties and is intended as a complete and exclusive statement of the terms of the parties agreement, and it supersedes all prior and concurrent promises, representations, proposals, negotiations, discussions and agreements that may have been made in connection with the subject matter hereof 21. That this Easement Agreement shall be governed by and construed in - 7 - accordance with the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this Agreement shall be in the Circuit Court of Kane County, Illinois. This Agreement shall not be construed strictly for or against either Grantor or the City. This Agreement may be signed in counterparts, each of which shall be deemed an original and all of which when taken together shall constitute one instrument. 22. All notices, reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail, postage prepaid, addressed as follows: A. That this agreement shall be binding on the parties hereto, their successors and permitted assigns and shall run with the land. - 8 - 26. That this agreement shall be recorded by the City at the City's cost with the Kane County Recorder. 27. This agreement may be executed in counterparts, each of which shall be an original and all of which shall constitute one and the same agreement.
