WHEREAS, the City owns and operates a facility commonly known as the Hemmens Cultural Center(hereinafter referred to as the "Hemmens"); and WHEREAS, the Veterinarian will be providing veterinarian services to the public at the Hemmens at an event commonly known as the "Pet Health and Safety Event" (hereinafter referred to as the "Event") on Saturday, November 14th, 2015 from 1:00 p.m. to 4:00 p.m., at the lower level of the Hemmens. NOW, THEREFORE, in consideration of the use of the Hemmens for the purposes of the Event, and other good and valuable consideration, the sufficiency of which is hereby mutually acknowledged,the parties hereto hereby agree as follows: 1. The above recitals are incorporated into and made a part of this agreement as fully • recited hereby. 2. The City shall permit the Veterinarian to use the lower level of the Hemmens • during and for the purposes of the Event. 3. Prior to leaving the Hemmens at the conclusion of the Event, the undersigned Veterinarian shall pay to the City the sum of $10.00 per package administered by the Veterinarian at the Event. 4. This agreement shall not be construed so as to create a joint venture, partnership, employment or other agency relationship between the parties hereto. • . 5. This agreement shall be subject to and governed by the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights arising out of or in connection with this agreement shall be in the Circuit Court of Kane County, Illinois. 6. The Veterinarian shall hold harmless and indemnify the City, its agents, employees, volunteers, officers and councilmembers from and against any and all causes of action, lawsuits, claims for damages and any and all other liability of whatsoever nature arising out of or in connection with the terms or performance of this agreement.
