RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH
ALL SERVICE CONTRACTING CORP. FOR
FILTER UNDER-DRAIN REPAIRS AT
RIVERSIDE WATER TREATMENT PLANT
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,that
pursuant to Elgin Municipal Code Section 5.02.020B(9) the City Council hereby finds that an
exception to the requirements of the procurement ordinance is necessary and in the best interest of
the city; and
BE IT FURTHER RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS,that Sean R. Stegall, City Manager, be and is hereby authorized and directed to execute
an agreement on behalf of the City of Elgin with All Service Contracting Corp. for filter under-drain
repairs at the Riverside Water Treatment Plant, a copy of which is attached hereto and made a part
hereof by reference.

CITY OF ELGIN AGREEMENT FOR
FILTER UNDER-DRAIN REPAIRS AT
RIVERSIDE WATER TREATMENT PLANT
This Agreement is made and entered into this o?2 day of November, 2010 by and between the City of Elgin("the
CITY"), a municipal corporation organized and existing under the laws of the State of Illinois, and All Service
Contracting Corp., incorporated in the state of ,L• and having a principal place of business

ARTICLE 1. DEFINITION. "THIS CONTRACT" as used herein shall mean this Agreement, the Request for
Proposals (RFP) including all documents referenced therein and the Contractor's Proposal response consisting of
two pages, dated November 4, 2010, (Proposal) thereto attached hereto and incorporated by reference herein and
made a part hereof. The CONTRACTOR agrees to provide the goods and/or services all in accordance with the
RFP and CONTRACTOR'S Proposal. In the event there is a conflict between THIS CONTRACT and the Proposal
documents,THIS CONTRACT shall supersede the Proposal documents.
ARTICLE 2. DURATION. The CONTRACTOR shall commence the performance of THIS CONTRACT upon
receipt of a fully-executed Contract from the City. CONTRACTOR shall complete all of the services required to be
performed pursuant to this Contract within to Lt days of the commencement of the work.

ARTICLE 3. COMPENSATION. For services provided by the CONTRACTOR under this contract the CITY
shall pay the CONTRACTOR a lump sum of$241,980.00. Such payment shall be made by the CITY to the
CONTRACTOR upon the CONTRACTOR'S completion of the work under this Contract and the CITY'S
acceptance of same.
ARTICLE 4. TERMINATION. The following shall constitute events of default under THIS CONTRACT: a)
any material misrepresentation made by the CONTRACTOR to the CITY,h) any failure by the CONTRACTOR to
perform any of its obligations under THIS CONTRACT including, but not limited to,the following: (i) failure to
commence performance of THIS CONTRACT at the time specified in THIS CONTRACT due to a reason or
circumstance within the CONTRACTOR's reasonable control, (ii) failure to perform THIS CONTRACT with
sufficient personnel and equipment or with sufficient material to ensure the completion of THIS CONTRACT
within the specified time due to a reason or circumstance within the CONTRACTOR's reasonable control, (iii)
failure to perform THIS CONTRACT in a manner reasonably satisfactory to the CITY, (iv) failure to promptly re-
perform within reasonable time the services that were rejected by the CITY as erroneous or unsatisfactory, (v)
failure to comply with a material term of THIS CONTRACT, including, but not limited to the Affirmative Action
requirements, and(vi) any other acts specifically and expressly stated in THIS CONTRACT as constituting a basis
for termination for cause. The CITY may terminate THIS CONTRACT for its convenience upon fourteen(14)days
prior written notice.
ARTICLE 5. DAMAGES. From any sums due to the CONTRACTOR for goods or services,the CITY may keep
for its own the whole or any part of the amount for expenses, losses and damages as directed by the Purchasing
Director, incurred by the CITY as a consequence of procuring goods or services as a result of any failure,omission
or mistake of the CONTRACTOR in providing the goods and services as provided in THIS CONTRACT.
Notwithstanding anything else to the contrary in THIS CONTRACT, with the sole exception of the monies the
CITY has agreed to pay to the CONTRACTOR pursuant to Article 3 hereof, no action shall be commenced or
maintained by the CONTRACTOR against the CITY for monetary damages. In no event shall the CONTRACTOR
be entitled to any interest on any monies claimed that are due or owing from the CITY and CONTRACTOR hereby
expressly waives any and all rights it may have to claims for interest.
ARTICLE 6. GOVERNING LAWS AND ORDINANCES. This CONTRACT is made subject to all the laws of
the State of Illinois and the ordinances of the CITY and if any such clause herein does not conform to such laws or
ordinances, or in the event any of the terms or provisions herein are deemed to be void or otherwise unenforceable
for any reason, such clause shall be void (the remainder of the contract shall not be affected) and the laws or
ordinances shall be operative in lieu thereof. Venue for the resolution of any disputes or the enforcement of any
rights arising out of or in connection with this CONTRACT shall be in the Circuit Court of Kane County,Illinois.

ARTICLE 7. AFFIRMATIVE ACTION. The CONTRACTOR will not discriminate against any employee or
applicant for employment because of race, color, religion, sex, ancestry, national origin, place of birth, age, or
physical handicap which would not interfere with the efficient performance of the job in question. The
CONTRACTOR will take affirmative action to comply with the provisions of Elgin Municipal Code Section
3.12.100 and will require any subcontractor to submit to the CITY a written commitment to comply with those
provisions. The CONTRACTOR will distribute copies of this commitment to all persons who participate in
recruitment,screening,referral and selection of job applicants and prospective subcontractors. The CONTRACTOR
agrees that the provisions of Chapter 3.12 of the Elgin Municipal Code, 1976, is hereby incorporated by reference,
as if set out verbatim.
ARTICLE 8. ASSIGNABILITY. The CONTRACTOR shall not assign, sell or transfer any interest in THIS
CONTRACT without prior written consent of the CITY.
ARTICLE 9. AMENDMENTS. There shall be no modification of the CONTRACT, except in writing and
executed with the same formalities of the original.
ARTICLE 10. NOTICES. Any notice given under this CONTRACT shall be in writing and shall be deemed to
have been given when hand delivered or deposited in the U.S.mail,certified or registered,return receipt requested,
addressed, if to CONTRACTOR, at the address set forth above to the attention of the project manager or
undersigned representative, and if to the City, to the attention of the City Manager, 150 Dexter Court, Elgin, IL
60120 or to such other address and/or authorized representatives as either party shall designate in writing to the
other in the manner herein provided.
ARTICLE 11. INDEMNIFICATION. To the fullest extent permitted by law, Contractor agrees to and shall
indemnify, defend and hold harmless the City, its officers, employees, boards and commissions from and against
any and all claims,suits,judgments,costs,attorney's fees,damages or any and all other relief or liability arising out
of or resulting from or through or alleged to arise out of any acts or negligent acts or omissions of Contractor or
Contractor's officers,employees,agents or subcontractors in the performance of this CONTRACT,including but not
limited to, all goods delivered or services or work performed hereunder. In the event of any action against the City,
its officers,employees,agents,boards or commissions covered by the foregoing duty to indemnify,defend and hold
harmless,such action shall be defended by legal counsel of the City's choosing.
ARTICLE 12. PUBLICITY. The CONTRACTOR may not use, in any form or medium,the name of the City of
Elgin for public advertising unless prior written permission is granted by the CITY.
ARTICLE 13. APPROPRIATIONS. The fiscal year of the CITY is the 12 month period ending December 31.
The obligations of the CITY under any contract for any fiscal year are subject to and contingent upon the
appropriation of funds sufficient to discharge the obligations which accrue in that fiscal year and authorization to
spend such funds for the purposes of the contract.
If, for any fiscal year during the term of the CONTRACT, sufficient funds for the discharge of the CITY'S
obligations under the contract are not appropriated and authorized, then the CONTRACT shall terminate as of the
last day of the preceding fiscal year. Or when such appropriated and authorized funds are exhausted, whichever is
later without liability to the CITY for damages,penalties or other charges on account of such termination.
ARTICLE 14. ENTIRE AGREEMENT. This CONTRACT embodies the whole agreement of the parties. There
shall be no promises,terms,conditions or obligations other than those contained therein;and this CONTRACT shall
supersede all previous communications,representations,or agreements,either verbal or written,between the parties.
ARTICLE 15. COMPLIANCE WITH LAWS. Notwithstanding any other provision of this CONTRACT it is
expressly agreed and understood that in connection with the performance of this CONTRACT that the
CONTRACTOR shall comply with all applicable Federal, State, City and other requirements of law, including, but
not limited to, any applicable requirements regarding prevailing wages, minimum wage, workplace safety and legal
status of employees. CONTRACTOR understands and agrees that the Prevailing Wage Act applies to this Contract
and that the CONTRACTOR shall pay the prevailing wage as required by such law. Without limiting the foregoing,
CONTRACTOR hereby certifies,represents and warrants to the CITY that all CONTRACTOR'S employees and/or

agents who will be providing products and/or services with respect to this CONTRACT shall be legal residents of
the United States. CONTRACTOR shall also at its expense secure all permits and licenses,pay all charges and fees
and give all notices necessary and incident to the due and lawful prosecution of the work,and/or the products and/or
services to be provided for in this CONTRACT. The CITY shall have the right to audit any records in the
possession or control of the CONTRACTOR to determine CONTRACTOR'S compliance with the provisions of this
section. In the event the CITY proceeds with such an audit the CONTRACTOR shall make available to the CITY
the CONTRACTOR'S relevant records at no cost to the CITY."
The person signing THIS CONTRACT certifies that s/he has been authorized by the CONTRACTOR to commit the
CONTRACTOR contractual and has been authorized to execute THIS CONTRACT on its behalf.

SCOPE: Demolition of Existing Under-drain
# 1. Remove existing clay tile under-drain from filters# 5 & # (7), that measure
approximately 22'x33' for a total surface area of approximately 1,452 sq.ft.
#2. All removed clay tile under-drain and grout shall be placed on the ground
outside and hauled off premises.
#3. Remove all existing rebar from the flume areas.
#4. Remove existing grout bed from concrete floor. No grout shall extend more
than (1/2") above the highest point of the existing floor.
# 5. Sweep or vacuum clean exposed concrete floor.
# 6. All of the above shall be done once the filter gallery floors have been

# 1. Assemble each lateral as required by the under-drain manufacture.
#2. Place protective cover over the entire length of each lateral.
#3. Drill holes on each side of the flume area and epoxy set stainless steel all
thread at location designated by the under-drain manufacture.
#4. Install adjustable reinforcement angle across flume area.
#5. Place assembled lateral down into the filter box area.
SCOPE: Installation
# 1. Apply bonding agent to the existing concrete floor.
#2. Pump grout into the filter area at the location of where each lateral run will be
placed. This grout will not extend more than (8") beyond the area of the lateral
setting. This shall be done with each lateral run.
#3. Set each lateral to a height as required by the manufacture.
#4. Each lateral shall be set to within a + W over all.
# 5. Pump grout between each lateral run.
# 6. Install two cant strip down each (33') wall.

#7. Remove protective cover and vacuum clean.
#8. Under-drain shall then set for(72) hours.
SCOPE: Testing
# 1.A.S.C.C. shall perform a backwash test on the newly install under-drain.
#2. The owner shall operate all valves under the direct supervision of A.S.C.C.
during the testing procedures.
Lump Sum Cost: $241,980.00 (Payment& Performance Bond Not Included)
Not figured in the above quoted pricing is any landscaping.

INITIATIVE H: Emergency Filter Under-Drain Repairs at Riverside Water Treatment Plant
COMMUNITY GOAL
• River As a Resource: Maximize the usage of the Fox River for our drinking water
OBJECTIVE
• Approve emergency repairs to the under-drains at the Riverside Water
Treatment Plant
PURPOSE
• Prevent overloading of the remaining six filters at the Riverside Water
Treatment Plant by repairing the under-drains of filters#5 and #7 and returning
the filters to service
RECOMMENDATION
• Authorize staff to execute a contract with All Service Contracting Corporation
for emergency repairs to under-drains in the amount of$241,980
BACKGROUND
In 1989, the Environmental Protection Agency (EPA) ruled that all water treatment plants that
use surface water as the source (i.e., lakes, rivers, open reservoirs) had to provide mechanical
filtration for microorganism removal. The city had proactively planned for that rule and added
filtration into the treatment scheme for the new Riverside Water Treatment Plant (WTP) that
was built in 1982.
In 1986, four filters at the Riverside WTP were modified to include activated carbon as one of
the media types in the filter. Activated carbon is considered the best available filtration
technology for taste and odor removal. These filters require removal and replacement every 18
to 24 months.

OPERATIONAL ANALYSIS
In August 2010, the city awarded a bid contract to Carbon Activated Corporation for the
removal and replacement of two of the filters at the Riverside WTP. The contract amount for
the two filters was $122,890. This maintenance was budgeted and the bid came in under
budget.
Notice to proceed with the work was issued on October 11, 2010 with the understanding that
work would not commence until late October or early November following the Riverside WTP's
peak water pumping season.The contractor accordingly began work on November 2, 2010.
On its second day of work, the contractor advised the staff of certain anomalies it had
encountered while working on a filter. Staff was advised that the filter's terracotta under-drains
were broken, presumably due to mud ball formation created by sand entering and then
plugging the under-drain tiles.
The contractor then began work on the next filter and advised staff that it could either proceed
with the filter replacement or determine if there were similar problems with the under-drains.
An inspection revealed the tiles for that filer are similarly broken.
The city now has two filters at the Riverside WTP out of service due to broken under-drains.
Because temperature changes in the winter months could have an adverse effect on the

operation of the remaining six filters, it is imperative to repair and return to service the two
filters with broken under-drains as soon as practical.
Due to the emergency nature of the repairs, formal written quotes were obtained from two
contractors who perform this work. All State H2O Filter Rehab of Oshkosh, WI submitted a
quote for one filter(#7) in the amount of$122,650.The price would be the same for the second
filter (#5)for a total of$245,300.
All Service Contracting Corporation, of Decatur, IL submitted a quote for the first filter (#7) in
the amount of $121,340. It stated that the price for the second filter (#5) would be $700 less
due to the savings in freight for a total of$241,980.

FINANCIAL ANALYSIS
The under-drain tile repairs for the two filters were unforeseen when preparing the 2010
budget. Funds were consequently not allocated for this project. However, the Water Fund has
adequate cash reserves to pay for these unexpected repairs and return the two filters to
service.

ALTERNATIVE COURSES OF ACTION
1. The council could elect to reject the staff's recommendation to accept the quote of All
Service Contracting Corporation, of Decatur, IL and accept the quote from All State H2O
Filter Rehab, of Oshkosh,WI.
2. The council could reject the written quotes and go through the formal request for
proposal/bid process to obtain the pricing for the filter under-drain repairs.
