HomeMy WebLinkAbout10-15 • Resolution No. 10-15 RESOLUTION AUTHORIZING EXECUTION OF AN INTERGOVERNM 1NTAL AGREEMENT FOR PACE ROUTE 554 WITH THE VILLAGE OF HOFFMAN ESTATES, VILLAGE OF SCHAUMBURG, VILLAGE OF STREAMWOOD, VILL A GE OF HANOVER PARK, AND PACE SUBURBAN BUS BE IT RESOLVED BY THE CITY COUNCIL OF TH CITY OF ELGIN, ILLINOIS,that Ed Schock, Mayor, be and is hereby authorized and direct-d to execute a Intergovernmental Agreement for Pace Route 554 on behalf of the City of Elgin ith the Village of Hoffman Estates, Village of Schaumburg,Village of Streamwood,Village of Ha }over Park,and Pace Suburban Bus,a copy of which is attached hereto and made a part hereof by re lerence. s/ Ed Schock Ed S•hock, Mayor Presented: January 13, 2010 Adopted: January 13, 2010 Omnibus Vote: Yeas: 7 Nays: 0 Attest: s/Diane Robertson Diane Robertson, City Clerk INTERGOVERNMENTAL AG EMENT PACE ROUTE 554 WHEREAS, the Village of Hoffman Estates, V llage of Schaumburg, Village of Streamwood, Village of Hanover Park, and the City of Elgin (hereinafter "Municipal Participants"), desire to jointly participate in the Pace Rout= 554 (hereinafter Route 554) in the form of bus service as shown in Exhibit A for the year 2010, : d WHEREAS, Pace Suburban Bus (hereinafter Pace will operate Route 554 in 2010, including all administrative efforts and activities, as shown i Exhibit A, and WHEREAS, Pace has submitted a Service Agreeme t to the Municipal Participants for the provision of Route 554 service in 2010, outlining the to s of such service, including Pace providing fifty percent of the net operating costs, said a. eement being attached hereto and incorporated herein as Exhibit B, and WHEREAS, the Municipal Participants will collecti ely pay 50% of the net operating cost of Route 554, equal to annual operating costs less c. h farebox revenue, and each has committed to an equal contribution to provide matching funds for continuation of Route 554. NOW, THEREFORE, on this day ofC.. ;))7 j df 200) in consideration of the promises herein, and the mutual promise. and undertakings herein contained and set forth, and for good and valuable consideration, made over by each party to the other, the receipt of which is hereby acknowledged, it is covenanted an. agreed as follows: 1. Term of Contract. The term of the contract sh.11 be from January 1, 2010 through December 31, 2010. 2. Maximum Amount of Contract. The Muni c ipal Participants, pursuant to this Agreement and Exhibit B, will each pay to Pace an equal . ount not to exceed $23,104.27 for the year 2010. The total contributions of all the Municipal Pa icipants combined will not exceed $115,521.36 for year 2010. Pace will invoice the service at '.69.43 per hour, for 14.93 hours per day, and 255 days per year, less adjusted revenue. 3. Services to be Provided. Pace shall generally administer operation of the Route 554. The Municipal Participants and Pace shall monito bus performance and ridership, contracted costs, farebox and other revenues, complaints and .ther incidents. -2- 4. Payment for Services. Pace shall invoice unicipal Participants on a monthly basis in an amount not to exceed $1,925.35. The actual mo thly cost to each Municipal Partner shall be calculated as 10% of the monthly operating cost less cash farebox revenue. 5. Termination. If, for any reason, Pace to inates the Agreement with the Municipal Participants by giving sixty (60) days written not'ce to all Municipal Participants, the service will terminate unless another funding source c. be identified. The Municipal Participants shall also have the right to terminate service and this Agreement with sixty(60) days written notice. 6. Waiver. The failure of the Municipal Participi is to insist upon strict compliance with any of the terms, covenants or conditions, nor shall . 0y waiver or relinquishment of any right or power hereunder at any one time or times be deeme• a waiver or relinquishment of such right or power any other time or times. 7. Notices. Severability. The parties agree that if any porf on of this Agreement shall be held invalid for any reasons whatsoever, the remaining provisions .hall not be affected thereby if such -3 - remaining provisions could then continue to conform with the purposes, terms and requirements of applicable law. [2]Cost per hour-The amount of money that the route costs to operate per hour of operation,this cost includes driver pay,fuel,maintenance,etc. [3]Service Days-Number of days in a given month that a route is in operation. [4]Adjusted revenue means that we gave a monetary value to each fare type and multiplied that value times the number of uses.We then totaled those sums and divided by the total number of rides for the month.We then used this average revenue per rider to arrive at daily average revenue by multiplying the daily ridership by the daily adjusted revenue.We then used the daily revenue and daily cost to get the subsidy per rider and recovery ratio.
