Stegall City Manager, and Diane Robertson, City Clerk, be and are hereby authorized and directed to execute Amendment No. 1 to the agreement on behalf of the City of Elgin with Willis Burke Kelly Associates, Inc. for Phase 1 design engineering and construction engineering services for the Spartan Drive Reconstruction Project, a copy of which is attached hereto and made a part hereof by reference. s/Ed Schock Ed Schock, Mayor Presented: September 23, 2009 Adopted: September 23, 2009 Vote: Yeas: 6 Nays: 0 Attest: s/Diane Robertson Diane Robertson, City Clerk R FIRST AMENDMENT AGREEMENT THIS FIRST AMENDMENT AGREEMENT is made and entered into thisa, a y ofxj.13 hw 2009, by and between the CITY OF ELGIN, an Illinois municipal corporation (hereinafter referred to as "City) and WILLS BURKE KELSEY ASSOCIATES, Ltd., a corporation organized and existing under the laws of the State of Illinois, (hereinafter referred to as the "Engineer"). WHEREAS, the CITY and Robert H. Anderson and Associates entered into an agreement dated June 11, 2008, wherein Robert H. Anderson and Associates referred to therein as ENGINEER to provide certain professional services in conjunction with the Spartan Drive Rehabilitation-McLean Boulevard to Lehr Drive, Elgin, Kane County, Illinois (hereinafter referred to as the"ORIGINAL AGREEMENT" and the "PROJECT"); and WHEREAS, ENGINEER is the successor-in-interest to Robert H. Anderson and Associates; and" WHEREAS, the parties hereto have each determined it to be in their best interest to amend Original Agreement; and WHEREAS, the CITY has determined that the proposed scope of the PROJECT should be modified to include an additive alternate design to extend roadway lighting on Spartan Drive from Lehr Drive to Randall Road, including Duffy Drive from College Green Drive to Spartan Drive; and WHEREAS, the CITY has determined that the proposed scope of the PROJECT should be modified to include Construction Engineering Activities - Phase III Engineering Services; and WHEREAS, the CITY has determined that the proposed schedule of the PROJECT be modified to continue in September of 2009 with a contract completion date of July 31, 2010 requiring additional professional engineering services; and WHEREAS, the circumstances necessitating the change in performance contemplated by this amendment were not reasonably foreseeable at the time ORIGINAL AGREEMENT was signed; the change contemplated by this First Amendment Agreement is germane to the original agreement as signed; and this First Amendment Agreement is in the best interests of City and is authorized by law. NOW, THEREFORE, for and in consideration of the mutual undertakings set forth in the Original Agreement and the mutual undertakings set forth in this First Amendment Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. Engineer shall also provide design engineering for the additive alternate design to extend roadway lighting on Spartan Drive from Lehr Drive to Randall Road, including Duffy Drive from College Green Drive to Spartan Drive. The services include concepts, design engineering services and bidding documents for the project." "E. Engineer shall also provide the services for the Project as outlined in Engineer's Scope of Services document entitled "Construction Engineering Activities, Attachment A — Phase III Engineering Scope of Services", for Spartan Drive Rehabilitation - McLean Boulevard to Lehr Street, Elgin, Illinois—Will Burke Kelsey Associate's proposal, dated September 9, 2009, consisting of fifteen (15) pages, a copy of which is attached hereto and made a part hereof as Attachment A. In the event of any conflict between the terms of this First Amendment Agreement and the terms contained within Original Agreement, the terms of this First Amendment Agreement shall control." 2. That Section 2 of the Original Agreement is hereby amended by adding a subparagraph D thereof to read as follows: "D. The Engineer shall commence with the services for Phase III Construction Engineering Activities of the Project on or before September 9, 2009, and shall complete same no later than July 31, 2010 thereafter, unless such other schedule is mutually agreed to by the City and Engineer." 3. That Section 4, paragraph A of the ORIGINAL AGREEMENT is hereby amended by adding the following additional text to the end thereof: For services provided by the ENGINEER, pursuant to this FIRST AMENDMENT AGREEMENT, ENGINEER shall be reimbursed at the rate of 3.0 x the direct hourly rate of personnel employed on this PROJECT as set forth in Attachment A of this FIRST AMENDMENT AGREEMENT, with the total fee for such services not to exceed $228,185.28 regardless of the actual costs incurred by the ENGINEER unless substantial modifications to the Scope of Work are authorized in writing by the Director and approved by way of written amendment to this agreement by the City Council of the CITY. As a result of this FIRST AMENDMENT AGERMEENT, the total not-to-exceed payments to the ENGINEER pursuant to the ORIGINAL AGREEMENT is in the amount of $158,707.58 and pursuant to this FIRST AMENDMENT AGREEMENT is in the amount of$228,185.28 thereby now providing for a total fee to the ENGINEER not to exceed $386,892.86. 4. That Section 4, Paragraph C, last sentence, of the Original Agreement is hereby amended by adding the following additional text to the end thereof: WBK-1stAmendment Agrt-Spartan Drive_090902.docx - 2 - 08-0001 9/10/2009 Paragraphs 4(C), last sentence is hereby amended to read "The additional in-house direct cost and services by other cost specified in Section 4(C) needs are included in the not-to exceed figure of$386,892.86. 5. That the changes to the Original Agreement provided pursuant to this Amendment Agreement are germane to the original contract as signed and this Amendment Agreement is in the best interests of the City of Elgin and authorized by law. 6. That in the event of any conflict between the terms of this First Amendment Agreement and the terms of the Original Agreement, the terms of this First Amendment Agreement shall control. 7. Except as amended by the First Amendment Agreement, the Original Agreement between the parties shall remain full force and effect. Stegall, City Manager ;xi; Are Joe Evers, City Engineer ` 1,1'01111it'" SUBJECT: Amendment No. 1 with Wills Burke Kelsey for Additional Design Engineering and Construction Engineering Services for Spartan Drive Reconstruction Project PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to consider Amendment No. 1 to an agreement with Wills Burke Kelsey Associates for additional Phase 1 design engineering services and construction services for the Spartan Drive Reconstruction Project. RECOMMENDATION It is recommended that City Council authorize Amendment No. 1 with Wills Burke Kelsey Associates in the amount of$228,185.28 and authorize staff to execute the necessary documents. BACKGROUND The original agreement for the Spartan Drive Reconstruction Phase 1 design engineering services was with Robert H. Anderson of St. Charles. This firm has been sold and is now known as Wills Burke Kelsey Associates (WBK). The original engineering services agreement for the subject project($158,707.58) was authorized by City Council on May 27, 2008. This project will provide for the rehabilitation of approximately 3,100 linear feet of Spartan Drive from McLean Boulevard to Lehr Drive. This section of Spartan Drive is a 40 foot wide concrete pavement with curb and gutter. It was constructed in the mid 1960's and has required minimal annual maintenance. However, with the recent harsh winter weather, the street has begun to deteriorate rapidly. The majority of deterioration is occurring along the construction joints in the pavement. The pavement is rapidly approaching the end of its useful life and in need of rehabilitation. The final design and bid documents include rubilizing the existing concrete pavement, replacement curb and gutter, replacement culverts, new storm sewers, new street lights, a bio- Swale and landscaping. Rubilizing is a procedure to physically breakup the existing concrete rik. pavement in place and use it as a flexible base for the new roadway. Amendment No. 1 with WBK- Spartan Drive Construction September 3,20094111, Page 2 The amendment is attached as Exhibit A. The amendment includes engineering effort to investigate and design a Light Emitting Diode (LED) type of lighting for all portions of Spartan Drive. In addition, the amendment includes construction engineering which will include meetings,utility coordinantion, administration,material testing,inspection and surveying. COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED None FINANCIAL IMPACT UV/S(1,-) Amendment No. 1 with WBK will total $228,185.28. Funding for this amendment will be included as part of the loan proceeds from Elgin Community College. The revised not-to-exceed agreement amount with WBK will total $386,892.86. A budget adjustment will be required. EGAL IMPACT None ALTERNATIVES 1. The City Council may choose to approve the amendment as recommended. 2. The City Council may choose not to authorize Amendment No. 1 with WBK and direct staff to proceed with another alternative. They will include implementation of City policies,program administration, coordination and monitoring of consultants and contractors providing overall management control and direction to insure completion of the construction project in accordance with the City's objectives of cost,time and quality.The Construction Administrator will work closely with and report to the Director of Public Works or his designee. UNDERSTANDING OF THE PROJECT General.The project limits is generally described as follows:The proposed Spartan Drive roadway will upgrade the existing four lane facility to four through lanes and a median. The median will serve as a left-turn lane, a two-way left-turn lane, a flush median, and a raised, landscaped median. The limits of construction along Spartan Drive will be Sta. 9+87 to Sta. 72+77.69. The full reconstruction limits of Spartan Drive will be Sta. 16+06 to Sta.72+77.69. The existing drainage system along Spartan Drive will be upgraded to accommodate the proposed improvements. Contract Duration.This project was on an April 6,2009 letting with an anticipated construction start no earlier than September 1, 2009 and no later than October 1,2009. The contract completion date is assumed no later than July 31,2010. Construction Year 2009. For estimating purposes,we are assuming that the contractor will start work on September 14, 2009 and generally work a six-day work week(Mon.-Sat)with overtime on those days September 14, 2009 through November 20, 2009(10 hour work days excluding Sunday or holidays)and from November 21,2009,work a normal five-day work week(Mon.-Fri.) with no overtime on those days through December 2009(8 hour work days excluding Saturday, Sunday or holidays). It is assumed that the construction will suspend for the winter month of December 2009 through April 2010 although time is estimated to continue with record keeping, documentation, record drawings, construction coordination, and general project administration. . Construction Year 2010.We are assuming that the contractor will resume work on May 3,2010 and generally work a six-day work week(Mon.-Sat.)with overtime on those days May 3, 2010 through June 30,2010(10 hour work days excluding Sunday or holidays)substantially completing construction work on or before June 30, 2010 and final completion including punch list and documentation closeout by July 31,2010. It is assumed during the major working months of September through November 2009 the project will be staffed with two(2)full time field personnel consisting of the Resident Engineer and Field Technician. It is estimated that an average of 100 hours/week for 11 weeks will be expended by the Resident Engineer and the support staff. It is assumed that during the non-construction months of December 2009 through April 2010 the project will be staffed with one part-time person consisting of the Resident Engineer. It is estimate that approximately 40 hours per month will be expended by the Resident Engineer and management staff for this effort It is assumed during the major working months of May through June 2010 the project will be staffed with one (1) full time field personnel consisting of the Resident Engineer and one (1) part time field personnel consisting of a Field Technician. It is estimated that an average of 30 hours/week for 28 weeks will be expended by the Resident Engineer and the support staff. Additional time required by the Engineer beyond what is identified herein shall be subject for a supplement to this engineering agreement Summary. The Scope of Services for the Phase III Engineering involves a comprehensive effort to provide field inspection to assure the project completion is in accordance with the contract documents and plans. Included in this Phase III scope will be Quality Assurance Testing of materials,field inspection and documentation of work and quantities, record drawings,contractor coordination, preparation and submittal of cost estimates and change orders,final processing, and survey support to assist in documentation of measured quantities and record drawings. TASK I-PRE-CONSTRUCTION ACTIVITIES Review of Existing Data. Resident Engineer and staff review of plans, specifications and • contract documents and implement task required from pre-construction meeting. Project Set-up. Pre-construction set-up, which includes file and document organization, prepare hard and electronic files such as pay request, IDR, weekly report, change order, traffic control, material inspection, shop drawings, quantity documentation and erosion control report forms and other files and forms required by the City. Contract Walk Through. A site visit and walk through with the contractor to access any changes to site such as demolition completed by the City, utility installations since final design was completed, and review all existing conditions. Document Site Conditions.Create a photo log of site conditions with contractor present Staging Areas. Coordinate contractor and engineer's field trailer location and equipment and material storage areas with contractor. All construction layout and staking shall normally be provided by the Contractor and paid for by the item "Construction Layout". The Resident Engineer and or his/her staff shall recover and identify all horizontal control points, benchmarks, right-of-way corners (for newly acquired parcels), establish the centerline and right-of-way prior to construction.The Resident shall instruct Contractor to submit copies of all field book information regarding layout on a daily basis to be retained in the Resident's file. Construction Layout Verification. The Resident and or his/her staff shall use standard survey methods to randomly check all horizontal locations and elevations for every staking operation. The Resident and or his/her staff shall document all layout checks in a field book. In the event that an error is found, the Resident shall notify the Contractor immediately and insure that he/she corrects the error as soon as possible. Quantity Verification. The Resident and or his/her staff shall use standard survey methods to be used in the preparation of quantity verification, such as cross section for earthwork. Record Drawing. The Resident and or his/her staff shall provide necessary surveys to be used in the development of a complete set of record drawings(as built plans)to City Of Elgin ribk for their records. TASK III-UTILITY COORDINATION Verify Utilities. The Resident Engineer will be responsible for reviewing the utility locates and verifying the locations to the plans prior to the start of the construction. The Resident Engineer will coordinate any discrepancies between the utility and the plan with the utility. Coordination with Utilities. Although the Resident Engineer is not responsible for the utilities, the Resident will assist the contractor and the City in the coordination of utility conflicts, adjustments, and relocations. TASK IV-RESIDENT ENGINEERING SERVICES Based on the aforementioned discussion of contract time and the engineering contract requirements,the following estimate of construction engineering man-hours is proposed: Resident Engineer. The Resident Engineer will be responsible for managing the engineering field staff and the following contractual items of work: • Handle all project administrative correspondence including preparation of all written documents and correspondence requiring the City's and Director's signature and authorization. Maintain a file on all project correspondence and records to include daily construction reports prepared by the construction staff. Prepare a final punchlist and thereafter insure that the contractor completes same in an expeditious fashion. Notify the Construction Administrator in writing when all work is completed and ready for final payment. Staff Engineer. Inspector, Technician, and Clerk This estimate assumes that a staff engineer, inspector,technician and a clerk will be required • to assist the Resident Engineer in the field and in the office with the following contractual items of work: • Provide Support to the Resident Engineer. •• General inspection and shop drawing reviews. • Provide initial geometric control for contractor. • Measurement and computation of pay items and quantities. • Typing and distribution of meeting minutes, reports and change orders. • Field observation and recording of contractors work. • Completion and drafting of record drawings(CADD Drawings). All personnel involved with the project, including all necessary utility representatives, Contractor's personnel, construction supervision personnel, local agency representatives, and City Of Elgin staff shall be requested to attend. The Resident Engineer shall be required to attend, run, provide agenda and take meeting minutes to be submitted to the City Of Elgin with copies sent to all other attendees no later than 7 days after the date of the pre-construction conference. (Assume 1 meeting) • Bi-weekly coordination meetings shall be scheduled and coordinated by the Resident Engineer. These meetings shall be for the purpose of coordinating construction activities for the upcoming week, and any other important issues that may arise. The Resident Engineer shall be required to attend, run, and provide meeting minutes to be submitted to the Contractor and City Of Elgin no later than 7 days after the date of the coordination meeting. (Assume 14 meetings). • Local agency meeting (City, ECC, etc) will be coordinated by the Resident Engineer. These meetings shall be for providing the City information related to construction issues, budget, scheduling, and other important issues that may arise regarding work within the project limits.The Resident Engineer shall be required to attend, run, and provide meeting minutes to be submitted to the City Of Elgin no later than 7 days after the date of the coordination meeting. (Assume 3 meeting). • Utility coordination meeting shall be scheduled and coordinated by the Resident Engineer. This meeting shall be for coordinating the scheduling of construction activities in conjunction with utility relocates and adjustments. The Resident Engineer shall be required to attend, run, and provide meeting minutes to be submitted to the utility companies, contractor, and City Of Elgin no later than 7 days after the date of the coordination meeting. (Assume 1 meeting). • Street Lighting turn-on meeting with City shall be scheduled and coordinated by the Resident Engineer. This meeting shall be for coordinating the scheduling the turn-on, and final approval of the new street lights. The Resident Engineer shalt be required to attend, run, and provide meeting minutes to be submitted to City and contractor no later than 7 days after the date of the coordination meeting. (Assume 1 meeting). TASK VI—MATERIAL TESTINGIINSPECTION!CERTIFICATION/CLOSEOUT The Contractor will be required to provide the Quality Control testing required by the plans and specifications. The Phase Ill Engineering Services will be required to provide the subsequent Quality Assurance testing. The testing requirements and frequency of testing will be as required and outlined in the IDOT Manual for Materials Testing Inspection and Procedures. (Pik Spartan...Rhin Attachement A 090909.docx Pages 14 of 15 ATTACHMENT A Route: Spartan Drive Rehabilitation Local Agency: City Of Elgin County: Kane County, Illinois Amendment One An outside geotechnicaVtesting firm (sub-consultant) will be utilized to provide the Quality Assurance Testing required by the City of Elgin and will be responsible for, but not limited to,the following contractual items of work: • Concrete field and plant inspections that include: testing of concrete mixtures and completion/submission of reports needed, transporting and testing of concrete cylinders and reporting results. • HMA field and plant inspections that include: testing of hot mix asphalt mixtures and completion/submission of reports needed reporting results. • Aggregate and soils sampling and testing. • Subgrade recommendations. • Quality control of materials and enforcement of the contract provisions through the Resident Engineer. • Preparation and submittal of material records,documentation and reports as needed A contract proposal for the above mentioned sub-consultant services have been included. The agreement is estimated at$26,000.00 has been included to provide for these services. The sub- consultant fee wilt include all labor, material,testing and travel costs. TASK VII -PROJECT ADMINISTRATION/MANAGEMENT A Senior Project Manager with extensive engineering design and construction experience will be .44) assigned the dual role of Project Manager/Project Engineer. This individual will be responsible for the following contractual items of work • Ongoing consultation with project staff • Quality assurance of field testing of materials. • Quality assurance of construction work in progress and the enforcement of the contract provisions. • Quality assurance of all project reports, pay estimates, change orders, records, documentation and reports. • Attend conferences and job site meetings as needed. • Regular job site visits. • Project closeout review and guidance.
