("the CONTRACTOR"). ARTICLE I. DEFINITION. "THIS CONTRACT" as used herein shall mean this Agreement, the Invitation for Bids (IFB) including all documents referenced therein and the Contractor's bid response (bid) thereto incorporated by reference herein and made a part hereof. The CONTRACTOR agrees to provide the goods and/or services all in accordance with the bid for FireView Desktop Conversion, dated January 24th, 2008 (Exhibit A). In the event there is a conflict between this Agreement and the bid documents, the bid documents shall supersede this Agreement. ARTICLE II. SCOPE OF WORK. The CONTRACTOR shall provide the goods or services described in Exhibit A, at the prices and terms contained therein. ARTICLE III. TIME OF PERFORMANCE. The CONTRACTOR shall provide the goods or services upon receipt of purchase order; and the CITY shall pay to CONTRACTOR the total sum of$23,875.00 ARTICLE IV. TERMINATION. The following shall constitute events of default under THIS CONTRACT: a) any material misrepresentation made by the CONTRACTOR to the CITY, b) any failure by the CONTRACTOR to perform any of its obligations under THIS CONTRACT including, but not limited to, the following: (i) failure to commence performance of THIS CONTRACT at the time specified in THIS CONTRACT due to a reason or circumstance within the CONTRACTOR's reasonable control, (ii) failure to perform THIS CONTRACT with sufficient personnel and equipment or with sufficient material to ensure the completion of THIS CONTRACT within the specified time due to a reason or circumstance within the CONTRACTOR's reasonable control, (iii) failure to perform THIS CONTRACT in a manner reasonably satisfactory to the CITY, (iv) failure to promptly re-perform within reasonable time the services that were rejected by the CITY as erroneous or unsatisfactory, (v) failure to comply with a material term of THIS CONTRACT, including, but not limited to the Affirmative Action requirements, and (vi) any other acts specifically and expressly stated in THIS CONTRACT as constituting a basis for termination for cause. The CITY may terminate THIS CONTRACT for its convenience upon fourteen (14)days prior written notice. ARTICLE V . DAMAGES. From any sums due to the CONTRACTOR for services, the CITY may keep for its own the whole or any part of the amount for expenses, losses and damages as directed by the Purchasing Director, incurred by the CITY as a consequence of procuring services as a result of any failure, omission or mistake of the CONTRACTOR in providing the goods and services as provided in THIS CONTRACT. ARTICLE VI. GOVERNING LAWS AND ORDINANCES. This CONTRACT is made subject to all the laws of the State of Illinois and the ordinances of the CITY and if any such clause herein does not conform to such laws or ordinances, or in the event any of the terms or provisions herein are deemed to be void or otherwise unenforceable for any reason, such clause shall be void (the remainder of the contract shall not be affected) and the laws or ordinances shall be operative in lieu thereof. Venue for the resolution of any disputes or the enforcement of any rights arising out of or in connection with this CONTRACT shall be in the Circuit Court of Kane County, Illinois. ARTICLE VII. AFFIRMATIVE ACTION. The CONTRACTOR will not discriminate against any employee or applicant for employment because of race, color, religion, sex, ancestry, national origin, place of birth, age or physical handicap which would not interfere with the efficient performance of the job in question. The CONTRACTOR will take affirmative action to comply with the provisions of Elgin Municipal Code Section 3.12.100 and will require any subcontractor to submit to the CITY a written commitment to comply with those provisions. The CONTRACTOR will distribute copies of this commitment to all persons who participate in recruitment, screening, referral and selection of job applicants and prospective subcontractors. The CONTRACTOR agrees that the provisions of Chapter 3.12 of the Elgin Municipal Code, 1976, is hereby incorporated by reference, as if set out verbatim. ARTICLE VIII. ASSIGNABILITY. The CONTRACTOR shall not assign, sell or transfer any interest in THIS CONTRACT without prior written consent of the CITY. ARTICLE IX. AMENDMENTS. There shall be no modification of the CONTRACT, except in writing and executed with the same formalities of the original. ARTICLE X. NOTICES. Any notice given under this CONTRACT shall be in writing and shall be deemed to have been given when hand delivered or deposited in the U.S. mail, certified or registered, return receipt requested, addressed, if to CONTRACTOR, at the address set forth above to the attention of the project manager or undersigned representative, and if to the City, to the attention of the City Manager, 150 Dexter Court, Elgin, IL 60120 or to such other address and/or authorized representatives as either party shall designate in writing to the other in the manner herein provided. ARTICLE XI. INDEMNIFICATION. To the fullest extent permitted by law, Contractor agrees to and shall indemnify, defend and hold harmless the City, its officers, employees, boards and commissions from and against any and all claims, suits, judgments, costs, attorney's fees, damages or any and all other relief or liability arising out of or resulting from or through or alleged to arise out of any acts or negligent acts or omissions of Contractor or Contractor's officers, employees, agents or subcontractors in the performance of this CONTRACT, including but not limited to, all goods delivered or services or work performed hereunder. In the event of any action against the City, its officers, employees, agents, boards or commissions covered by the foregoing duty to indemnify, defend and hold harmless, such action shall be defended by legal counsel of the City's choosing. ARTICLE XII. PUBLICITY. The CONTRACTOR may not use, in any form or medium, the name of the City of Elgin for public advertising unless prior written permission is granted by the CITY. ARTICLE XIII. AUTHORIZATION. This CONTRACT is in the best interests of the CITY and is authorized by law. If, for any fiscal year during the term of the CONTRACT, sufficient funds for the discharge of the CITY'S obligations under the contract are not appropriated and authorized, then the CONTRACT shall terminate as of the last day of the preceding fiscal year, or when such appropriated and authorized funds are exhausted, whichever is later, without liability to the CITY for damages, penalties or other charges on account of such termination. ARTICLE XIV. NO AGENCY. This CONTRACT shall not be construed so as to create a joint venture, partnership, employment or other agency relationship between the parties hereto, except as may be specifically provided for herein. ARTICLE XV. CONFLICT. In the event of any conflict between the terms provided in any attachments hereto and the body of this CONTRACT, the terms and provisions of this CONTRACT shall control. ARTICLE XVI. ENTIRE AGREEMENT. This CONTRACT embodies the whole agreement of the parties. There shall be no promises, terms, conditions or obligations other than those contained therein; and this CONTRACT shall supersede all previous communications, representations, or agreements, either verbal or written, between the parties. ARTICLE XVII. COMPLIANCE WITH LAWS. Notwithstanding any other provision of this CONTRACT it is expressly agreed and understood that in connection with the performance of this CONTRACT that the CONTRACTOR shall comply with all applicable Federal, State, City and other requirements of law, including, but not limited to, any applicable requirements regarding prevailing wages, minimum wage,workplace safety and legal status of employees. CONTRACTOR shall also at its expense secure all permits and licenses, pay all charges and fees and give all notices necessary and incident to the due and lawful prosecution of the work, and/or the products and/or services to be provided for in this CONTRACT." OkF I R E VI EW'" FireView Desktop Conversion Exhibit A Janua 24,2008 General Requirements Client Project Management Critical to the success of every implementation is having the appropriate client staff prepared to be active participants and to understand what is expected from them for the duration of the implementation. Two critical components to this implementation pertain to local knowledge of data schema for the RMS or CAD data sources and what data should be available for mapping and reporting. Database Schema The client should expect to provide staff resources who can demonstrate knowledge of the tabular structure (schema) of the RMS, CAD and other data sources. These persons will be expected to assist Omega Technicians in building SQL statements that includes all the fields of data that the client wants for mapping and reporting. This assistance would primarily be in the form of understanding database structure and table relationships. Report Data The client should expect to provide staff resources who can confirm what data needs to be included for mapping and reporting. These persons should have direct experience in working with data through current extractions from the RMS, CAD and other data sources. The Omega Group maintains an inventory of data extraction templates (e.g. SQL Statements) that can be used to as a starting point for the development of a customized data interface. However, having client staff that can provide local knowledge of the database can reduce the overall project time, facilitate the ongoing maintenance of the application and produce a more useful mapping and reporting environment. • Server and Workstation Hardware: The client will provide the hardware to be utilized in conjunction with FireViewTM. Hardware may include user workstation(s) as well as file server(s) to store GIS and incident data. • The Omega Group recommends the client to maintain a database of relevant Geographic Information in a file server for the FireViewTM application(s) to access. This database will be a warehouse of street, boundary and point data, as well as incident data layers imported from the client's data systems. • Workstations that meet the recommended specifications (specifications provided on Quote) will access the database of GIS data through its internal network environment. • Alternative hardware configurations should be discussed prior to customer purchase of the FireViewTM software and service solution. • Boundary and Landmark Features: The Client shall provide files of relevant boundaries and landmarks within the area of interest. Typically the reference data is a street centerline file, address points or a parcel layer. It is important that the street network file accurately support networking functions, including travel speeds, one-way streets, prohibited turns, overpasses, underpasses, and closed streets, where appropriate. It will be the client's responsibility at all times to ensure that the Street Network is accurate and compliant with the FireView application. Unless specifically stated in the quote as a Professional Service or Software/Data delivery item The Omega Group is not responsible for providing and/or maintaining networkable street data. • Remote Connectivity: Secure or confirm remote access via the use of Expert City's GoToMyPC or the use of a VPN Connection. • Establishing Remote Connection to the Server(s). ■ Data Collection, Installation and Technical Support may be performed through remote connection, reducing cost of project and time it takes to complete services • Omega Recommends ExpertCity's GoToMyPC or VPN for remote connections ■ Provide Network IP Address if VPN is used • If the client is unable to provide high speed remote access with GoToMyPC or similar connection software to The Omega Group for the collection of the required data sets then an additional fee will be charged to the client based on the additional time required for data collection. • Prior to the FireViewTM Desktop Installation: the following items should be completed by the Network Administrator / GIS Coordinator and FireViewTM User: • ESRI Training Course: The FireViewTM Users/ Onsite Administrators have completed ESRI's Introduction to ArcView (course) Information may be found at website: http://training.esri.com/ilt/schedule/index.cfm ■ The Omega Group highly recommends all personnel working with FireViewTM to have the Introduction to ArcGIS I and/or Introduction to ArcGIS II training in addition to FireViewTM training. At least one person, preferably the on-site administrator, should have a solid understanding of ArcGIS (ArcMap and ArcCatalog). The Omega Group requires that at least the system administrator or primary user receive ArcGIS training prior to receiving FireViewTM training. • FireViewTM Desktop Training Facility: The client has secured an adequate room with network and internet access to train individuals on FireViewTM 9 Elgin Fire Department, Illinois The Omega Group,Inc. The room will require each workstation to be installed and licensed with a copy of ESRI's ArcView 9.x and ESRI's Spatial Analyst 9.x. The client will install the ESRI software. Please Note: Changes to the RMS database(s) may impact the performance of each Import Profile (Interface). Modifications to the interface between each RMS and the Omega Import Wizard (via the Import Profile) are not necessarily covered under support and may be subject to additional costs. 10 February 8, 2008 TO: Mayor and Members of the City Council FROM: Olufemi Folarin, City Manager SAFE COMMUNITY John Henrici, Fire Chief SUBJECT: Contract with The Omega Group for the Purchase of FireView Desktop Emergency Response Analysis and Management Software PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to consider an exception to the procurement ordinance for the purchase of FireView Desktop Emergency Response Analysis and Management Software from The Omega Group, Inc. RECOMMENDATION It is recommended that the City Council consider the purchase of FireView Desktop Emergency Response Analysis and Management Software from The Omega Group, Inc. in the amount of $23,875. BACKGROUND FireView Desktop is a unique application sold only by The Omega Group, Inc. Additionally, The Omega Group, Inc. is the only company authorized to provide development and deployment services (customization, installation, training and technical support) of the aforesaid product. FireView is an extension to ESRI's ArcMap that provides Fire and Emergency Response Agencies with mapping tools to help review existing deployment policies and develop new strategies. FireView integrates Fire and EMS data from the Elgin Fire Department's records management system with a Geographic Information System (GIS), enabling the Elgin Fire Department to easily map and analyze the incident response data. The Elgin Fire Department has been a client of The Omega Group since January, 2001 using the FireView desktop application for ESRI's ArcView 3.x. The Elgin Fire Department is now interested in expanding its mapping and analysis capabilities by leveraging the most current mapping technology on the market today, using ESRI's ArcGIS 9.2. The Omega Group has proposed to upgrade Elgin Fire Department's original FireView application to the current standard, which includes both software and professional services to rebuild the application. Given Omega's existing familiarity of the department's Records Management System database and staffing, The Omega Group is able to use its experience and knowledge to eliminate redundant procedures in upgrading the mapping capabilities, thereby saving the Elgin Fire FireView Desktop Emergency Response Analysis and Management Software February 8, 2008 Page 2 Department costs on professional services. The Elgin Fire Department will also benefit from having all its customer service and maintenance issues for their mapping to be fully supported under a single maintenance plan via The Omega Group. There are sufficient funds budgeted ($24,000) and available ($24,000) in the General Fund, account number 010-2801- 735.15-07, "Computer Software" project number 289170, "FireView Software", to purchase the program. LEGAL IMPACT The proposed agreement would require an exception to the procurement ordinance. Exceptions to the procurement ordinance require the affirmative vote of two-thirds of the members of the City Council. ALTERNATIVES 1. The City Council may choose to purchase the software program from The Omega Group, Inc. 2. The City Council may choose not to purchase the software program from The Omega Group, Inc.
