INDEMNIFICATION AGREEMENT
THIS INDEMNIFICATION AGREEMENT("Agreement") is made and entered
into as of the IB th day of 0 e. (month) 2008,by and between Otty of Elgin, and
School District U-46 ("District").
Whereas, police liaison officers from City of Elgin Police Department need access to
their police department's network while situated at District schools to assist in
performing their police duties in an efficient and effective manner; and
Whereas, the District agrees to allow police liaison officers from City of Elgin Police
Department to access their police department's network through a virtual private network
using the District's network as the initial access point.
Now, therefore, in consideration of each party agreeing to the statements referred to
above, and for other good and valuable consideration, the parties hereby agree as follows:
To the fullest extent permitted by law, City of Elgin shall indemnify, defend,protect, and
hold the District, including its officers, officials,board members, and employees
harmless from any liability, claim, demand, damages, loss,judgment, lien, penalty, fine,
interest, cost and expense (including reasonable attorneys' fees and litigation costs)
arising out of or in conjunction with its employees and/or agents use of District's network
to access and utilize City of Elgin Police Department's virtual private network. Nothing
contained in this section, or in any other provision of this Agreement, is intended to
constitute nor shall constitute a waiver of the defenses available to the District and City
of Elgin under the Illinois Local Governmental and Governmental Employees Tort
Immunity Act, with respect to claims by third parties.
IN WITNESS WHEREOF, the parties hereto have entered into this Agreement as of the
date first written above.
