RESOLUTION
AUTHORIZING EXECUTION OF AMENDMENT NO. 1 TO AGREEMENT
WITH CRAWFORD, MURPHY& TILLY FOR THE HIGHLAND AVENUE
WIDENING AND RECONSTRUCTION PROJECT
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
Olufemi Folarin, City Manager,and Dolonna Mecum,City Clerk,be and are hereby authorized and
directed to execute Amendment No. 1 on behalf of the City of Elgin with Crawford,Murphy&Tilly
for additional design engineering services for the Highland Avenue Widening and Reconstruction
Project, a copy of which is attached hereto and made a part hereof by reference.

First Amendment Agreement
This Amendment Agreement No. 1 is hereby made and entered into this 6.2c40( day of
� .( , 2007,by and between the City of Elgin, an Illinois Municipal Corporation
(hereinafter referred to as "CITY") and Crawford,Murphy, and Tilly, Inc., a Delaware
corporation, (hereinafter referred to as "ENGINEER").
WHEREAS, the parties hereto have previously entered into an Agreement dated July 27th,
2005, attached hereto as Attachment"A" (hereinafter referred to as "ORIGINAL
AGREEMENT"); and
WHEREAS, ORIGINAL AGREEMENT (at paragraphs IV (A) and(B))provided for a
maximum payment of$226,581.68,
WHEREAS, the parties hereto have each determined it to be in their best interest to amend
Original Agreement; and
WHEREAS, the CITY has determined that the proposed scope of the PROJECT should be
modified to include the addition of traffic work and preparation of an Intersection Design Study
for the intersection of Highland Avenue and N. Airlite Street; and
WHEREAS, the circumstances necessitating the change in performance contemplated by this
amendment were not reasonably foreseeable at the time Original Agreement was signed; the
change contemplated by this Amendment Agreement is germane to the original agreement as
signed; and this Amendment Agreement is in the best interests of City and is authorized by law.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
and other good and valuable consideration, the sufficiency of which is hereby mutually
acknowledges, the parties hereto hereby agree as follows:
1. Section I (B)of the Original Agreement is hereby amended by adding the following
additional text to the end thereof which reads as follows: "ENGINEER shall also
perform the additional services for the PROJECT to include additional traffic work and
the preparation of an Intersection Design Study for the intersection of Highland Avenue
and N. Airlite Street."
2. Section I (C) of the Original Agreement is hereby amended by adding the following
additional text to the end thereof which reads as follows: "A detailed Scope of Services
for the additional services provided by the First Amendment Agreement is attached
hereto as Attachment A-1."
3. Paragraphs IV(A) is hereby amended to read "For services provided by the
ENGINEER as described in Attachment A of the original agreement, as described in
Attachment A-1 in this First Amendment Agreement, ENGINEER shall be reimbursed

at the rate of 3.0 times the direct hourly rate of personnel employed on this PROJECT
as set forth in Attachment B of this First Amendment Agreement, with the total fee not
to exceed $243,527.12 regardless of the actual time expended or actual costs incurred
by the ENGINEER unless substantial modifications to the Scope of Work are
authorized in writing by the DIRECTOR."
4. For outside services provided by the other firms or subconsultants, the CITY shall pay
the ENGINEER the invoiced fee to the ENGINEER, plus five percent(5%). Any such
payment or payments to the ENGINEER for outside services are included in the total
fee provided in subparagraph IV(A) above and shall not cause the total cost of the
project to exceed$243,527.12.
5. Except as amended by the First Amendment Agreement the Original Agreement
between the parties shall remain full force and effect.

SUBJECT: Amendment No. 1 to an Agreement with Crawford, Murphy & Tilly for
Additional Design Engineering Services for the Highland Avenue Widening and
Reconstruction Project
PURPOSE
The purpose of this memorandum is to provide the Mayor and members of the City Council with
information to consider Amendment No. 1 to an agreement with Crawford, Murphy & Tilly
(CMT) for additional Phase 1 design engineering services for the Highland Avenue Widening
and Reconstruction Project.
RECOMMENDATION
It is recommended that City Council authorize Amendment No. 1 with CMT in the amount of
$16,945.44 and authorize staff to execute the necessary documents.
BACKGROUND
The original agreement with CMT for Phase 1 design engineering services for the subject project
($226,581.68) was authorized by City Council on August 13, 2005. This project will provide for
the reconstruction of Highland Ave. from McLean Blvd. to Randall Rd. with a three lane cross
section that includes curb and gutter and storm sewer. Per an intergovernmental agreement with
Kane County for maintenance of this section of Highland Avenue, Kane County and the City
will share the construction cost on a 50%-50% basis. The City has applied for Federal funding to
pay a portion of the construction cost. If the funding can be obtained, it will be utilized as the
primary source of funding and the balance of the cost will be split between the City and Kane
County.
Amendment No. 1 ($16,945.44) will address completing an Intersection Design Study (IDS) for
the Highland Ave./Airlite St. intersection. The IDS is being required by IDOT to determine if
traffic signals are warranted for this intersection. A copy of Amendment No. 1 is attached as
Exhibit A.

The original project scope did not anticipate the need to complete an IDS for the
Highland/Airlite intersection. Current traffic projections for this intersection indicate that traffic
volumes may be high enough to warrant a traffic signal. Completion of the IDS will make this
determination.

FINANCIAL IMPACT
Amendment No. 1 with CMT will total $16, 945.44. Funding for this amendment is available in
the Riverboat Lease Fund, account number 276-0000-791.93-80, "Public Ways/Street
Improvements", project number 339829, "Highland Avenue Improvements" ($227,000 budgeted
and $17,000 available). The revised not-to-exceed agreement amount with CMT will total
$243,527.12.
