WITNES SETH WHEREAS, the City and the Consultant have previously entered into a Professional Services Agreement dated October 27, 2004, wherein Consultant provided to the City certain consulting services regarding the site investigation at 520 McBride Street and 502 N. Grove Avenue Sites; and WHEREAS,the City has determined it to be necessary and desirable to obtain the further assistance of the Consultant to provide continued consulting services regarding the environmental consulting services for the sites at 520 McBride Street, 502 N. Grove Avenue and 40 Ann Street. NOW, TEREFORE, for an in consideration of the mutual promises and covenants contained herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. The Professional Services Agreement between the City and the Consultant dated October 27, 2004 is hereby amended as follows: A. Paragraph 1 entitled "Scope of Work" is amended by adding an additional paragraph thereto to read as follows: " Consultant shall also perform and direct the necessary qualified personnel to perform the professional services as set forth in the Scope of Services documents entitled Terracon Proposed for Environmental Consulting and Engineering Services Brownfield Redevelopment Initiative - Former Elgin Public Works yard, 520 McBride Street and 502 N. Grove Avenue, consisting of ten (10) pages, attached hereto and made a part hereof and made a part hereof as Exhibit I-A." B. Paragraph 2 entitled "Schedule and Term" is amended by adding an additional paragraph thereto to read as follows: "Consultant's responsibility to provide the services in Exhibit 1-A shall commence as of July 27, 2006, and shall continue until the date the City determines that all of the Consultant's work regarding the services in Exhibits 1-A has been completed. Consultant shall perform the services described in Exhibit 1-A in as expeditious a manner as reasonably practicable." C. Paragraph 3 entitled "Fees" is amended by adding subparagraph C thereto to read as follows: C "Payments for services provided by the Consultant set forth in Exhibit 1-A hereof shall be reimbursed at the hourly rate of its professional and technical personnel as set forth in Exhibit 2-A attached hereto and made a part hereof by this reference with the total fees and expenses due to be paid to the Consultant for the services described in Exhibit I- A not to exceed $89,284 regardless of actual time expended or actual costs incurred by the Consultant unless material modifications to the Consultant's Scope of Services are authorized in writing by the City and approved by the City Council. Consultant's cost estimates for the various aspects of the services to be performed in Exhibit 1-A are set forth in Exhibits 1-A. The costs of all subcontractors are included in such not-to-exceed figure of$89,284." 2. That except as expressly amended herein the terms of the Professional Services Agreement between the City and the Consultant dated October 27, 2004 shall remain in effect and shall apply to the additional services to be performed by the Consultant as described in this Amendment Agreement and as set forth in Exhibit 1-A hereto. 3. This Amendment Agreement and the changes to the original Professional Services Agreement between the CITY and CONSULTANT DATED October 27, 2004 as provided in this Amendment Agreement are in the best interests of the CITY and authorized by law. PROJECT INFORMATION A. Grant Funding Status In May 2006, Terracon assisted the City of Elgin with the preparation and submittal of a Brownfield Redevelopment Grant (BRG) amendment to secure additional funding from the Illinois EPA to conduct site assessment and evaluation of the Former Elgin Public Works Yard. Under the grand amendment, the proposed services will be eligible for grant reimbursement on a 70:30 cost sharing basis (i.e. 70% IEPA grant; 30% City matching funds). Based on follow up with the (EPA's Office of Brownfields Assistance (OBA), the proposed grant by OBA and has been reviewed and approved by OBA. The final grant amendment documentation is in the process of being transmitted to the City of Elgin. B. Site Description The new site that is the subject of this BRG amendment is as follows: • Former Elgin Public Works Yard 40 Ann Street, Elgin, IL 60120 LPC # 0894385190 The existing site, currently covered by the City's Brownfield Grant, is as follows: • Elgin Lumberyard Site/Siegle's Home & Building 520 McBride Street, Elgin, IL 60120 LPC# 0894385514 C. Site Background 1. Former Elgin Public Works Yard—40 Ann Street This site previously served as the City of Elgin's municipal public works yard for several decades. The City ceased operations at the facility and intends to incorporate the site into the North Grove Redevelopment Area which is comprised of several parcels along the Fox River, north of the Gail Borden Library. Prior environmental work at the site includes a Phase I Environmental Site Assessment (ESA) that was performed in 2001' and leaking underground storage tank (LUST) incident reporting associated with the removal of two underground storage tanks (USTs). Reports related to LUST incident No. 20010306 are filed with the IEPA LUST division. City of Elgin Terracon Consultants,Inc. Brownfield Redevelopment Grant Program Former Elgin Public Works Yard Terracon Proposal No. P060664 June 21,2006 has not yet been closed due to the presence of interfering contamination that is believed to be attributable to other sources. Terracon is also aware of other USTs that have not been previously removed from the site. In addition to UST issues, the Phase I identified several recognized environmental concerns (RECs) pertaining to the 40 Ann Street portion of the site including the following: ➢ 1950 Sanborn Fire Insurance map shows an oil tank elevated on a trestle, two oil tanks and a pump island associated with the Reiner Oil Company facility located at the west end of Ann Street. An oil warehouse and three concrete pads for oil tanks were also evident. ➢ Fill and vent pipes were observed at the southeast corner of the garage structure (now demolished). At the time of the site assessment, the City's Fire Marshal, Mr. Steve Bone, stated that there was a tank present, but the contents are unknown. ➢ An UST excavation was noted on the east side of the garage. USTs were identified to be associated with this excavation and a release had been reported to Illinois Emergency Management Agency (IEMA). ➢ Numerous chemicals were used at the Sites. Staining was observed under empty above ground storage tanks and 55-gallon oil drums. Chemical storage practices were observed to be inadequate in some areas. In addition, the Phase I ESA cited the potential for several off-site sources of contamination that may have impacted the site. It should be noted that the City has previously addressed UST issues and hydraulic.lifts that were associated with the former Public Works Garage that was located to the south of Ann Street. Terracon documented the removal of the UST in a report dated December 2003 (Terracon Project No. 44037059). The former garage, which was demolished in October 2003, was conveyed to the Gail Borden Library and is now a portion of the parking lot for the library. This portion of the Public Works Yard is no longer owned by the City of Elgin and is not part of the proposed site for the purposes of the services described herein. 2. Elgin Lumber Yard Site— 520 McBride Street This site is currently part of the City's Brownfield Grant Program. During the supplemental site investigation phase, elevated concentrations of lead and PCBs were detected in the southwest corner of the site. The detected concentrations indicate the presence of soils that would be deemed hazardous waste. Further delineation of this impact is desired to facilitate development of cost estimates for disposal of the material based on the Remedial Action Plan. To-date, Illinois Site Remediation Program (SRP) reporting for this site has included submittal of a Phase I ESA (ENSR May 2002), Site Investigation Report (ENSR, November 2002) and Supplemental Site Investigation Report/Remediation Objectives Report/Remedial Action Plan (Terracon, March 2006). 3 City of Elgin Brownfield Redevelopment Grant Program Terracon Consultants,Inc. SCOPE OF WORK The objective of the scope of work is to obtain the information necessary to complete an updated and comprehensive site assessment and to enroll the site into the Illinois SRP to obtain a No Further Remediation Letter. The work tasks that will be conducted are expected to include the following: • Task 1 — Phase I ESA • Task 2— Site Investigation • Task 3— Remediation Objectives Report • Task 4— Remedial Action Plan • Task 5— Regulatory Coordination • Task 6 - Grant Administration and Project Management Terracon's proposed scope of service to facilitate redevelopment of the Former Elgin Public Works Yard and complete soil delineation at the Elgin Lumber Yard Site will encompass the following tasks: Task 1 — Phase I Environmental Site Assessment A Phase I Environmental Site Assessment (ESA) will be completed for the site which is defined as the area north of Ann Street, west of North Grove Avenue and McBride Street, south of the Elgin Salvage Yard property and east of the Fox River. Based on available records, the site is approximately five acres. The Phase I ESA will be performed to meet the requirements of the ASTM Standard E1527-05, Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process. This ASTM standard reflects the new All Appropriate Inquiry(AAI) rule for assessment of properties. The Phase I ESA will develop information to identify recognized environmental conditions (RECs). The Phase I will consist of the following components: • Perform on-site reconnaissance of the site, including a review of surrounding properties; • Conduct interviews with past owners/operators and City officials to obtain information indicating RECs associated with the site; • Collect and review historical use information from reasonably ascertainable sources to document past land use to 1940 or when the site was initially developed, whichever is earlier; • Obtain land title records and conduct a search to include environmental liens and/or land use limitations; • Review regulatory records pertaining to the site and off site properties within standard search radii of the site; • Review various public records to help identify recognized environmental conditions associated with the site or surrounding properties; • Prepare a final report which details the assessment findings, identifies recommendations, and includes supporting documentation. 4 City of Elgin Terracon Consultants,Inc. Brownfield Redevelopment Grant Program Former Elgin Public Works Yard Terracon Proposal No. P060664 June 21, 2006 Task 2—Site Investigation 2A - Work Plan Upon completion of the Phase I ESA report, a work plan will be developed to investigate the site. The work plan will be developed in accordance with the Illinois Site Remediation Program (SRP) requirements and will identify sampling procedures, laboratory analytical methods, and quality control methods for the work. In addition, a site-specific Health and Safety Plan (HASP) will be prepared to conduct the field investigation activities. The HASP will be used by Terracon field personnel to guide drilling and sampling activities. The HASP will provide a list of emergency telephone numbers and directions to the nearest medical facility in the event of an accident. Terracon will utilize the Phase I ESA findings to determine the location of proposed soil and groundwater sampling locations to assess potential contamination source areas. In general, Terracon will develop the work plan to pursue a Comprehensive (as compared to Focused) Site Investigation. A comprehensive site investigation will lead to a No Further Remediation (NFR) letter that is the least restrictive in terms of site conditions and/or limitations. A comprehensive site investigation is generally beneficial in situations where the site use will change from industrial to residential.. 213—Geophysical Survey Terracon's recommended approach for the subject site is to utilize a combination of field magnetometer and electro-magnetic survey instruments in an effort to detect the presence of buried metal objects. The magnetometer will passively detect interferences in the earth's magnetic field caused by objects in the subsurface. The instrument is generally suitable for detection of ferrous objects such as underground storage tanks (USTs). The electro-magnetic methods (Geonics EM-31 instrument) will measure the interaction between the earth's electromagnetic field and a current produced in an induction coil which is part of the EM instrument. This instrument is useful in detecting subsurface material changes and in detecting underground conductive materials. In combination, and with interpretation of the results by an experienced geophysicist, the survey may prove beneficial in detecting the presence of subsurface anomalies that are related to a UST. If a specific location of a UST can be identified, then the planned soil boring layout can be adjusted to obtain subsurface samples in that location. It must be noted that the results of the geophysical techniques are affected by subsurface conditions that are unknown and may or may not prove to be beneficial. See the enclosed proposal from Fromm Applied Technology for additional information related to the potential for cultural interferences. Terracon will subcontract the work to a qualified and experienced geophysicist and work with the subcontractor to interpret the results to evaluate the site. The proposed survey cost is based on a maximum of three days of field survey effort. 2C - Soil and Groundwater Assessment—40 Ann Street Terracon will utilize generally accepted environmental sampling procedures to assess current site conditions including advancement of soil borings and installation of groundwater monitoring wells. For the soil investigation, GeoProbe sampling will be conducted as a means of maximizing the production rate of field sampling activity. Terracon also recommends that both the upper layer of soil (0 to 3 feet) and the subsurface soils(below 3 5 City of Elgin Terracon Consultants,Inc. By analyzing the upper 3-foot soil interval, the ability to utilize engineered barriers to exclude the exposure route to the surficial soils is readily demonstrated. Based on the available preliminary information regarding the sites, Terracon has based its cost proposal on completing 20 borings at the site. Analytical testing will be performed for volatile organic compounds (VOCs), semi-volatile organic compounds (SVOCs), priority pollutant metals (13), and pesticides/PCBs. Further, to fully assess the site, Terracon will obtain key data to conduct a Tier 2 Tiered Approach to Corrective Action Objectives (TACO) evaluation including soil pH, total organic carbon (foc), reactive sulfide and reactive cyanide. The proposed suite of analytical parameters will be reviewed and modified, if necessary, after completion of Tasks 1, 2A and 2B to confirm its suitability for the site based on additional information obtained. Assessment of groundwater conditions is anticipated to be necessary based on information known about the site history. To characterize groundwater quality and flow direction, Terracon will construct and develop permanent monitoring wells, obtain water level measurements and collect groundwater samples. Based on the size of the parcels, Terracon has made a preliminary estimate of eight monitoring wells for the site. If existing serviceable wells are located on the site, the number of new monitoring wells may be reduced. One round of groundwater sampling is included in the proposed scope of services. Standard site characterization methods and field procedures will include: • Notification of JULIE, the utility locating service, to identify utilities at the site prior to initiating intrusive activities. Terracon will also consult with other knowledgeable parties, who may have information regarding private on-site utilities, if available. • Soil screening protocols will include use of a photoionization detector (PID) combined with olfactory and visual screening to select subsurface soil samples. • Soil cuttings generated during GeoProbe sampling will be returned to the boreholes to minimize waste disposal costs. For monitoring well installation, soils and purge water will be containerized and disposed of on a unit cost basis. • Analytical methods will be in accordance with SW-846 methods; all analytical work will be performed by an accredited laboratory. • Terracon expects to utilize Level D personal protective equipment when conducting field investigation work. 2D — Site Assessment/Delineation— 520 McBride Street Three additional soil borings are proposed for the southwest corner of the Elgin Lumber Yard, site to further delineate an area of impact that was noted in the Supplemental Site Investigation Report dated March 2006. Based on the available information regarding the site, Terracon has based its cost proposal on completing three additional borings in this area. Analytical will be performed for priority pollutant metals (13) and pesticides/PCBs. This work will be reported separately in an addendum to the SSIR/ROR/RAP report previously submitted to the IEPA. 2E - Site Investigation Report Terracon will prepare a comprehensive Site Investigation Report (SIR) to address RECs and assess the constituents of concern that are identified during the site investigation activities. 6 City of Elgin Terracon Consultants,Inc. Brownfield Redevelopment Grant Program Former Elgin Public Works Yard Terracon Proposal No.P060664 June 21,2006 The SIR will describe field methods and procedures implemented along with analytical results from soil and groundwater samples in order to characterize the lateral and horizontal extent of potential contamination at the site. The SIR will be prepared in a manner consistent with the SRP regulations (35 III. Adm. Code Part 740). As part of the SIR, analytical data will be compared to TACO Tier 1 soil remediation objectives to complete a Tier 1 screening. The screening will indicate areas of the site that exceed residential clean up standards and highlight those areas where additional assessment by A Tier 2 TACO assessment may be beneficial. Task 3 - Remediation Objectives Report Based on the results of the site investigation activities, Terracon will determine applicable remediation objectives (ROs) for the Former Elgin Public Works Yard. The development of ROs will be based on the TACO regulations (35 III. Adm. Code Part 742). Further, with the understanding that the parcels will be redeveloped for residential use, Terracon will focus on developing remediation objectives consistent with residential standards. Assuming that there are exceedances of the TACO Tier 1 residential ROs, Terracon will apply the techniques available within TACO to allow for development of improved site specific clean up objectives. The specific options that will be appropriate to the site cannot be determined at this time, but based on significant experience with similar projects, the following avenues will be considered for application at this site: • Calculation of site-specific remediation objectives using a Tier 2 evaluation. Typically this would apply to the soil component exposure route and/or the determination of groundwater conditions at the site property boundary. • Use of area background concentrations as screening tools or as direct remediation objectives. Terracon is in communication with the IEPA regarding emerging new enhancements to TACO that may allow the use of published background studies to permit higher residual PNA concentrations and reduce soil remediation efforts. This new approach provides a potential significant cost-saving strategy based on the results of the site investigation for the adjacent property which identified widespread PNA contamination • Groundwater use restrictions to exclude the groundwater exposure pathway. • Engineered barriers to prevent exposure to impacted soils through the soil ingestion and soil inhalation exposure pathways. Engineered barriers may include a variety of elements that can be integrated into the proposed redevelopment plan. For example, asphalt parking lots, building foundation slabs, clean soil cover, or other impervious structures may be utilized that will have no impact on remediation costs as they would be a necessary element of the desired redevelopment plan. The proposed cost or the ROR services excludes a Tier 3 risk assessment approach or calculation of site specific remediation objectives for dioxins/furans. 7 City of Elgin Terracon Consultants,Inc. Brownfield Redevelopment Grant Program Former Elgin Public Works Yard Terracon Proposal No.P060664 June 21,2006 Task 4 - Remedial Action Plan The Remedial Action Plan (RAP) will present the proposed solutions to the environmental issues associated with the site. Terracon will focus the RAP to be as specific as possible based on the degree of refinement of the redevelopment plan made available by the City. For example, if the location and or arrangement of buildings and parking lots are determined, Terracon will make use of these elements to the maximum extent possible in devising the RAP. If soil remediation is determined to be required, Terracon will evaluate various alternatives for site remediation and prepare the RAP based on the most appropriate method consistent with the proposed residential site development. For estimation of the project cost, Terracon has assumed that the RAP will be based on an outcome that involves soil excavation and disposal and some combination of engineered barriers. The proposed cost for RAP services excludes detailed design specifications for bidding of remedial services to contractors and does not include implementation of other potential remedial techniques such as in-situ remediation, or thermal treatment. Task 5— Regulatory Coordination From the outset of the project, Terracon will continue to develop and refine a site closure strategy that is consistent with the site redevelopment objectives and will lead to a No Further Remediation (NFR) letter. The strategy will begin by proceeding toward a comprehensive site investigation and continue its development as more environmental data is obtained. As the investigation progresses, Terracon will work with the City to help shape the redevelopment plan if necessary to minimize the cost of remediation efforts. For example, if contamination is prevalent in an area that can be used for parking instead of green space, Terracon will provide input to utilize the area for the parking and integrate the asphalt pavement as an engineered barrier. Terracon's proposed services include preparation of SRP enrollment forms for the Public Works Yard site and submittal of the reports and documents discussed herein. It is assumed that the City will directly pay the SRP enrollment fees and review costs invoiced by the IEPA. The focus on obtaining an NFR will also be accomplished by routine coordination with the IEPA Project Manager. Two project meetings and routine telephone contacts have been included in the proposed budget to assist in these coordination efforts. Terracon has considerable experience working with the IEPA and has a strong professional relationship with most of the key personnel. Much of this experience is directly related to other Elgin sites, both those enrolled in SRP and the LUST section. By maintaining strong communication with the IEPA, the project will benefit by keeping review times under control and taking advantage of new or emerging techniques. 8 City of Elgin Terracon Consultants,Inc. Brownfield Redevelopment Grant Program Former Elgin Public Works Yard Terracon Proposal No.P060664 June 21,2006 Task 6—Grant Administration and Project Management To facilitate and expedite the work, Terracon will be in regular communication with City personnel to ensure that the environmental aspects of the project are coordinated with other development plans. Terracon will attend three meetings with the City during the course of the project to facilitate such communication. Terracon will prepare quarterly progress reports for submittal to the IEPA Office of Brownfields Assistance. Each report will include reimbursement information to secure grant funds for eligible expenses incurred on the project. Terracon will also provide coordination with the IEPA and submit grant amendments if necessary to comply with the grant process and procedures. Up to four quarterly reports/reimbursement submittals and two grant amendments are included in the proposed budget. Project management activities will include review and tracking of project costs against the budget, maintenance of the project schedule, and assignment of personnel to specific tasks. As part of this task, the Terracon Project Manager will prepare timely invoices and keep the City informed of its progress regarding expenditure of the budget. If additional work items are identified that are not within the proposed scope of services, Terracon will bring these items to the attention of the City in advance for their consideration of a change order. In-house and Subcontracted Services Terracon has the necessary resources to undertake this project using existing in-house technical and support staff.
