AUTHORIZING EXECUTION OF A SECOND AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT WITH TERRACON INC. FOR
ENVIRONMENTAL CONSULTING SERVICES FOR 464 McBRIDE STREET
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
Olufemi Folarin, Acting City Manager, and Dolonna Mecum, City Clerk, be and are hereby
authorized and directed to execute a Second Amendment to Professional Services Agreement on
behalf of the City of Elgin with Terracon Inc. for environmental consulting services for 464 McBride
Street, a copy of which is attached hereto and made a part hereof by reference.

SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
THIS SECOND AMENDMENT AGREEMENT made and entered into this ZMV
day of PQU R , 2005, by and between the CITY OF ELGIN,
ILLINOIS, a munici al corporation (hereinafter referred to as the
"City") , and Terracon Inc. , a Kansas corporation, authorized to do
business in the State of Illinois, (hereinafter referred to as the
"Consultant") .
WITNESSETH
WHEREAS, the City and the Consultant have previously entered
into a Professional Services Agreement dated October 8, 2003,
wherein Consultant provided to the City certain consulting services
regarding the provision of environmental consulting services
regarding site investigation, remediation services and building
demolition at 464 McBride Street; and
WHEREAS, the City and Consultant have previously entered into
an amendment to such professional services agreement, with such
Amendment Agreement being dated May 26, 2004; and
WHEREAS, the City has determined it to be necessary and
desirable to obtain the further assistance of the Consultant to
provide continued consulting services regarding the provision of
environmental consulting services regarding site investigation,
remediation and building demolition at 464 McBride Street.
NOW, THEREFORE, for and in consideration of the mutual
promises and covenants contained herein, the receipt and
sufficiency of which is hereby acknowledged, the parties hereto
agree as follows:
1. The Professional Services Agreement between the City and the Consultant dated
October 8, 2003, as amended by the Amendment Agreement dated May 26,2004,is
hereby further amended as follows:
A. Paragraph 1 entitled "Scope of Work" is further amended by adding an
additional paragraph thereto to read as follows:
"Proposal for Supplemental Environmental and Engineering Services Elgin
Salvage Redevelopment Site 464 McBride Street Site Terracon Proposal No.
P050085., consisting of eleven (11) pages, attached hereto and made a part
hereof as Exhibit 1-B".
B. Paragraph 2 entitled "Schedule and Term" is further amended by adding an

additional paragraph thereto to read as follows:
"The Consultant's responsibility to provide the services in Exhibit 1-B shall
commence as of February 24,2005 and shall continue through the completion
of the scope of services.
C. Paragraph 3 entitled"Fees"is amended by adding subparagraph E thereto to
read as follows:
"E. Payments for services provided by the Consultant set forth in Exhibit 1-B
hereof shall be reimbursed at the hourly rate of its professional and technical
personnel as set forth on Exhibit 2 attached hereto and made a part hereof by
this reference with the total fees and expenses due to be paid to the
Consultant for the services described in Exhibit 1-B not to exceed $69,587
regardless of actual time expended or actual costs incurred by the Consultant
unless material modifications to the Consultant's Scope of Services are
authorized in writing by the City and approved by the City Council.
Consultant's cost estimates for the various aspects of the services to be
performed in Exhibit 1-B are set forth in Exhibit 1-B."
2. That except as expressly amended herein the terms of the Professional Services
Agreement as amended by the Amendment Agreement dated October 8, 2003,
between the City and the Consultant and the original agreement dated May 26,2004,
shall remain in effect and shall apply to the additional services to be performed by the
Consultant as described in this Amendment Agreement and as set forth in Exhibit 1-
B hereto.
IN WITNESS WHEREOF,the parties hereto have entered into and executed this amendment
agreement on the date and year first written above.

Dear Mr. Moller:
Terracon Consultants, Inc. (Terracon) is pleased to submit the enclosed scope of work to
the City of Elgin to provide supplemental environmental consulting and engineering
services related to the redevelopment of the Elgin Salvage Yard sites.
Based on our meeting with City representatives (Mr. Folarin, Mr. Stegall and Mr. Moller)
regarding these sites on January 27, 2005 and based on input from the Illinois EPA's
Project Manager, Terracon has developed the enclosed scope of work to continue the
process of preparing the McBride Street site for redevelopment. The next series of tasks
recommended for this site includes additional site investigation activities, and preparation of
building demolition and remediation specifications. No additional work related to the
Jefferson Avenue site is included at this time.
As an attachment to this letter, please find enclosed the following items that address the
above referenced tasks:

Terracon is submitting these items with the understanding that the terms and conditions for
the work will be based on an amendment to the existing contract between the City of Elgin
and Terracon dated October 8, 2003.

A. PROJECT INFORMATION
The Elgin Salvage Redevelopment Sites comprise two properties located at 464 McBride Street
(Main Yard) and 20 Jefferson Avenue (Jefferson Yard) in Elgin, Illinois.
Under a contract with the City of Elgin dated October 8, 2003 and amended May 26, 2004,
Terracon has completed the initial environmental tasks associated with preparing the two sites for
redevelopment. Task completed to date include:
• Review of existing docurnents
• Preparation of Phase I Environmental Site Assessment Reports
• Conducting an Asbestos Survey
• Conducting subsurface site investigation and completion of comprehensive Site
Investigation Reports for both parcels.
• Enrollment of the sites into the Illinois Site Remediation Program.
The Illinois EPA Site Remediation Program (SRP) has recently reviewed the comprehensive Site
Investigation Reports and issued comments on each site. This Scope of Work addresses
additional site investigation needs at the McBride Street site. A separate work authorization is
anticipated to be submitted to address continued needs related to the Jefferson Avenue parcel.
McBride Street Site Status
The McBride Street site was the location of the major salvage yard operations including equipment
dismantling, material segregation, crushing and baling of ferrous metals, scrap metal storage and
related activities. The site investigation was conducted to assess a wide range of potential
contaminants based on the varied operations and the large number of potential contaminants that
are associated with salvage yard operations. The results of the Site Investigation indicated
substantial contamination of soil and groundwater above TACO (Tiered Approach to Corrective
Action Objectives) Tier 1 residential clean up objectives. The IEPA has requested additional site
investigation work to delineate specific areas of the site and provide supplemental data. To
address IEPA's comments, additional soil borings, surface sampling, physical assessment, and
groundwater monitoring wells will be necessary.

Another significant project issue is the potential presence of dioxins/furans in soil and groundwater.
Dioxin/furans are contaminants associated with the operation of an on-site wire-burning incinerator
from 1981 to 1987. The presence of these contaminants is attributable to incomplete combustion
within the incinerator. Because clean up standards for dioxin/furans are not currently contained in
the TACO regulations, Terracon prepared the project work plan and conducted the investigation
based on the premise that IEPA would accept a 1.0 part per billion (ppb) soil remediation objective
for dioxin/furans. The use of the 1.0 ppb objective was based on several precedents established at
other sites under the jurisdiction of both IEPA and USEPA. However, over the last few years,
USEPA has conducted extensive research and reevaluation of the health risks associated with
dioxin/furans. These studies, although not finalized or promulgated into formal regulations, have
resulted in IEPA requiring substantially more conservative site clean up objectives at this time.
Thus, as of January 20, 2005, the IEPA has issued site-specific standards for the McBride Street
site as low as 0.0043 ppb (equivalent to 4.3 parts per trillion) 'for the residential soil ingestion
standard. With these significantly more stringent standards, additional site evaluation will be
necessary to determine those areas that are impacted by residual dioxin/furans and where
remediation may be necessary.
Terracon understands that environmental work related to the McBride Street site is presently
funded through a state grant. To meet the time constraints posed by the grant, it is necessary to
proceed as quickly as possible with the initial phases of site clean up. To meet the schedule,
Terracon is recommending a phased process that will initiate clean up work in April 2005. The first
phase of work will include asbestos abatement, building demolition, underground storage tank
(UST) removal, and removal of grossly contaminated soil as identified by the site investigation work
completed to-date.
Once the final site investigation work is completed, and following the initial remediation, a second
phase of remedial work can be anticipated. During this separate remediation effort, the site will be
addressed based on the final remediation objectives.
B. SCOPE OF SERVICES
The tasks proposed under this scope of work relate to the McBride Street site and include:

Each of the recommended tasks is described below.

Task 1000—Additional Site Investigation
Terracon has recommended to the City additional site investigation activities to address the specific
questions posed by the IEPA's review letter dated January 12, 2005. The additional site
investigation will aid in defining specific areas of the site that will require remediation and provide
data to further refine the proposed remedial plans and associated costs. Elements of the additional
site investigation are described below.
Work Plan
Upon receipt of the City's authorization, a work plan will be developed to perform the supplemental
investigation of the Salvage Yard sites. The work plan will be developed in accordance with Illinois
SRP requirements and will identify sampling procedures, laboratory analytical methods, and quality
control methods for the work.
In developing the work plan, Terracon will build upon the information obtained during the initial site
investigation studies to determine the appropriate locations of proposed soil and groundwater
sampling locations. Terracon will consult with the IEPA Project Manager to reach a common
understanding of the site investigation plan. The focus of the work will be to delineate
contamination source areas, assess the presence of dioxinifurans, and evaluate areas that may
exceed the soil attenuation capacity.
Soil and Groundwater Assessment
In conducting the additional investigation, Terracon will utilize generally accepted environmental
sampling procedures to assess and delineate current site conditions by means of advancement of
soil borings and installation of groundwater monitoring wells. For the soil investigation, GeoProbe
sampling will be conducted as a means of maximizing the production rate of field sampling activity.
Based on the IEPA comments, Terracon proposes to advance 30 soil borings at the McBride
Street site. The analytical schedule is similar to the initial site investigation, but will be tailored to
the specific contamination source areas identified during the original investigation program. This
will help to reduce the overall analytical costs. The primary analytical parameters will include semi-
volatile organic compounds (SVOCs), priority pollutant metals (13), and PCBs. To address
concerns related to soil attenuation limits, field assessment using Petroflag test kits and analytical
testing for total petroleum hydrocarbons (TPH) will be performed. In addition, sampling for
dioxins/furans will be performed using both the RapidScreen analytical procedure and the complete
USEPA Method 8290 analytical procedures. Table 3, attached, provides a list of all proposed
analytical work for the investigation.

Five additional monitoring wells will be installed on the I•AcBride parcel to delineate groundwater
contamination across the site. Two of these wells are necessary to replace wells that have been
damaged over time. One round of samples is included in the proposed scope of services to
sample and analyze each of the new wells.
Four tree product gauging wells will also be installed in the area of concern located in the northwest
portion of the McBride Site where free product was encountered. These wells will be utilized to
further- delineate the area where free product is present. These wells will be gauged for the
presence of free product; analytical sampling is not anticipated at this time.
Standard site characterization methods and field procedures will include:
• Notification of JULIE, the utility locating service, to identify utilities at the site prior to initiating
drilling activities. Terracon will also consult with other knowledgeable parties, who may have
information regarding private on-site utilities, if available.
• Soil screening protocols will include use of a photoionization detector (PID) combined with
olfactory and visual screening to select subsurface soil samples.
• Soil cuttings generated during GeoProbe sampling will be returned to the boreholes to
minimize waste disposal costs. For monitoring well installation, soils and purge water will be
containerized and disposed of on a unit cost basis.
• Analytical methods will be in accordance with SW-846 methods: all analytical work will be
performed by an accredited laboratory.
• Terracon expects to utilize Level D personal protective equipment when conducting field
investigation work.
Task 1100 — Building Demolition and Initial Remediation Specifications
To solicit contractor bids for the demolition of the on-site structures and implement the initial
remediation elements, a complete bid specification package will be prepared. This bid
specification will address the following efforts:
Asbestos Abatement'
• Building Demolition (Including Concrete Foundations and Special Structures)
• Underground Storage Tank Removal
• Removal and Disposal of Drurnmed Materials and Miscellaneous Debris
• Environmental Remediation (Areas of Gross Contamination)
• Site Controls and Utilities
• Site Grading and Removal of Visually Impacted Surface Soils
Costs associated with abatement specifications were budgeted under Amendment No. 1 of the contract
and are not duplicated herein.

The bid specification will be prepared to include the City of Elgin's standard general conditions and
agreement forms to address contracting issues such as bonding, insurance, EEO participation and
union wage scales.
As part of this task, Terracon will update the project cost estimate based on the final specifications,
provide coordination with City staff to publicly bid the work, attend one pre-bid meeting with
prospective contractors (site walk through); and review and tabulate the bids received.
Future work associated with the site will include environmental field oversight during the demolition
work. During the demolition process, Terracon anticipates the need to conduct sampling and
assessment of various subsurface features such as pits, floor drains, pipe chases and similar items
that cannot cost-effectively be investigated prior to building demolition. Following the remediation,
the City should expect that the IEPA will require confirmation sampling to ensure that the
remediation objectives are met. Effort and costs to conduct this work is not included in this scope
of work.
C. SCHEDULE
Bid specifications will be prepared for release to Contractors by February 18, 2005.
Additional site investigation will be conducted from February 15 to April 15, 2005.
D. COMPENSATION
Terracon's proposed project budget to complete the scope of work described herein is presented
on the following tables in Exhibit C:

The services will be performed on a time and materials basis in accordance with Terracon's
standard hourly rates and fee schedule. The City will be invoiced on a monthly basis for services
performed. The total not-to-exceed fee for the proposed work is $69,587.00.

SUBJECT: Amendment #2 to Environmental Testing Services Contract with Terracon Inc. at
464 McBride Street.
PURPOSE
The purpose of this memorandum is to provide the Mayor and members of the City Council with
information to consider a second amendment for environmental testing services with Terracon
Inc. at 464 McBride Street.
RECOMMENDATION
It is recommended that the City Council authorize a second amendment to the current contract
with Terracon Inc. for environmental testing services at 464 McBride Street for an amount not to
exceed $69,587.00.
BACKGROUND
The Riverfront/Center City Master Plan calls for the redevelopment of the area north of Ann
Street and west of North Grove Avenue for an upscale residential land use. This area consists of
three parcels of property: the former City of Elgin Public Works yard, Elgin Salvage, and the
former Seigle's McBride Street warehouse site. All three sites are owned by the City of Elgin.
The land area totals approximately 20 acres.
In 2002, the City accepted a grant for $4.85 million from the State of Illinois Department of
Commerce and Economic Opportunity for the purchase, remediation, and redevelopment of the
Elgin Salvage site.
In preparation for conducting the initial environmental testing at the Elgin Salvage site, the City
issued a Request for Qualifications for Environmental Consulting Services on June 20, 2003.
RFQ's were sent to eight environmental consulting firms. Qualification statements were received
from six firms on July 14, 2003. A staff committee found Terracon Inc. to be the most qualified

The Elgin Salvage redevelopment site is comprised of two properties located at 464 McBride
Street (Main Yard) and 20 Jefferson Avenue (Jefferson Yard) in Elgin, Illinois.
Under a contract with the City of Elgin dated October 8, 2003, ($96,132) and a second
amendment dated May 26, 2004, Terracon has completed the initial environmental tasks
associated with preparing the two sites for redevelopment. Task completed to date include:
• Review of existing documents
• Preparation of Phase I Environmental Site Assessment Reports
• Conducting an Asbestos Survey
• Conducting subsurface site investigation and completion of comprehensive Site
Investigation Reports for both parcels.
• Enrollment of the sites into the Illinois Site Remediation Program.
The Illinois Environmental Protection Agency (IEPA) Site Remediation Program (SRP) has
recently reviewed the comprehensive Site Investigation Reports and issued comments on each
site. This Scope of Work addresses additional site investigation needs at the McBride Street site
as required by the IEPA. A separate work authorization is anticipated to be submitted to address
continued needs related to the Jefferson Avenue parcel.
McBride Street Site Status
The McBride Street site was the location of the major salvage yard operations including
equipment dismantling, material segregation, crushing and baling of ferrous metals, scrap metal
storage and related activities. The site investigation was conducted to assess a wide range of
potential contaminants based on the varied operations and the large number of potential
contaminants that are associated with salvage yard operations. The results of the Site
Investigation indicated substantial contamination of soil and groundwater above TACO (Tiered
Approach to Corrective Action Objectives) Tier 1 residential clean up objectives. The IEPA has
requested additional site investigation work to delineate specific areas of the site and provide
supplemental data. To address IEPA's comments, additional soil borings, surface sampling,
physical assessment, and groundwater monitoring wells will be necessary.
Another significant project issue is the potential presence of dioxins/furans in soil and
groundwater. Dioxin/furans are contaminants associated with the operation of an on-site wire-
burning incinerator from 1981 to 1987. The presence of these contaminants is attributable to
incomplete combustion within the incinerator. Because clean up standards for dioxin/furans are
not currently contained in the TACO regulations, Terracon prepared the project work plan and
conducted the investigation based on the premise that IEPA would accept a 1.0 part per billion
(ppb) soil remediation objectives for dioxin/furans. The use of the 1.0 ppb objective was based
on several precedents established at other sites under the jurisdiction of both IEPA and USEPA.

However, over the last few years, USEPA has conducted extensive research and reevaluation of
the health risks associated with dioxin/furans. These studies, although not finalized or
promulgated into formal regulations, have resulted in IEPA requiring substantially more
conservative site clean up objectives at this time. Thus, as of January 20, 2005, the IEPA has
issued site-specific standards for the McBride Street site as low as 0.0043 ppb (equivalent to 4.3
parts per trillion) for the residential soil ingestion standard. With these significantly more
stringent standards, additional site evaluation will be necessary to determine those areas that are
impacted by residual dioxin/furans and where remediation may be necessary.
Terracon understands that environmental work related to the McBride Street site is presently
funded through a state grant. The remaining funds ($2,706,488) must be spent by June 30, 2005,
or an extension on the use of the funds must be granted. To meet the time constraints posed by
the grant, it is necessary to proceed as quickly as possible with the initial phases of site clean up.
To meet the schedule, Terracon is recommending a phased process that will initiate clean up
work in April, 2005. The first phase of work will include asbestos abatement, building
demolition, underground storage tank (UST) removal, and removal of grossly contaminated soil
as identified by the site investigation work completed to date.
Once the final site investigation work is completed, and following the initial remediation, a
' second phase of remedial work can be anticipated. During this separate remediation effort, the
site will be addressed based on the final remediation objectives.
SCOPE OF SERVICES
The tasks proposed under this scope of work relate to the McBride Street site and include:
• Task 1000 Additional Site Investigation
• Task 1100 Building Demolition and Initial Remediation Specifications
Each of the recommended tasks is described below.
Task 1000—Additional Site Investigation
Terracon has recommended to the City additional site investigation activities to address the
specific questions posed by the IEPA's review letter dated January 12, 2005. The additional site
investigation will aid in defining specific areas of the site that will require remediation and
provide data to further refine the proposed remedial plans and associated costs. Elements of the
additional site investigation are described below.

Work Plan
Upon receipt of the City's authorization, a work plan will be developed to perform the
supplemental investigation of the Salvage Yard sites. The work plan will be developed in
accordance with Illinois SRP requirements and will identify sampling procedures, laboratory
analytical methods, and quality control methods for the work.
In developing the work plan, Terracon will build upon the information obtained during the initial
site investigation studies to determine the appropriate locations of proposed soil and groundwater
sampling locations. Terracon will consult with the IEPA Project Manager to reach a common
understanding of the site investigation plan. The focus of the work will be to delineate
contamination source areas, assess the presence of dioxin/furans, and evaluate areas that may
exceed the soil attenuation capacity.
Soil and Groundwater Assessment
In conducting the additional investigation, Terracon will utilize generally accepted
environmental sampling procedures to assess and delineate current site conditions by means of
advancement of soil borings and installation of groundwater monitoring wells.
Based on the IEPA comments, Terracon proposes to advance 30 soil borings at the McBride
Street site. The analytical schedule is similar to the initial site investigation, but will be tailored
to the specific contamination source areas identified during the original investigation program.
This will help to reduce the overall analytical costs. The primary analytical parameters will
include semi-volatile organic compounds (SVOCs), priority pollutant metals (13), and PCBs. To
address concerns related to soil attenuation limits, field assessment using Petroflag test kits and
analytical testing for total petroleum hydrocarbons (TPH) will be performed. In addition,
sampling for dioxins/furans will be performed using both the RapidScreen analytical procedure
and the complete USEPA Method 8290 analytical procedures.
Five additional monitoring wells will be installed on the McBride parcel to delineate
groundwater contamination across the site. Two of these wells are necessary to replace wells
that have been damaged over time. One round of samples is included in the proposed scope of
services to sample and analyze each of the new wells.
Four free product gauging wells will also be installed in the area of concern located in the
northwest portion of the McBride Site where free product was encountered. These wells will be
utilized to further delineate the area where free product is present. These wells will be gauged
for the presence of free product; analytical sampling is not anticipated at this time.

TASK 1100—Building Demolition and Initial Remediation Specifications
To solicit contractor bids for the demolition of the on-site structures and implement the initial
remediation elements, a complete bid specification will be prepared. This bid specification will
address the following efforts:
• Asbestos Abatement 1
• Building Demolition (Including Concrete Foundations and Special Structures)
• Underground Storage Tank Removal
• Removal and Disposal of Drummed materials and Miscellaneous Debris
• Environmental Remediation (Areas of Gross Contamination)
• Site Controls and Utilities
• Site Grading and Removal of Visually Impacted Surface Soils
The bid specification will be prepared to include the City of Elgin's standard general conditions
and agreement forms to address contracting issues such as bonding, insurance, EEO participation
and union wage scales.
As part of this task, Terracon will update the project cost estimate based on the final
specifications, provide coordination with City staff to publicly bid the work, attend one pre-bid
meeting with prospective contractors (site walk through), and review and tabulate the bids
received.
Future work associated with the site will include environmental field oversight during the
demolition work. During the demolition process, Terracon anticipates the need to conduct
sampling and assessment of various subsurface features such as pits, floor drains, pipe chases
and similar items that cannot cost-effectively be investigated prior to building demolition.
Following the remediation, the City should expect that the IEPA will require confirmation
sampling to ensure that the remediation objectives are met. Effort and costs to conduct this work
is not included in this scope of work.
SCHEDULE
• Bid specifications will be prepared for release to contractors by February 18, 2005.
• Additional site investigation will be conducted from February 15 to April 15, 2005.

The services proposed under this second amendment will be performed on a time and materials
basis in accordance with Terracon's standard hourly rates and fee schedule. The City will be
invoiced on a monthly basis for services performed. The total not-to-exceed fee for the proposed
work is $69,587.00.

FINANCIAL IMPACT
The cost of the contract amendment with Terracon Inc. will total $69,587. Overall this project
has a budget of $4.85 million. Funding sources include a grant totaling $4.85 Million that is
intended to be used to purchase, remediate and redevelop this site. To date, $2,143,512 has been
expended on this project. There are sufficient funds available (approximately $2.7 million) in the
Riverboat Fund, account number 275-000-791.92-35, project number 039565 (Elgin Salvage
Redevelopment) for the additional environmental testing, demolition and remediation services at
464 McBride Street.
