RESOLUTION
AUTHORIZING EXECUTION OF A SECOND AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT WITH HITCHCOCK DESIGN GROUP
FOR FESTIVAL PARK CONSTRUCTION SERVICES
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
David M.Dorgan,City Manager,and Dolonna Mecum,City Clerk,be and are hereby authorized and
directed to execute a Second Amendment to Professional Services Agreement on behalf of the City
of Elgin with Hitchcock Design Group for Festival Park construction services, a copy of which is
attached hereto and made a part hereof by reference.

SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
THIS SECOND AMENDMENT AGREEMENT made and entered into this Ip*
day of dorQ , 2004, by and between the CITY OF ELGIN,
ILLINOIS, a municipal corporation (hereinafter referred to as the
"City") , and Hitchcock Design Group, an Illinois corporation,
(hereinafter referred to as the "Consultant") .
WITNESSETH
WHEREAS, the City and the Consultant have previously entered
into a Professional Services Agreement dated June 15, 2001, wherein
Consultant provided to the City certain consulting services
regarding the provision of design and engineering services for the
Festival Park Project; and
WHEREAS, the City and Consultant have previously entered into
an amendment to such professional services agreement, with such
Amendment Agreement being dated May 28, 2002; and
WHEREAS, the City has determined it to be necessary and
desirable to obtain the further assistance of the Consultant to
provide continued consulting services regarding the provision of
construction phase services for the Festival Park project.
NOW, THEREFORE, for and in consideration of the mutual
promises and covenants contained herein, the receipt and
sufficiency of which is hereby acknowledged, the parties hereto
agree as follows:
1. The Professional Services Agreement between the City and the Consultant dated June
13,2001, as amended by the Amendment Agreement dated May 22,2002,is hereby
further amended as follows:
A. Paragraph 1 entitled "Scope of Work" is further amended by adding an
additional paragraph thereto to read as follows:
"Consultant shall also perform and direct the necessary qualified personnel to
perform the professional services as set forth in the Scope of Services
documents entitled "Hitchcock Design Group Elgin Riverwalk Segment 2,
Festival Park— Part A Phase III Construction Services", consisting of nine
(9)pages, attached hereto and made a part hereof as Exhibit 1-B".
B. Paragraph 2 entitled "Time Schedule and Term" is further amended by
adding an additional paragraph thereto to read as follows:
"The Consultant's responsibility to provide the services in Exhibit 1-B shall
commence as of June 3, 2004 and shall continue through the completion of
the scope of services.
C. Paragraph 3 entitled"Fees"is amended by adding subparagraph E thereto to
read as follows:
"E. Payments for services provided by the Consultant set forth in Exhibit 1-B
hereof shall be reimbursed at the hourly rate of its professional and technical
personnel as set forth on Exhibit 2 attached hereto and made a part hereof by
this reference with the total fees and expenses due to be paid to the
Consultant for the services described in Exhibit 1-B not to exceed $39,600
regardless of actual time expended or actual costs incurred by the Consultant
unless material modifications to the Consultant's Scope of Services are
authorized in writing by the City and approved by the City Council.
Consultant's cost estimates for the various aspects of the services to be
performed in Exhibit 1-B are set forth in Exhibit 1-B."
2. That except as expressly amended herein the terms of the original Professional
Services Agreement between the City and the Consultant dated June 13, 2001, as
previously amended by the Amendment agreement dated May 22,2002,shall remain
in full force and effect and shall apply to the additional services to be performed by
the Consultant as described in this Second Amendment Agreement.
3. The changes provided in this Second Amendment to the Professional Services
Agreement between the City and Consultant dated June 15, 2001, as previously
amended by the Amendment Agreement dated May 28, 2002, are germane to the
original contract as signed,are in the best interests of the City and authorized by law.
IN WITNESS WHEREOF,the parties hereto have entered into and executed this amendment
agreement on the date and year first written above.

Thank you for asking Hitchcock Design Group to submit this proposal for professional services for
Festival Park. Congratulations again on a great groundbreaking ceremony for Par Development's River
Park Place. What an exciting time for the City of Elgin!
The City has again engaged MIC Construction as the construction manager for Festival Park including the
earthwork and environmental removals and the site improvements depicted in the re-bid construction
documents dated March 8, 2004. Bids for the site improvements were opened on March 19, 2004 and
April 22, 2004 and are in line with the project budget of$1.4 MM.
This proposal amends our existing agreement with the City in order to provide important construction
phase services for the project. As requested, we have amended our original proposal to omit the LOMR
Services provided by Hey and Associates so the City can directly contract with them. We have also
reduced the number of site visits the fee estimate is based upon, from 12 to 10.
In summary Hitchcock Design Group's construction phase services for Festival Park includes pre-
construction, administrative, observation and contract closeout for the site improvements. Other members
of the original team will be called upon, when appropriate, to review work that they designed. Rick will
supervise and participate in crucial meetings and I will manage the work of Hitchcock Design Group's
urban design team. We recommend that the City, in coordination with MIC, contract directly with
Terracon or another reputable geotechnical & environmental firm to provide the independent materials
and environmental testing that is required during construction.
We propose to provide these construction services described in the attached Scope of Services at our
standard hourly rates, plus customary out of pocket expenses not to exceed a total of$39,600. An
estimate of the hours and fees is included with this proposal.

The final construction schedule will be prepared and administered by the Construction Manager. We
have provided a preliminary schedule for fee estimate purposes only. We will coordinate our services
with the CM in order to help advance the work in a timely fashion.

Basic Services
Following your authorization, we will provide construction services until Final Acceptance or
May 31, 2005, whichever comes first.
A. Pre-construction
Following your selection of a Construction Manager(CM), we will:
1. Conduct a construction phase kick off meeting with you and the CM to:
a. confirm owner, consultant and CM responsibilities
b. confirm communications procedures
C. confirm permitting and inspection requirements
2. Conduct a pre-construction meeting with you, the CM and the Contractors to review:
a. Contractor mobilization and staging
b. Contractor schedules
C. Contractor submittals
d, responsibilities
e. communications
f. payment procedures
g. other issues as may be appropriate
B. Administration
During construction, we will:
1. Participate in weekly progress meetings at the site with you, the CM and the Contractors to
review:
a. progress of the work
b. Contractor schedules
c. Contractor submittals and requests
d. Consultant observations and recommendations
2. Issue opinions of the progress and the general conformance of the CM and Contractor's work
by communicating our observations in writing to both you and the CM.
3. Issue interpretations or clarifications of the Contract documents when requested by you or the
CM.

4. Prepare recommendations regarding shop drawings, product data and material samples which
the CM is required to submit, but only for the limited purpose of determining their general
conformance with the design concept and information contained in the Contract Documents.
This review does not include:
a. the accuracy or thoroughness of details such as quantities, dimensions, weights or gauges,
b. the appropriateness of fabrication or installation processes,
c. coordination of the work with other-trades, or
d. safety precautions
5. Prepare recommendations for construction change orders, as requested by:
a. you because of a change that you wish to make to the scope of the CM or Contractor's work
b. the CM because of the discovery of job site conditions that were concealed or unknown
when the Owner/CM Agreement was executed.
6. Prepare recommendations regarding the CM's periodic application for payment.
7. Prepare recommendations regarding the CM's request for acceptance of substantially completed
work.
C. Observations
During construction, we will:
1. Observe the work at intervals appropriate to the stage of construction to become familiarized
with the progress and quality of the CM and Contractors' work and to determine if the work is
proceding in general conformance with the contract documents.
2. Review required testing procedures and data provided by independent testing services.
D. Contract Close-out
Following Substantial Completion of the Work, we will:
1. Review required contract close out submittals provided by the CM, such as but not limited to:
a. operating and maintenance manuals
b. as-built record drawings
c. labor and material lien waivers
d. payment applications
2. Based on our observations of the work, prepare a recommendation regarding the CM's request
for acceptance of final completion.

SUBJECT: Second Amendment to the Purchase of Service Agreement with Hitchcock Design
Group for Festival Park Construction Services
PURPOSE
The purpose of this memorandum is to provide the Mayor and members of City Council with
information to consider the approval of a second amendment to the PSA with Hitchcock Design
Group for Festival Park Construction Services.
RECOMMENDATION
It is recommended that the City Council approve a second amendment to the PSA with
Hitchcock Design Group (HDG) for Festival Park construction services in the amount of
$39,600.
BACKGROUND
On June 11, 2001, the City entered into an agreement with HDG for design and engineering
services related to Festival Park and the Metra west bank projects. The contract was for a not-to-
exceed amount of $598,631. On May 22, 2002, the City Council amended the original
agreement with HDG. The amendment authorized HDG to coordinate issues related to resolve
compensatory storage issues at Festival Park and off site locations relating to the development of
the Par Town Home and Condominium Project located on South Grove Avenue. The
amendment was for the amount of$74,700.
On October 8, 2003, May 12, 2004, and July 14, 2004, the City Council authorized the award of
various construction contracts for the Festival Park Phase I improvements. The construction
contracts awarded totaled $2,316,848.
Now that construction is underway, it is important to provide construction phase services for the
project. Through the end of August, the City has incurred approximately $5,000.00 in expenses
related to construction services with HDG for the project. Staff has been waiting for the receipt
of the second payment ($500,000) from the DECO Grant 02-120523 to bring the construction
services contract amendment with HDG forward. If the City Council chooses not to proceed with

the amendment to the HDG contract, HDG will be paid for their services provided to date and an
alternative for providing construction phase services will be pursued.
HDG's construction phase services for Festival Park include pre-construction, administrative
services; observation and contract close out for the site improvements. Included in the proposed
fee of $39,600 for HDG is $19,950 in fees for other professional consultants (Patrick
Engineering - $12,740; Hey & Associates - $1,510; and T.J. Emmerich - $5,700). By providing
construction phase services, HDG can insure that payout requests are accurate, the improvements
constructed are consistent with the project as designed, insure that conflicts between design and
actual site construction are resolved and the project is closed out in an orderly and efficient
manner.

FINANCIAL IMPACT
The total cost associated with the amendment for HDG is $39,600. The total budget for Festival
Park (project number 039520) is $4,954,582 million and includes $2,525,662 from the Riverboat
Fund (275-0000-791.92-32), a 1.0 million State of Illinois DCCA grant, $570,000 from the south
Grove TIF Fund and $250,000 from Ameren Energy Corporation. A portion of the above HDG
contract is eligible for a HUD grant totaling $402,367. To date, $4.376 million has been spent.
The remaining monies required to fund this amendment ($39,600) are available in project
039520. Following an approval of this amendment $539,229 will be available for other Festival
Park Improvements.
LEGAL IMPACT
VWA second amendment to the PSA with HDG will need to be prepared.

1. Authorize the proposed contract amendment.
2. Choose not to authorize the proposed contract amendment.

SUBJECT: Second Amendment to a Professional Service Agreement with Hitchcock Design
Group
PURPOSE
The purpose of this memorandum is to provide the Mayor and members of the City Council with
information to consider a second amendment to the contract with the Hitchcock Design Group
for engineering services for the Kimball/Library Riverwalk.
RECOMMENDATION
It is recommended that the City Council authorize a second amendment to the professional
services agreement with Hitchcock Design Group in the amount of$54,000 for services related
to the Kimball/Library Riverwalk.
BACKGROUND
On August 8, 2001, the City of Elgin entered into an agreement with the Hitchcock Design
Group to plan, design, and provide preliminary engineering services for the Kimball Street
underpass. The purpose of the underpass was to provide for a safe, efficient, and aesthetic
connection between the bike path north of Kimball Street to the newly developed riverfront
improvements to the south. It was anticipated that, due to the construction of the new library and
the redevelopment of other riverfront property, a need would exist for a safe and convenient
pathway to the Center City. The amount of the contract was $108,000.
On October 3, 2003, the City Council authorized a $13,290 amendment to the contract with
HDG to develop a schematic design and preliminary engineering for a pathway along the
riverfront and Kimball Street adjacent to the new public library. This additional effort was
required when the decision was made not to proceed with the construction of the Kimball
Underpass.
It is the City's goal to use previously secured grants and donations to fund most or all of its costs
related to this improvement. Grant and donation funding was obtained from a variety of sources
for the underpass project; i.e. Forest preserve -$400,000, DCCA - $225,000 ($117,000
remaining) the Meadows Foundation -$100,000, and the Plote Family - $150,000.

The second phase of work proposed by HDG involves final design development, preparation of
construction documents, and bidding and award for the construction project. The cost for Phase
II services is $54,000. Preliminary estimates place the cost of the proposed improvements,
including Phase II , final design, engineering and bid documents, at$979,000.

:FINANCIAL IMPACT
The proposed contract with Hitchcock Design Group would total $54,000. There is currently
$620,500 budgeted and $511,990 available in the Riverboat Fund, Kimball/Library Riverwalk
project (account number 275-0000-791.92-35; project number 039532) to enter into the proposed
contract with HDG. It is estimated that the cost of the proposed construction improvements will
total $979,000. The remaining available funds ($511,990) will be supplemented by $150,000
from the Plote Family and $100,000 from the Meadows Family bringing the total of funds
committed to the project to $761,990. The remaining $217,010 required to fund the project will
be obtained by transferring $146,293 from fund 275-0000-791-92-32 project number 039518
(Riverfront/Center City Project) and $70,717 from fund 275-0000-791-92-35 project Number
039519 (Center City-Par Development).
W*�I�GAL IMPACT
An amendment to the professional service agreement with Hitchcock Design Group for
engineering services for the Kimball Street would be required.
ALTERNATIVES
1. The Council may authorize the second amendment to the HDG professional service
agreement.
2. The Council may choose not to authorize the second amendment to the HDG professional
service agreement.
