Go,v5Lic.Tiq s/civtw.va_c=iesi/NG /C4 Coif"/ Catec WHEREAS, the CITY desires to engage the ENGINEER to furnish certain professional services in connection with . condition appraisal and structural evaluation of the cast-in-plac_ framing and foundations supporting the existing Riverside Par ing Deck (hereinafter referred to as the PROJECT) . AND WHEREAS, the ENGINEER represents that h: is in compliance with Illinois Statutes relating to profes..ional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms aid conditions set forth herein below. NOW, THEREFORE, it is hereby agreed by and between the CITY and the ENGINEER that the CITY does hereby retain the ENGINEER for and in consideration of the mutual promises .:nd covenants contained herein, the sufficiency of which is herebacknowledged to act for and represent it in the engineering m_tters involved in the PROJECT, as set forth herein, subject to the following terms and conditions and stipulations, to-wit : 1. SCOPE OF SERVICES A. All work hereunder shall be perf.rmed under the direction of the Director of Economic D-velopment of the CITY, herein after referred to as the "DIRECTOR" . The ENGINEER shall perform the services relating to the Project as described herein. B. A detailed Scope of Services is attached hereto as Attachment A. 2 . PROGRESS REPORTS A. A detailed project schedule fo the Project is included ( See- Arnie-ear lei-v.? as Attachment B, attached he eto. Progress will be recorded on the project schedule and submitted monthly as &°1°-5" -""'4/44r a component of the Status Repo t described in C . below. B . The Engineer will submit to the Director monthly a Status Report keyed to the Project Sc edule . A brief narrative will be provided identifying progress, findings and outstanding issues . 3 . WORK PRODUCTS All work products prepared by the :NGINEER pursuant hereto including, but not limited too, reports, designs, calculations, work drawings, studies, photographs, models and recommendations shall be the property of the CITY and shall be delivered to the CITY upon request ol the DIRECTOR provided, however, that the ENGINEER may retain copies of such work products for its records . Such work ,products are not intended or represented to be suitable for r-use by the CITY on any extension to the PROJECT or on any other project , and such reuse shall be at the sole risk of t e CITY without liability or legal exposure to the ENGINEER. 4. PAYMENTS TO THE ENGINEER s'/ `�(o o. O 6 ,k A. The CITY shall reimburse the ENI EER for services under this Agreement on an hourly rate basis plus sub consultant and reimbursable exp-nses in a total amount not to exceed sum of Fifty-One 0. d Nine Hundred and Sixty Dollars and no/100ths , 560 . 00 regardless of actual Costs incurred by the .INE' '. unless substantial modifications to the Project are authorized in advance in writing by the City and incorporated into this Agreement by written Amendment to this Agreement approved by the Parties hereto. B. The CITY shall make periodic payments to the ENGINEER based upon actual progress within 30 days after receipt and approval of invoice . Full payments for each task shall not be made until the task is completed and accepted by the DIRECTOR. 5 . INVOICES A. The ENGINEER shall submit invoices in a format approved by the CITY. Progress repots (2C above) will be included with all payment requests . B. The ENGINEER shall maintain records showing actual time devoted and cost incurred. The NGINEER shall permit the authorized representative of .he CITY to inspect and audit all data and records of t e ENGINEER for work done under this Agreement . The EN INEER shall make these records available at reason.:ble times during the Agreement period, and for a y:ar after termination of this Agreement . 6 . TERMINATION OF AGREEMENT Notwithstanding any other provisio hereof, the CITY may terminate this Agreement at any tim upon fifteen (15) days prior written notice to the ENGINEE' . In the event that this Agreement is so terminated, the ENGINEER shall be paid for 2 services actually performed and reimb rsable expenses actually incurred prior to termination, except that reimbursement shall not exceed the task amounts set forth under Paragraph 4 above. 7 . TERM This Agreement shall become effect ve as of the date the ENGINEER is given a notice to procee. and, unless terminated for cause or pursuant to Article 5, -hall be deemed concluded on the date the CITY determines that all of the ENGINEER' s work under this agreement is compleued. A determination of completion shall not constitute a aiver of any rights or claims which the CITY may have or thereafter acquire with respect to any term or provision of he Agreement . 8 . NOTICE OF CLAIM If the ENGINEER wishes to make .. claim for additional compensation as a result of action taken by the CITY, the ENGINEER shall give written notice of his claim within 15 days after occurrence of such action. o claim for additional compensation shall be valid unless •.o made . Any changes in the ENGINEER' s fee shall be valid onl, to the extent that such changes are included in writing sigi ed by the CITY and the ENGINEER. Regardless of the decision of the DIRECTOR relative to a claim submitted by the ENGINEER, all work required under this Agreement as determined by the DIRECTOR shall proceed without interruption. 9 . BREACH OF CONTRACT If either party violates or brea hes any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the othe party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party, by reason of any defa lt, fails within fifteen (15) days after notice thereof by tie other party to comply with the conditions of the Agreeme t , the other party may terminate this Agreement . 10 . INDEMNIFICATION To the fullest extent permitted by la , ENGINEER agrees to and shall indemnify, defend and hold harmless the CITY, its officers, employees, agents, boards and commissions from and against any and all claims, suits, ju.gments, costs, attorneys fees, damages or other relief, incl ding but not limited to workers compensation claims, in anway resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including negligence or omissions of employees or agents of the ENGIN:ER arising out of the performance of this Agreement . In the event of any action against the CITY, its officers, employees, agents, boards or 3 commissions, covered by the foregoing duty to indemnify, defend and hold harmless such action shall be defended by legal counsel of the CITY' s choosing. The provisions of this paragraph shall survive any expiration and/or termination of this agreement . 11. NO PERSONAL LIABILITY No official, director, officer, agent or employee of the CITY shall be charged personally or held contractually liable under any term or provision of this Agreelent or because of their execution, approval or attempted execution of this Agreement . 12 . INSURANCE A. Comprehensive Liability. The EN1INEER shall provide, pay for and maintain in effect , •uring the term of this Agreement, a policy of compreh:nsive general liability insurance with limits of at le.:st $1 , 000, 000 aggregate for bodily injury and $1, 000, 00, aggregate for property damage . The ENGINEER shall deliver to the DIRECTOR a Certification of Insurance naming the CITY as additional insured. The policy shall not oe modified or terminated without thirty (30) days prior written notice to the DIRECTOR. The Certificate of Insuranc: which shall include Contractual obligation assumed by the ENGINEER under Article 10 entitled "Indemnification" shall be provided. This insurance shall apply as primary insurance with respect to any other insurance o' self-insurance programs afforded to the CITY. There shall be no endorsement or modification of this insurance to make it excess over other available insurance, alternatively, if the insurance states that it is exc-ss or prorate, it shall be endorsed to be primary with respect to the CITY. B. Comprehensive Automobile Liaoility. Comprehensive Automobile Liability Insurance covering all owned, non- owned and hired motor vehicles with limits of not less than $500, 000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the ge eral liability and auto exposures may be met with a combined single limit of $1, 000, 000 per occurrence sul•ject to a $1 , 000 , 000 aggregate . D. Professional Liability. The ENGINEER shall carry Engineers Professional Liability Insurance Covering claims resulting from error, om ssions or negligent acts 4 with a combined single limit of not less than $1, 000, 000 per occurrence . A Certificate of Insurance shall be submitted to the DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. 13 . CONSTRUCTION MEANS, METHODS, TECHNIQUES, SEQUENCES, PROCEDURES AND SAFETY The ENGINEER shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the construction, unless specifically identified in the Scope of Services . 14 . NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement, there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. 15 . ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. 16 . DELEGATIONS AND SUBCONTRACTORS Any assignment, delegation or subcontracting shall be subject to all the terms, conditions and other provisions of this Agreement and the ENGINEER shall remain liable to the CITY with respect to each and every item, condition and other provision hereof to the same extent that the ENGINEER would 5 have been obligated if it had done the work itself and no assignment, delegation or subcontra t had been made . Any proposed subcontractor shall requi e the CITY' s advanced written approval . 17 . NO CO-PARTNERSHIP OR AGENCY This agreement shall not be const •ued so as to create a partnership, joint venture, emplo, ment or other agency relationship between the parties her-to. 18 . SEVERABILITY The parties intend and agreed that, if any paragraph, sub- paragraph, phrase, clause or otier provision of this Agreement, or any portion thereof, sh.:ll be held to be void or otherwise unenforceable, all other p.rtions of this Agreement shall remain in full force and effec . 19 . HEADINGS The headings of the several paragrap s of this Agreement are inserted only as a matter of convenie ce and for reference and in no way are they intended to defin- , limit or describe the scope of intent of any provision of 'his Agreement, nor shall they be construed to affect in an4 manner the terms and provisions hereof or the interpretation or construction thereof . 20 . MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subj _ct matter hereof and may not be changed, modified, discharge. or extended except by written amendment duly executed by ' he parties . Each party agrees that no representations or wadranties shall be binding upon the other party unless expresses in writing herein or in a duly executed amendment hereof, o change order as herein provided. 21. APPLICABLE LAW This Agreement shall be deemed to hav- been made in, and shall be construed in accordance with th- laws of the State of Illinois . Venue for the resolution of any disputes or the enforcement of any rights pursuant t. this agreement shall be in the Circuit Court of Kane County, Illinois . 22 . NEWS RELEASES The ENGINEER may not issue any new-. releases without prior approval from the DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreem-nt without prior written 6 approval from the DIRECTOR prior to said documentation becoming matters of public record. 23 . COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the CITY' s employ or any work associated with the PROJECT. 24 . INTERFERENCE WITH PUBLIC CONTRACTING The ENGINEER certifies hereby that it is not barred from bidding on this contract as a resul of a violation of 720 ILCS 5/33E et seq. or any similar state or federal statute regarding bid rigging. 25. SEXUAL HARASSMENT As a condition of this contract, ' he ENGINEER shall have written sexual harassment policies th.:t include, at a minimum, the following information: A. the illegality of sexual harass ent ; B. the definition of sexual harass ent under state law; C. a description of sexual harassm-nt, utilizing examples; D. the vendor' s internal complaint process including penalties; E. the legal recourse, investigati e and complaint process available through the Illino ' s Department of Human Rights, and the Illinois Human 'ights Commission; F. directions on how to conta4t the department and commission; G. protection against retaliation . s provided by Section 6- 101 of the Human Rights Act . A copy of the policies must be provi.ed to the Department of Human Rights upon request 775 ILCS 5 2-105 . 26 . WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the DIRECTOR and to other participants which may affect cost or time of completion, shall .e made or confirmed in writing. The DIRECTOR may also requ' re other recommendations and communications by the ENGINEER be made or confirmed in writing. 27 . NOTICES 7 All notices, reports and documents required under this Agreement shall be in writing and s all be mailed by First Class Mail , postage prepaid, address d as follows : A. This proposal also includes concrete testing and test well excavations of sele t cast-in-place beams and a preliminary opinion of costs required to repair the sub-framing for futu e replacement of portions of the deck. OBJECTIVES The objectives for the Condition Appraisal and Structural Evaluation will be as follows: 1 . Survey the structural condition of the cast-in-place beams, pile caps, steel piles, north ramp and east retaining wall, concrete curb, noting the extent of required repairs. 2. Through non-destructive testing, using ground penthrating radar, and excavation test wells to expose critical reinforcing to determine the in-plqce reinforcement and concrete strength of the existing beams. 3. Structurally analyze the field data to determine the load capacity of the existing Riverside Deck sub-framing. d. Develop preliminary repair details and to provide an opinion of probable construction cost to complete recommended repairs or replacement. WALKER PARKING CONSULTANTS Mr. Ray Moller March 15, 2004 Revised March 23, 2004 Page 2 PROJECT UNDERSTANDING AND BACKGROUND The existing deck was reportedly built in the early to mid 1960's. No structural drawings are known to exist. Drawings would convey the intended desiOn loads, concrete strengths and steel reinforcement sizes and locations necessary to determine the structural capacity of the cast-in- place beams. It is also known that a second parking level Was removed over portions of the deck, leaving the current street level parking deck. Walker Parking Consultants/Engineers, Inc. was retained to do visual surveys of the underside of the deck in 1992, 1994, 1995, 1996, 1998 and 2003. As a result of the surveys, replacements of select deck slabs were completed in 1996 and 1999. iepairs to the cast-in-place support beams were deferred and have not been done. The visual survey in 2003 indicated that a select number of support beams had si_g_nificant deterioration and required further investigation. In the fall of 2003, the Hitchcock Design Group presentedll alternate deck redevelopment concepts and their conceptual costs to the City of Elgin. All of the$ alternates assumed that the existing deck foundations and support beams could be used to support a new deck with repairs as required. A condition appraisal and structural evaluation Of the foundations and support beams is the first step in developing a deck replacement program'. SCOPE OF WORK • The following tasks are included in the Condition Appraisol and Structural Evaluation: 1. Field survey two sides, bottom and where visible the top of all cast-in-place beams supporting the existing deck. The survey will record areas of spoiling and extent of rebar deterioration requiring repair. 2. Field survey east retaining wall, noting areas of sp011ing and rebar deterioration. 3. Field survey the north ramp from Chicago Street, rioting areas requiring repairs or preventive maintenance. 4. With the assistance of a restoration contractor, remove concrete from select beams to determine the size, spacing, location and conditioh of reinforcement. All such test wells will then be patched. 5. Using non-destructive testing equipment, test and Verify a pattern of rebar placement consistent with the test wells. 6. Determine the existing concrete beam compressiv strength, chloride ion content, and air void spacing at select locations. Concrete samples will be taken in the field and tested in the laboratory. . , WALKER • PARKING CONSULTANTS Mr. Ray Moller March 15, 2004 Revised March 23, 2004 Page 3 7. Perform non-destructive testing on a select number of piles to determine the soundness of the piles above grade. The testing, as well as field measurements and observations, will be used to establish the capacity of the piles. 8. Based on the field data, the piles and beams will be structurally analyzed to determine their load capacity. 9. Preliminary repair techniques will be evaluated and detailed to be used for estimating repair costs. 10. An estimate of probable repair and or replacemOt costs for the foundations and framing beams will be developed. 11 . A draft summary report of the full investigation Will be provided to the City of Elgin for review. 12. We will meet with the City of Elgin and other interested parties to discuss the report. 13. We will make final adjustments to the report as required and issue a final report. SCHEDULE We estimate that we can begin the field survey from the water within four (4) to five (5) weeks of authorization to proceed subject to average to water levels in the Fox River. We estimate four (4) to six (6) weeks after the survey ta complete laboratory testing, analysis, repair details, cost estimates and a draft report for your review. PROPOSED FEES We propose to provide the professional engineering services described in this proposal in accordance with the attached Walker General Condition S of Agreement on an hourly rate basis plus sub-consultant and reimbursable expenses for an estimated fee of Fifty-One Thousand Nine Hundred Sixty Dollars ($51 ,960.00) plus reimbursable eXpenses. See the attached spread sheet for a breakdown of estimated fee and expenses. We will not exceed this total fee plus expenses without your prior authorization. If proposed alternate deck replacement scheme F represents the maximum extent of deck replacement, then not all Framing beams will need to be felcl surveyed. Deleting those beams from the survey would reduce the time spent in the field 6Y one (1 ) day for two (2) men, or sixteen (16) hours, and we offer a fee reduction of One Thousand Eight Hundred Dollars ($1 ,800.00). Moller, Director of Economic De elopment SUBJECT: Riverside Deck Plaza Riverfront Improvement PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to consider a three phased approach for the eval ation of the issues relating to the design and construction of the Riverside Drive Plaza Riverfron Improvement Project. RECOMMENDATION It is recommended that the Mayor and City Council Memberauthorize a Professional Service Agreement with Walker Parking Consultants in the amoun of $51,960.00 for professional services for a Condition Appraisal and Structural Evaluation of the cast-in-place framing and foundations supporting the existing Riverside Deck. BACKGROUND The Riverfront/Center City Master Plan identifies the redev-lopment of the Riverside Drive Parking Deck as a unique opportunity to create a large urban oark/plaza amenity adjacent to the Grove Avenue retail core. The failure of portions of the deck surface last year caused ci y staff to focus on the near-term potential of the deck. Should the deck be repaired or demo ished? Last fall Walker Parking Consultants studied the recent isolated surface failures and overall structural integrity of the deck. As a result of the Walker Study, the deck was closed to traffic and parking. Following a staff review of the Walker Study, Hitchcock Design Group (H II G) was asked to explore a series of alternative plaza redevelopment concepts. Staff reviewed the various design alternatives propose by H OG and selected a concept design that would link the Civic and Festival Park riverfront and 'ecome a "front Porch" for the adjacent redevelopment block (see attached sketches). T e proposed plaza will feature segregated and landscaped routes for pedestrians, cyclis s and motorists. It will also f" Riverside Deck Plaza Riverfront Improvement April 23, 2004 Page 2 accommodate a limited number of parking places. Strategically positioned overlooks will help to link Grove Avenue to the plaza and Fox River. In order to advance this initiative with an overall level of confidence for both the potential cost and benefits of the project, a three phase approach to the prOject analysis and design is being proposed. In Phase I, under separate contract, Walker Parking Consultants is recommended to conduct a structural analysis of the existing deck substructure. This analysis will identify the structural capacity and potential cost impacts related to the 1- commended design for the deck improvements. If the Walker analysis concludes that thle substructure can support the recommended improvements with a reasonable level of rehabilitation, then the second and third phases of the project analysis may be implemented. Walker is recommended for the Phase I task based upon their Extensive knowledge of the deck's history as well as their insights into the various studies and delck improvements. Walker Parking Consultants/Engineers was retained to do visual surveys of the underside of the deck in 1992, 1994, 1995, 1996, 1998 and 2003. As a result of the surveys, replacement of select deck slabs was completed in 1996 and 1999. Repairs to the cast-in-placd support beams were deferred and have not been done. The visual survey in 2003 indicated that a select number of support beams rik had significant detonation and required further investigation. Phase II will involve Preliminary Planning Services. These services will involve research and analysis of remaining physical, regulatory and programmatic conditions at the site. Also, an analysis of the impact of the Walker Study, including cost for he proposed improvements, would be included along with the preparation of schematic progress drawings, preliminary discussions with the Army Corp of Engineers and the Department of Natual Resources, and development of a preliminary construction schedule. Phase III would include finalizing the design, engineering, bid documents and contracts for the plaza improvement. Deliverables for this phase will inclue Construction Documents, Cost Opinions, appropriate permit applications and bid tabulations. Staff recommends that the Mayor and City Council prec de with Phase I of the proposed Riverside Drive Riverfront Plaza Project. The results of the P ase I effort will drive the direction that the project will take with regard to any Phase II or HI wo k.
