RESOLUTION
AUTHORIZING EXECUTION OF A FIRST AMENDMENT AGREEMENT WITH
LARSON KRAMER AND ASSOCIATES, LTD. FOR THE HIGHLANDS OF ELGIN
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Ed Schock, Mayor, and Dolonna Mecum, City Clerk, be
and are hereby authorized and directed to execute a First Amendment
Agreement on behalf of the City of Elgin with Larson Kramer and
Associates, Ltd. for professional services for the design of
buildings at The Highlands of Elgin golf course, a copy of which is
attached hereto and made a part hereof by reference .

FIRST AMENDMENT AGREEMENT
THIS FIRST ENDMENT AGREEMENT is made and entered into this
2i2jk day of , 2003 , by and between the CITY OF ELGIN,
an Illinois munici al corporation (hereinafter referred to as
"CITY" ) and LARSON KRAMER AND ASSOCIATES, LTD. , an Illinois
corporation (hereinafter referred to as "ARCHITECT" ) .
WHEREAS, the parties hereto have previously entered into an
agreement dated December 13 , 2002 , for the ARCHITECT to furnish
certain professional services for the design of buildings at the
City' s Highlands of Elgin Golf Course (hereinafter referred to
as "Original Agreement" ) ; and
WHEREAS, the parties hereto have each determined it to be in
their best interests to amend the Original Agreement to provide
for additional services by the ARCHITECT, specifically, the
design of a temporary clubhouse, cart barn, site lighting and
range building for City at City' s Highlands of Elgin Golf
Course .
NOW, THEREFORE, for and in consideration of the mutual promises
and covenants contained herein, the receipt and sufficiency of
which are hereby mutually acknowledged, the parties hereto agree
as follows :
1 . Paragraph I of the Original Agreement entitled "SCOPE OF
SERVICES" is hereby amended by adding an additional
subparagraph H thereto to read as follows :
H. Additional services to be provided by the ARCHITECT
relating to temporary clubhouse, cart barn and range
building.
1 . Temporary clubhouse :
a. Provide an architectural layout for a temporary
clubhouse which shall include an architectural
layout, including a pro shop, washrooms and
offices;
b. Kitchen layout , including an evaluation of
existing equipment and counter details;
c . Electrical layout, including outlets and lighting
and power requirements for the building;
d. Plumbing layout for a kitchen and toilet area to
site hookup;
e . Mechanical layout , adapting temporary structure
requirements;
f . Site location; and
g . Preparation of bid documents and evaluation of
bids .
2 . Cart Barn and Range Building:
a. architectural layout including ball washers,
dispensing machines, and cart layout;
b. Structural layout for the aforementioned
buildings; mechanical plumbing and electrical as
required for the aforementioned buildings,
including cart chargers;
c . Site utilities and electrical parking layout, and
parking lot fixtures; and
d. Site lighting.
2 . Paragraph IV of the Original Agreement entitled "PAYMENTS
TO ARCHITECT" is hereby amended by adding an additional
subparagraph E thereto to read as follows :
E. For the services provided by the ARCHITECT relating to
the temporary clubhouse, cart barn and range building as
set forth in this First Amendment Agreement the CITY shall
pay to the ARCHITECT a total fee of $15, 587 . 86 regardless
of the actual costs incurred by the ARCHITECT. A letter
from the ARCHITECT dated November 22 , 2002 , and two
statements from the ARCHITECT also dated November 22 , 2002 ,
relating to such work and fee are attached hereto as
Attachment A.
3 . The services to be provided by the ARCHITECT pursuant to
this First Amendment Agreement shall be commenced upon
execution of this First Amendment Agreement and shall be
completed by the ARCHITECT as soon as is reasonably

practicable. The services to be provided by the ARCHITECT
pursuant to the Original Agreement shall be deferred until
such time as the ARCHITECT is given a notice to proceed by
the CITY .
4 . In the event of any conflict between the terms of this
First Amendment Agreement and the terms of the Original
Agreement, the terms of this First Amendment Agreement
shall control .
5 . That except as amended by this First Amendment Agreement
the terms of the Original Agreement between the ARCHITECT
and the CITY shall remain in full force and effect .
IN WITNESS WHEREOF, the parties hereto have entered into and
executed this First Amendment Agreement on the date and year
first written above .

Dear Mike,
Per our discussion we have agreed to a flat fee of$5,000 for the work on the Temporary
Clubhouse, including the following:
A. Architectural Layout including Pro Shop, Washrooms and Offices.
B. Kitchen Layout including evaluation of existing equipment and
counter details.
C. Electrical Layout including outlets and lighting and power requirements
for the building.
D. Plumbing layout of kitchen and toilet area to site hook-up.
E. Mechanical layout, adapting temporary structures requirements.
F. Site location.
The above work includes Bid Documents for bidding and evaluation of bids.
Reimbursables will be billed as an additional cost.
We have agreed to a flat fee of$10,000 for the work on the Cart Barn, Site Lighting and
Range Building. Included in the Cart Barn and Range Building:
A. Architectural Layout including ball washers, dispensing machines, cart
layout.
B. Structural layout for above buildings.
C. Mechanical, Plumbing, and Electrical as required for the above buildings
including cart chargers.
D. Site utilities and electrical parking lot layout, parking lot fixtures.
Currently we are working with Pro Craft on the Pro Shop layout and assisting him with
the information he needs.

SUBJECT: Amendment #1-Larson--Kramer & Associates Architects
For The Highlands of Elgin Golf Course
PURPOSE
The purpose of this memorandum is to provide the Mayor and
members of the City Council with information to consider
Amendment #1 to Larson-Kramer & Associates' contract for the
design of the temporary and permanent buildings at The Highlands
eink of Elgin Golf Course.
BACKGROUND
In late April, the City Council awarded a contract to
Larson-Kramer & Associates for design of The Highlands of Elgin
Clubhouse and Maintenance buildings . A contract was structured
with a not to exceed design cost of $148, 200 . Since that time,
the decision was made to postpone the construction of a
permanent clubhouse to a future date. In order to operate on an
interim basis, the City Council recently approved funding for
the purchase of a temporary structure . Larson-Kramer has
indicated that their fee to provide professional architectural
services in conjunction with the temporary clubhouse, cart barn,
site lighting and range building will total $15, 887 . 86 .

None.
FINANCIAL IMPACT
There are sufficient funds budgeted ($1, 176, 900) and available
elift ($122 , 468) in account number 275-0000-791 . 92-32, Golf Course
project number 509537 to cover this amendment totaling
$15, 887 . 86 .

Golf Course .
