RESOLUTION
AUTHORIZING EXECUTION OF AMENDMENT NO. 1 TO AGREEMENT WITH
KEITH FOSTER GOLF COURSE DESIGN FOR DESIGN SERVICES FOR
THE HIGHLANDS OF ELGIN GOLF COURSE
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Joyce A. Parker, City Manager, and Dolonna Mecum,
City Clerk, be and are hereby authorized and directed to execute
Amendment No. 1 to an Agreement for Golf Course Design on behalf
of the City of Elgin with Keith Foster Golf Course Design for
golf course design services for The Highlands of Elgin Golf
Course, a copy of which is attached hereto and made a part hereof
by reference .

AMENDMENT NO. 1
TO AGREEMENT FOR GOLF COURSE DESIGN
This contract amendment is made and entered into this
day of 2002 , by and between the City of
Elgin, Illinois, a municipal corporation (hereinafter referred
to as "City" ) , and Keith Foster Golf Course Design, an
Illinois professional corporation (hereinafter referred to as
"ARCHITECT" ) .
WHEREAS, City and ARCHITECT have previously entered into
an agreement, dated August 2 , 2000 (hereinafter referred to as
"Agreement" ) by which City has engaged ARCHITECT to perform
certain professional services in connection with the design
and construction review of the irri.tial nine holes and practice
area at the City' s Sports Complex Property; and
WHEREAS, City has determined it to be in its best
interests to amend said Agreement to expand the scope of
Architect ' s professional services to include the Supplemental
Services for Design for the final eleven holes at the Sports
Complex Property; and
WHEREAS, the ARCHITECT has the necessary experience and
expertise to furnish such services upon the terms and
conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises
and covenants contained herein, the sufficiency of which is
hereby acknowledged, the parties hereto hereby agree to amend
the agreement between them dated August 2 , 2000 as follows :
1 . SECTION I - SCOPE OF SERVICES
Section One of Agreement is hereby amended to expand the
detailed Scope of Services to include the following
Supplemental Services described in the Addendum drafted by
ARCHITECT, dated April 24 , 2001 , attached hereto and made a
part hereof as Exhibit D.
2 . SECTION II - PROGRESS REPORTS
Under Section Two of the Agreement, the following project
schedule for the Supplemental Service shall be added to
existing Section 2A.
PROJECT MILESTONES SCHEDULE
Architect Shall Submit Within two (2) months
Preliminary Grading Plan following authorization
for Phase II to proceed.
3 . SECTION 4 - PAYMENTS TO THE ARCHITECT
For the Supplemental Services, as identified
hereinbefore, the CITY agrees to reimburse the ARCHITECT a
lump sum of Twenty-Two Thousand Five Hundred Dollars
($22 , 500) , regardless of actual costs incurred by the
ARCHITECT.
The remainder of Agreement shall remain in full force and
effect .
IN WITNESS WHEREOF, the undersigned have placed their
hands and seals upon and executed this Amendment No. 1 in
triplicate as though each copy hereof was an original and that
there are no other oral agreements that have not been reduced
to writing in this statement .

Re: Addendum to Contract of July 6, 2000
KEITH FOSTER GOLF COURSE DESIGN, hereinafter referred to as the GOLF COURSE
ARCHITECT,hereby offers the following addendum to the Contract of July 6,2000. Based on new
impacts to the project development and the timing of these impacts as it relates to the project
development, it is necessary to begin preliminary work on Phase II of the golf course development
which relates to the mining operation and the next 11 holes of the golf course.
In the planning and development of this project, the GOLF COURSE ARCHITECT will perform
professional services as hereinafter set forth with the CITY OF ELGIN, hereinafter referred to as •
the CITY.
The GOLF COURSE ARCHITECT and the CITY, by affixing their signatures hereto, hereby
agree to the terms and conditions set forth herein.
PRELIMINARY GRADING FOR PHASE II .
The GOLF COURSE ARCHITECT will work ;with the CITY and the PROJECT
ENGINEER to develop a Preliminary Grading Plan that will tie together the intended
direction of the mining operation, the requirements of the golf holes and the configuration
of the lake. This Preliminary Grading Plan will be developed ata scale of 1" = 200', and will
be done to a contour interval of 2'with spot elevations on greens, tees and bunkers.
It is anticipated that this scope of work will take 45-60 days to complete, assuming prompt
and timely interaction amongst all parties. The GOLF COURSE ARCHITECT will
develop and submit an initial grading plan for review. Upon review, one revision will be
made, if necessary, and a final,plan submitted for use. ..

The cost for this scope of work will be$22,500, including expenses. It is assumed that any
meetings that might be needed can occur in conjunction with site visits scheduled during the
construction of the initial nine holes. $5,000 will be due and payable to the GOLF
COURSE ARCHITECT upon commencement of this phase of the project. The balance
will be due and payable upon completion of the Preliminary Grading Plan and submission
• of an invoice to the CITY. This scope of work and the associated cost are a part of Phase II
of the project development. As such, this fee will be deducted from the overall Phase II cost
when the Phase H contract is drawn up.
AGREEMENT TO THE CONTRACT ADDENDUM
This addendum to the contract of July 6, 2000 is satisfactory and acceptable as herein described and
is hereby agreed to. ALL OTHER CONDITIONS OF THE CONTRACT DATED JULY 6,
2000 REMAIN INTACT AND ARE BINDING.

SUBJECT: Amendment No. 1 to Agreement with Keith Foster
Golf Course Design
PURPOSE
The purpose of this memorandum is to provide the Mayor and members
of the City Council with information concerning Amendment No. 1 to
agreement with Keith Foster Golf Course Design.
BACKGROUND
rift. In April, 2000, the City entered into a contract with Keith Foster
Golf Course Design for design services for the initial nine holes
of The Highlands of Elgin Golf Course. Mr. Foster' s fee was
$127, 500 .
In conjunction with the recently approved amended mining contract
with Prairie Materials, staff requested Keith Foster perform
architectural/design services to ensure that Phase II development
(the 2nd eleven holes) could be accomplished with the mining
operation moving to the south.
Mr. Foster indicated that he would be required to develop a
preliminary grading plan at a cost of $22 , 500, including expenses .
He further indicated that any work performed on the preliminary
grading plan would be credited toward the Phase II design fee.
Due to the fact that we are not ready to move forward and enter
into a contract for Phase II development (scheduled for 2004) at
this time, staff recommends that Mr. Foster' s initial contract be
amended to include this Preliminary Grading Plan work.

the situation and the need to have this work performed prior to
amending the mining contract with Prairie Materials .

eiL FINANCIAL IMPACT
The work performed by Keith Foster totaling $22 , 500 was included
within Phase II and originally budgeted in 2005 ($6 . 3 million) .
There are monies available in account number 395-0000-795-9232 ,
project number 509537 (the 1995 Bond Fund) to fund this contract
amendment at this time.
L GAL IMPACT
An amendment to the original agreement will need to be prepared.
ALTERNATIVES
Refuse to pay Keith Foster Golf Course Design.
RECOMMENDATION
It is recommended that the City Council approve Amendment No. 1 to
the agreement with Keith Foster Golf Course Design in the amount of
$22, 500 .
