WHEREAS, City has established a facade improvement program (hereinafter referred to as "Program") for application within certain areas of the corporate limits of City designated by City as appropriate for such application (hereinafter referred to as "Rehabilitation Areas") ; and WHEREAS, Program is administered and funded solely by City for purposes of the control and prevention of blight, dilapidation and deterioration of Rehabilitation Areas; and WHEREAS, pursuant to Program, City has undertaken to share the cost of facade improvements to certain structures within Rehabilitation Area, pursuant to the criteria set forth herein; and WHEREAS, Owner owns at least 50% of subject commercial building (s) , or is the tenant of commercial building (s) located within Rehabilitation Area, with Owner having provided the Owner's consent and authority to participate in Program pursuant to the terms and provisions of this Agreement; and WHEREAS, the parties hereto have previously entered into a Fagade Improvement Program Agreement, dated May 22 , 2002 (hereinafter referred to as "Original Agreement" ) ; and WHEREAS, the parties hereto wish to amend the Original Agreement to reflect revised costs and scope of work. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged, the parties hereto hereby agree as follows : Section 1 . The project work and costs therefor for the structure referred to at Section 16 herein shall be in two phases, as set forth in Attachment A hereto. Owner shall not be required to utilize the contractors listed in Attachment A. City shall pay Owner the sum of $38, 198 . 50 for Phase I, being 50% of the total eligible costs, which is comprised of $26, 738 . 95 for facade reimbursement, and $11, 459 . 55 as an economic development incentive grant; and $29, 837 . 50 for Phase II, being 35% of the total eligible costs. The project shall be confined to approved improvements made to that part of the structure visible from any public right-of-way. All parties hereto agree that all payments from the City provided for herein shall be made to Owner, who shall provide the City with a full release upon receipt . Section 2 . Eligible costs shall include labor, material and equipment costs, and such other costs as may be reasonably necessary for the execution and completion of the facade improvement hereby provided for (hereinafter referred to as the "Work") , as designated from the design drawings and specifications approved by the Project Review Team pursuant to the provisions of Section 3 herein and prepared by Consultant (hereinafter referred to as "Plans") . Section 3 . No Work shall be undertaken or shall be considered to constitute the basis for an Eligible Cost until the design for such Work has been submitted to and approved in writing by the Project Review Team, consisting of the City's Urban Design and Preservation Specialist and City's Principal Planner, and any other member designated on the Project Review Team. Such design shall include, but not be limited to, a date certain by which the Work shall be completed. In no event shall such Work be completed more than one hundred eighty (180) days from the date of this Agreement, without the written consent of the Project Review Team. Section 4 . The Project Review Team shall be permitted access to Structure to periodically review the progress of the Work. Such review shall not be in lieu of any other inspections which may otherwise be required by law or by City. Any and all portions of the Work which do not, in the sole discretion of the Project Review Team, conform to the Plans or other applicable terms of this Agreement, shall be made to conform to the Plans and other applicable Terms of this Agreement upon written notice of the existence of such non-conforming portions . Section 5 . Upon completion of the Work, and upon final inspection and written approval by the Project Review Team and such other final inspections and approvals as may be required by law, Owner shall submit to City: (1) an executed, notarized itemized contractor statement reflecting the total cost of the Work and each portion thereof, including, but not limited to, the cost of labor (whether provided by any contractor or subcontractor) , materials and equipment; (2) copies of all bids, contracts and invoices submitted, executed or incurred pursuant to the Work; and (3) reasonable proof of payment of all costs incurred pursuant to the Work. All work shall be completed within a reasonable time as determined by City in City' s sole discretion. City may provide partial payments upon the completion of discrete items of work in each phase in City' s sole discretion as determined by City' s historic preservation specialist upon such terms as City' s historic preservation specialist may require. Section 6 . City shall pay to Owner the sum provided for at Section 1 herein within thirty (30) days of Owner's compliance with the provisions of Section 5 herein. In no event shall the amount paid to Owner exceed the amount specified in this Agreement or in the contractor statement . Section 7 . In the event Owner fails to complete the Work in accordance with the terms of this Agreement, or otherwise breaches 2 the terms of this Agreement, City may terminate this Agreement upon written notice of breach and termination to Owner, and any and all financial or other obligations on the part of City shall cease and become null and void. Section 8 . Upon completion of the Work, and for a period of five (5) years thereafter, Owner shall properly maintain the Work in its finished form, without alteration or change thereto, and shall not enter into any agreement, or take any other steps to alter, change or remove such Work, or to create or undertake any other Work which may constitute a deviation from the Plans, without prior written approval from the Project Review Team in its sole discretion. Section 9 . Nothing herein is intended to limit, restrict or prohibit the Owner from undertaking any other Work in or about the subject premises which is unrelated to the facade improvement provided for in this Agreement . Section 10 . This Agreement shall be binding upon City and its successors, and upon Owner, Owner's successors and assigns for a period of five (5) years from and after the date of completion and approval of the Work. Owner shall provide subsequent Owner (s) of Structure with a copy of this Agreement . This Agreement shall run with the land underlying Structure . Section 11 . If Owner does not own the underlying property for which Work is being done, Owner warrants and represents to City that Owner has a lease at the location for which the Work is proposed for a term of at least six (6) years . Owner further warrants and represents that he has received authorization from all owners of the property for which Work is to be done to accept funds under this program and to undertake the Work. Further, such owner (s) of the property for which Work is to be done hereby acknowledges that he is aware of this Agreement and authorized the Work which is to be made to the Structure. Said owner (s) of the property for which improvements are to be made further acknowledge that, as owner of the property, he is a party to this Agreement and is bound by the provisions of this Agreement specifically, but not limited to, the provisions of Section 6 of this Agreement . Each "Owner" signature hereto hereby warrants and represents that there are no other entities having an ownership interest in the Structure, which have not executed this Agreement . Section 12 . Owner hereby holds harmless and indemnifies City from and against any and all causes of action, suits, claims for damages, and any and all other liability, which may arise out of or in connection with Owner's or Owner's agents, employees and assigns' negligent performance of any of the terms of this Agreement . To the fullest extent permitted by law, Owner agrees to indemnify, defend and hold harmless the City, its officers, employees, boards and commissions from and against any and all claims, suits, judgments, costs, attorney' s fees, damages or other relief arising 3 out of or resulting from or through or alleged to arise out of any reckless or negligent acts or omissions of Owner, Owner' s employees or agents in the performance of this agreement . In the event of any action against the City, its officers, employees, agents, boards or commissions covered by the foregoing duty to indemnify, defend and hold harmless, such action shall be defended by legal counsel of the City' s choosing. Section 13 . This Agreement shall not be construed to create a partnership, joint venture, employment or other agency relationship of any kind between the parties hereto. Section 14 . This Agreement shall be subject to and governed by the laws of the State of Illinois . The parties hereto hereby agree that venue for any and all actions which may be brought by each and either of them to enforce the provisions of this Agreement shall be in the Circuit Court of Kane County, Illinois . Section 15 . The terms of this Agreement shall be severable . In the event that any of the terms or provisions of this Agreement are deemed to be void or otherwise unenforceable for any reason, the remainder of this Agreement shall remain in full force and effect . The proposed amendments would also result in the non-bargaining unit officers being subject to the same disciplinary procedures as other city management employees . The proposed changes were discussed, and Chief Miller indicated that the deputy chiefs have expressed a desire to continue having the Board of Fire and Police Commissioners have discipline authority for the non-bargaining unit employees . Several Councilmembers stated they believe that since the police non-bargaining unit employees are management, they should be subject to the procedures outlined in the proposed ordinance, which is the procedure for all other management employees . Upon a roll call vote : Yeas : Councilmembers Gilliam, Munson, Walters, Wasilowski and Mayor Schock. Nays : Councilmembers Figueroa and Yearman. Consideration of Solid Waste Contract Payments with Waste Management for Addition of New Household Counts Councilmember Gilliam made a motion, seconded by Councilmember Figueroa, to authorize an increase in the number of single- family household stops by 21, for a total of 20 , 257 units, which will remain in effect through September 30, 2002 and authorize payment for 43 additional multi-family units for a total of 3 , 676 units, through September 30, 2002 . Upon a roll call vote : Yeas : Councilmembers Figueroa, Gilliam, Munson, Walters, Wasilowski, Yearman and Mayor Schock. Nays : None . Consideration of a Request for Additional Funding for a Facade Improvement Proiect for 53-63 Douglas Avenue Discussion was held regarding the fact that the Corn Family believed the City would be funding the entire facade project at the 50 percent level . However, the City' s facade improvement guidelines provide for maximum funding of 35 percent . The 50 percent approved for Phase I included 35 percent for facade improvement plus an additional 15 percent for economic development incentive contingent upon the property owner signing a lease agreement with Quiznos, and it is the City' s that it the balance of the project would be funded at the 35 percent level in accordance with the facade program guidelines . The Corn Family indicated that the project would not move forward unless the City provides 50 percent of the funding. Councilmembers expressed a desire to see the project completed and discussed other possible programs that could assist in financing this project . Mayor Schock suggested that consideration be given to Committee of the Whole - August 14 , 2002 Page 4 whether the loan assistance program could be restructured to see if the difference in funding could be made up through that program. Councilmember Wasilowski made a motion, seconded by Councilmember Gilliam, to amend Phase I of the proposed project at 50 percent as originally agreed upon and approve Phase II at 35 percent, per the program guidelines, for total City participation amounting to $68, 036, and to examine ways to provide additional economic assistance for the project . BACKGROUND In 1999, the architectural firm of Dahlquist and Lutzow was contacted by the City to draw up the plans for the project . The architect provided drawings and a probable estimate for the removal of the non-original aluminum cladding as well as restoration of the entire west facade. The total cost of the entire project was estimated at $391, 500 . 00 . Due to the magnitude of the project, the property owners proposed to complete it in phases . Phase I (April 2002) In April 2002, the property owner had approached the Elgin City Council with a request for funds to remove the non-original aluminum facade and install new windows . Funds for the project were approved and the work had begun. Funding had been provided in the form of a 35 percent facade improvement grant ($17, 882 . 55) with an additional 15 percent economic development incentive ($7, 663 . 95) contingent upon the property owner signing a lease agreement with Quiznos. The property owner was informed that the 50 percent funding assistance, for a total of $25, 546. 50 would only be for this first phase of the project . All future funding to the Corn Family for the facade would be at 35 percent . Facade Improvement Additional Funding - 53-63 Douglas August 9, 2002 Page 2 To date, the only work completed at this time is the removal of the non-original aluminum siding on the west fagade of the building. The windows have not been replaced since the selected window supplier has gone out of business. Additional cost estimates from new window suppliers have since been provided to the City for consideration. The property owners are requesting an amendment to Phase I of the project with a consideration of the current cost estimates for the window replacement work. The accepted bid that meets the recommendations of the project architect, John Roberson, and staff is $76, 397 . 00 . The City' s participation of 50 percent, as originally agreed upon, would now amount to $38, 198 . 50, an increase of $12 , 651 . 50 over the $25, 546 . 50 approved in April . Phase II (Current) Phase II, currently being requested for consideration, includes the following: 1 . Removal of the cinderblock from the window openings on the upper stories of the fagade to allow for the reinstallation of the new windows. 2 . Exterior chemical cleaning and tuckpointing of the brick and stone masonry on the west fagade. This work is currently being completed on the west fagade. 3 . Repair of decorative metal molding on the cornice and bay windows . This phase is being submitted with components of the current phase - masonry cleaning and tuckpointing, and metal molding - being retroactively requested for funding. Staff had determined that the ongoing work on the fagade was in keeping with the guidelines of the program. The construction crews were set up on site and work was in progress. In order not to interrupt the momentum of the project, staff recommended that the ongoing work be allowed to continue rather than be halted until consideration by the Elgin City Council in August . Currently only one bid for the restoration of the metal molding work has been submitted by the property owner. Due to the very unique and specialized nature of this type of work, it is difficult to obtain additional bids from contractors. Facade Improvement Additional Funding - 53-63 Douglas August 9, 2002 Page 3 However, staff and the project architect have reviewed the submitted bid and determined that it meets the guidelines of the program. The total cost of the current phase as outlined above is $85,250 . 00 . The City' s allocation at 35 percent would amount to $29, 837. 50 . However, the Corn family is requesting that the funding for phase II of the project be similar to phase I, set at 50 percent of the total project cost . At 50 percent, the City' s participation would be $42, 625 . 00 . The total allocations of phase I and II (as recommended by staff) are about one-half the total amount that the City could potentially participate in this project . The Facade Improvement Program guidelines allow a maximum participation by the City not to exceed $150, 000 . 00 per project . As we previously reported, it is anticipated that the property P Y owner will continue to request the City' s participation in the program for future phases of the project . As an alternative, approval of phase II at 50 percent, as requested by the property owner, would amount to $42, 625 . 00 . The 2002 budget for this account number totals $130, 500. Approximately $84, 000 is still available. Facade Improvement Additional Funding - 53-63 Douglas August 9, 2002 Page 4 There is sufficient funding available in account number 350- 0000-795. 78-99, project number 079817, to fund both Phase I and Phase II (either at 35 or 50 percent) . LEGAL IMPACT revised agreement between the property owner, Ben G. Corn VMI---"Trust, and the City of Elgin will need to be prepared. ALTERNATIVES 1 . Amend Phase I of the project at 50 percent as originally agreed upon, and approve Phase II at 35 percent, per the program guidelines, for a total City participation amounting to $68, 036 . 00 . 2 . Amend Phase I of the project at 50 percent as originally agreed upon, and approve Phase II at 50 percent, as currently requested by the property owner, for a total City participation amounting to 80, 823 . 50 . 2 . Reject the request to amend Phase I and fund phase II of the project . RECOMMENDATION It is recommended that the City Council approve alternative 1 - to Amend Phase I of the project at 50 percent as originally agreed upon, and approve Phase II at 35 percent, per the program guidelines, for a total City participation amounting to $68, 036 . 00 . Respectfully submitted, Olufemi F arin Interi C ' y nager SBS/sm Attachment f(eViScd. o City of Elgin Agenda Item No. /VA filI Ito J) April 19, 2002 TO: Mayor and Members of the City Council ALIVE DOWNTOWN FROM: Olufemi Folarin, Interim City Manager SUBJECT: Facade Project for the McBride Building at 53-63 Douglas Avenue Owned by Ben Corn PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to consider a facade improvement project for the McBride Building located at 53-63 Douglas Avenue. BACKGROUND The owner of the property, Ben Corn, represented by his son Bruce Corn and daughter Diane Stredde, wishes to participate in the Facade Improvement Program. The McBride Building, located at 53-63 Douglas Avenue, is a significant example of Elgin's downtown commercial buildings built at the turn of the last century. The building originally had a highly ornamented brick masonry front facade with large storefront windows at street level, Chicago Style bay windows on the upper levels topped off with a decorative cornice with triangular ornamental pediments . In the 1970s, the building was clad in aluminum siding necessitating the removal of much of the decorative masonry and cornice details . All windows on the front elevation were covered over with the aluminum cladding and the storefronts were reconfigured to allow for the new cladding. In 1999, the property owner approached the City with an intent to participate in the Facade Improvement Program. At that time, the architectural firm of Dahlquist and Lutzow was contacted by the City to draw up the plans for the project . The architect provided drawings and a probable estimate for the removal of the non- original aluminum cladding as well as restoration of the entire west facade . However, the property owner did not proceed with the project due to the high cost of restoring the entire west facade ($391 , 500) . The property owner has since been approached by Downtown Elgin Subs, Inc. , d.b.a. Quizno's Restaurant, to lease a portion of the building. As a condition of entering into a lease with the Corn family, Quizno' s Restaurant is requiring that the metal facade of the building be removed. Facade Project at 53-63 Douglas Avenue April 19, 2002 Page 2 In order to accommodate the restaurant in the building, the property owner is proposing a partial restoration of the west (front) facade of the building. The currently proposed work to the facade involves removal of the exterior aluminum cladding and reinstallation of the windows on the facade . At this time, the property owner has not indicated an intent to clean and tuckpoint the exterior brick masonry, restore any architectural features on the facade, or carry out any work to the existing storefronts. The facade must be removed in order to assess the condition of the brick, tuchpoint and original architectural features. The property owner is only requesting funding for removal of the aluminum siding and installation of windows . Staff recognizes that additional work on the facade will need to be carried out on removal of the cladding and determination of the condition of the underlying brick masonry. Future participation of the City on the project will be subject to review by staff and approval by the City Council . The estimated project cost for the currently proposed work is $51, 093 . 00 . The Corn family is requesting that the funding for this first phase of the facade project be set at 50 percent (35 percent as a part of the Facade Program and 15 percent as an inducement for the restaurant to locate in the building, all payable to the Corn Family) . At 50 percent, the funding from the City would be $25, 546 . 50 . If the Mayor and members of the City Council choose to fund the first phase of the project at the 50 percent level, 35 percent of the project cost could be secured through the facade program, and 15 percent would be funded under the Economic Development Incentives Fund. The 50 percent funding assistance would only be for this first phase of the project . All future funding to the Corn Family for the facade would be at 35 percent . COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED Elgin Heritage Commission. FINANCIAL IMPACT Approval of the partial facade project for 53-63 Douglas Avenue at the 35 percent level would equal approximately $17, 882 . 55 . There is sufficient funding available in the program account 350-0000- 795 . 78-99, project number 079817, to fund the project . There is sufficient funding available in the Economic Development Incentives Fund, account number 276-0000-791 . 80-27 to provide the remaining $7, 663 . 95 . LEGAL IMPACT An agreement between the City of Elgin and property owner at 53-63 Douglas Avenue will be required. Facade Project at 53-63 Douglas Avenue April 19, 2002 Page 3 ALTERNATIVES 1 . Approve the request by Ben Corn for participation in the Facade Improvement Program with the additional requested funding. 2 . Reject the request to proceed with the project . RECOMMENDATION It is recommended that the request to proceed with the facade improvement project for 53-63 Douglas Avenue be approved in the amount of $25, 546 . 50 .
