RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH
SLAVIN MANAGEMENT CONSULTANTS FOR EXECUTIVE SEARCH SERVICES
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Olufemi Folarin, Interim City Manager, and Dolonna
Mecum, City Clerk, be and are hereby authorized and directed to
execute an agreement on behalf of the City of Elgin with Slavin
Management Consultants for executive search services for a city
manager, a copy of which is attached hereto and made a part
hereof by reference.

AGRREMENT
THIS AGREEMENT, made and entered into this 34 day of ,
2002, by and between the CITY OF ELGIN, an Illinois mu icipal
corporation (hereinafter referred to as "CITY" ) and. SLAVIN
MANAGEMENT CONSULTANTS, a Georgia corporation, (hereinafter
referred to as the "CONSULTANT" ) .
WHEREAS, the CITY desires to engage the CONSUL'T'ANT to furnish
certain professional services in connection with an executivc
search for the CITY' s next City Manager (hereinafter referred to
as the! "PROJECT" ) .
NOW, THEREFORE, for and in consideration of the mutual promises
and covenants contained herein, and other good and valuable
consideration, the receipt and sufficiency of which is hereby
acknowledged, the CITY does hereby retain the CONSULTANT to
perform the services and undertakings in connection with the
PROJECT as described herein, subject to the following terms and
conditions :
1. SCOPE OF SERVICES
A. All work hereunder shall be performed u�ader the
direction of the Mayor and members of the City Council.
B, Tho CONSULTANT shal..l perform the services for the
PROJECT as set forth in the City of Elgin, Illinois
Executive Search Proposal for City Manager prepared by
Robart E . Slavin on April 29, 2002, attached hereto and
made a part hereof as Exhibit A. In the event of any
conflict between the terms of this agreement and the
terms of Exhibit A, Lhe terms of this agreement shall
control .
2 . SCHEDULE
A project schedule for the PROJECT is included as part: of
Exhibit A hereto. CONSULTANT will perform and complete all
of the services for the PROJECT within ninety (90) days of
the entry into and execution of this agreement .
3 . WORK PRODUCTS
All work products prepared by the CONSULTANT pursuant hereto
including, but not limitcd too, reports, designs,
calculations, work drawings, studies, photographer, models
and recommendations shall be the property of the CITY and
.shall be delivered to the CITY upon request of the CITY
provided, however, that the CONSULTANT may retain copies of
such work products for its records . Such work products are
not intended or represented to be suitable for reuse by the
CI'T'Y on any extension to the PROJECT or on any other
project, and such reuse shall be at the sole risk of the
CITY without liability or legal exposure to the CONSULTANT.

4 . PAYMENTS TO THE CONSULTANT
A. For services provided by the CONSULTANT for the PROJECT
the CONSULTANT shall be paid at the direct hourly rate
of personnel employed on the PROJECT at the rates set
forth in Exhibit A attached hereto with the total fee
not to exceed $13, 265 regardless of actual time
expended or actual costs incurred by the CONSULTANT.
8, In addition to the foregoing fees the CONSULTANT shall
be paid reimbursable expenses incurred in the discharge
of the services connected with the PROJECT for such
matters as travel costs, office costs and advertising
costs as described in Exhibit A attached hereto , The
total of reimbursable expenses paid to the CONSULTANT
shall not exceed forty-rive percent (45%) of the fees
provided for in the preceding Paragraph 4A.
C. The CITY shall make periodic payments to the CONSULTANT
based upon actual progress within thirty (30) days
after receipt and approval an invoice . Said period
payments to the CONSULTANT shall not exceed the amount
shown for various activities in Exhibit A, and full
payments for each activity shall not be made until the
activity is completed. and accepted by the CITY.
5 . INVOICES
A The CONSULTANT shall submit invoices in a format
approved by the CITY, Progress reports will be
included with all payment requests ,
B. The CONSULTANT shall maintain records showing actual
time devoted and co=lt incurred. The CONSULTANT shall
permit the authorized representative of the CITY to
inspect and audit all data and records of the
CONSULTANT for work done under this Agreement. The
CONSULTANT shall make these records available at
reasonable times during the Agreement period, and for a
year after termination of this Agreement .
6 . TkRMINATION OF AGREEMENT
Notwithstanding any other provision hereof, the CITY may
terminate this Agreement at any time upon fifteen (15) days
prior written notice to the CONSULTANT. In the event that
this Agreement is so terminated, the CONSULTANT shall be
paid for services actually performed and reimbursable
expenses actually incurred prior to termination, except that
reimbursement shall not exceed the task amounts set forth
under Paragraph 4 above .

'this Agreement shall became effective as of the date the
CONSULTANT is given a notice to proceed and, unless
terminated for cause or pursuant to Paragraph 5, shall be
deemed concluded on the date the CITY determines that all of
the CONSULTANT' s work under this agreement is completed. A
determination of completion shall not constitute a waiver of
any rights or claims which the CITY may have or thereafter
acquire with respect Lo any term or provision of the
Agreement .
S . NOTICE OF CLAIM
if the CONSULTANT wishes to make a claim for additional
compensation as a result of action taken by the CITY, the
CONSULTANT shall give written notice of his claim within 15
days after occurrence of such action. No claim for
additional compensation shall be valid unless so made . Any
changes in the CONSULTANT ' s fee shall be valid only to the
extent that such changes are included in writing signed by
the CITY and the CONSULTANT. Regardless of the decision of
t:ho CITY relative to a clairn submitted by the CONSULTANT,
all work required under this Agreement as determined by the
CITY shall proceed without interruption,
9 . BREACH OF CONTRACT
If either party violates or breaches any term of this
Agreement , such violation or breach shall be deemed to
constitute a default, and the other party has the right to
seek such administrative, contractual or legal remedies as
may be suitable to the violation or breach; arid, in
addition, if either party, by reason of any default, fails
within fifteen (15) days after notice thereof by the other
party to comply with the conditions of the Agreement, the
other party may terminate this Agreement .
10 . 1 NDEMN1?j CATION
To the fullest extent permitted by law, CONSULTANT agrees to
and shall indemnify, defend and hold harmless the CITY, its
officers, employees, agents , boards and commissions from and
against any and all claims, suits, judgments, costs,
attorneys fees, damages or other relief, including but not
limited to workers compensation claims, in any way resulting
from or arising out of negligent actions or omissions of the
CONSULTANT in connection herewith, including negligence or
omissions of employees or agents of the CONSULTANT arising
out of the performance of this Agreement , In the event of
any action against the CITY, its officers, employees,
agents, boards or commissions, covered by the foregoing duty
to indemnify, defend and hold harmless such action shall be
defended by legal counsel of the CITY' s choosing.

11. NO PERSONAL LIABILITY
No official, director, officer, agent or employee of the
CITY shall be charged personally or held contractually
liable under any term or provision of this Agreement or
because of their execution, approval or attempted execution
of this Agreement .
12 . INSURANCE
A. Comprehensive Liability. The CONSULTANT shall provide,
pay for and maintain in effect, during the term of this
Agreement, a policy of comprehensive general liability
insurance written in occurrence form with limits of at.
least $1, 000, 000 aggregate for bodily injury and
$1 , 000, 000 aggregate: for property damage ,
The CONSULTANT sha1.1 deliver to the CITY a
Certification of Insurance naming the CITY as
additional insured. The policy shall not be modified
or terminated without thirty (30) days prior written
notice to the CITY.
The Certificate of Insurance which shall include
Contractual obligation assumed by the CONSULTANT under
Paragraph 10 entitled "Indemnification" shall be
provided,
This insurance shall. apply as primary insurance with
respect to any other insurance or self-insurance
programs afforded to the CITY. There shall be no
endorsement or modifi.cat.ion of this insurance to make
it excess over other available insurance,
alternatively, if the insurance states that it is
excess or prorate, i.t shall be endorsed to be primary
with respect to the CITY.
B. Comprehensive_ Automobile Liability. Comprehensive
Automobile Liability Insurance written in occurrence
form covering all, owned, non-owned and hired motor
vehicles with limit., of not less than $500, 000 per
occurrence for damage to property.
C'. Combined single Limit Policy. The requirements for
insurance coverage for the general liability and auto
exposures may be met with a combined, single litnit of
$1, 000, 000 per occurrence subject to a $1 , 000, 000
aggregate .
D. Professional Liability. The CONSULTANT shall carry
Professional Liability Insurance covering claims
resulting from error, omissions or negligent acts with
a combined single limit of not less than $1, 000, 000 per
occurrence. A Certificate of Insurance shall be

submitted to the CITY as evidence of .insurance
protoction. The policy shall not be modified or
terminated without thirty (30) days prior written
notice to the CITY.
13 . NONDISCRIMINATION
In all hiring or employment made possible or resulting from
this Agreement, there shall be no discrimination against any
employee or applicant for employment because of sex, age,
:race, color, creed, national origin, marital status, of the
presence of any sensory, mental or physical handicap, unless
based upon a bona fide occupational qualification, and this
requirement shall apply to, but not be limited to, the
following: employment advertising, layoff or termination,
rates of pay or other forms of compensation and selection
for training, including apprenticeship.
No person shall be deniers or subjected to discrimination in
receipt of the benefit of any services or activities made
possible by or resulting from this Agreement on the grounds
of sex, race, color, creed, national origin, age except
minimum age and retirement: provisions, marital status or the
presence of any sensory, mental or physical handicap, Any
violation of this provision shall be considered a violation
of a material provision of this Agreement and shall be
grounds for cancellation, termination or suspension, in
whole or in pant, of the Agr'e:oment by the CITY.
14 . ASSIGNMENT AND SUCCESSORS
This Agreement and each and every portion thereof shall be
binding upon the successot-s and the assigns of the parties
hereto; provided,, however, that no assignment shall be made
without the prior written consent of the CITY.
15 . DELEGATIONS AND SUBCONTRACTORS
Any assignment, delegation or subcontracting shall be
subject to all the terms, conditions and other provisions of
this Agreement and the CONSULTANT shall remain, liable to the
CITY with respect to each rind every item, condition and
other provision hereof to the same extent that the
CONSULTANT would have been obligated if it had done the work
itself and no assignment, delegation or subcontract had been
made. Any proposed subcontractor shall require the CITY' s
advanced written approval. .
16 . NO CO-PARTNERSHIP OR AGENCy
This agreement shall not be construed so as to create a
partnership, joint, venture, employment or other agency
relationship between the parties hereto.

17 . SEVERABILITY
The parties intend and agreed that, if any paragraph, sub-
paragraph, phrase, clause or other provision of this
Agreement, or any portion thereof, shall be held to be void
or otherwise unenforceable, all other portions of this
Agreement shall, remain in fill force and effect .

The headings of the several paragraphs of this Agreement are
inserted only as a matter of convenience and for reference
and in no way are they intended to define, limit or describe
the scope of intent of any provision of this Agreement, nor
shall they be construed to affect in any manner the terms
and provisions hereof or the interpretation or construction
thereof ,
19 . MODIFICATION OR AMENDMENT
This Agreement and its attachments constitutes the entire
Agreement of the parties on the subject matter hereof and
may not be changed, modified, discharged or extended except
by written amendment duly executed by the parties . Each
party agrees that no representations or warranties shall be
binding upon the other party unless expressed in writing
herein or in a duly executed amendment hereof, or change
order as herein provided.
20 . APPLICABLE LAW
This Agreement shall be deemed to have been made in, and
shall he construed in accordance with the laws of the State
of Illinois . Venue for the resolution of any disputes or the
enforcement of any rights pursuant to this agreement shall
be in the Circuit Court of Kane County, Illinois .
21, NEWS RELEASES
The CONSULTANT may not issue any news releases without prior
approval from the CITY, nor will the CONSULTANT make public
proposals developed under this Agreement without prior
written approval from the CITY prior to said documentation
becoming matters of publics record.
22 . COOPERATTQN WITH OTHER CONSUT�TANTS
The CONSULTANT shall cooperate with any other consultants in
the CITY' s employ or any work associated with the PROJECT.
23 . r].1TTERPERENCE WITH PUBLIC CONTRACTING
The CONSULTANT certifies hereby that it is not barred from
bidding on this contract as a result~ of a violation of 720

ILLS 5/33E at seq. Or any similar state or federal statute
regarding bid rigging.
24 . SEXUAL HARASSMENT
As a condition of this contract, the CONSULTANT shall have
written sexual harassment policies that include, at a
minimum, the following information:
A. the illegality of sexual harassment ;
B. the definition of sexual harassment under state law;
C. a description of sexual harassment, utilizing examples;
D. tho vendor' s internal complaint process including
penalties;
E. the legal recourse, investigative and complaint process
available through the Illinois Department of Human
Rights, and the Illinois Human Rights Commission;
F . directions on how to contact the department and
commission;
G. protection against retaliation as provided by Section
6-101 of the Human Rights Act .
A copy of the policies must he provided to the Department of
Human Rights upon request 775 7LCS 5/2-105 .
25. WRITTEN COMMUNICATIONS
All recommendations and other communications by the
CONSULTANT to the CITY and to other participants which may
affect cost or time of completion, shall be made or
confirmed in writing. The CITY may also require other
recommendations and communications by the CONSULTANT be made
or confirmed in writing.
26. NOTICES
All notices, reports and documents required under this
Agreement shall be in writing and shall be mailed by First
Class Mail, postage prepaid, addressed as follows :

Dear Mr. Stegall:
Thank you for your request for proposal. In response, it is our privilege to submit this proposal to perform an
executive search for the next City Manager of Elgin.Slavin Management Consultants(SMC)is fully capable and
experienced to perform all of the tasks required of this critical project and we look forward to working with the
Mayor and City Council.
The purpose for engaging the services of an executive search firm is to identify and recruit experienced and highly
qualified City Manager candidates who clearly meet the unique needs of the Mayor and City Council. SMC is a
national firm with offices near Atlanta.The firm offers exceptional qualifications to the City for this project. Our
consultants are among the most experienced public sector executive recruiters in the United States. We have
recruited and placed more than 500 local government executives around the nation. City Manager recruitment
is a speciality for us. Since 1979, Mr. Slavin has placed or assisted in placing more than 250 city and county
managers including in Illinois City.
I (Bob Slavin) head our proposed project team. I have 35 years of experience working both for and with local
governments. I began my career as a local government search specialist in 1979 and am now among the most
experienced public sector recruiters in the United States. Ms.Jill Pylant and Ms.Josie Johnson complete our
proposed search team. I will manage this project and personally provide most of the professional work and all
of the client contact required. Ms.Pylant is a respected and accomplished local human resources consultant with
more than thirty years of experience. She will help in the candidate networking activities and provide support to
the project as needed. Ms.Johnson is President of the JC Johnson Company in Dallas,TX. She has significant
experience in the recruitment of local government professionals. She will assist in identifying and recruiting
candidates.SMC and the JO Johnson Company frequently combine efforts when the best interests of our clients
will be served by doing so. We have provided biographical information for all project team members in the
proposal.
This proposal provides an indexed and easily usable document for the City to assess the qualifications of Stavin
Management Consultants,to handle this critical work. It contains the following sections: a Table of Contents,
Background and Objectives,the Search Process and Proposed Schedule,Firm Qualifications and Staffing,a Cost
Proposal,a Search Process Flow Chart and an Acceptance/Signature Page. Exhibits include a sample invoice,
a client list, references, our EEO/AA statement and a listing of our minority and women placements.
We use a"critical path"search process which allows our clients to focus attention on the selection process rather
than on identifying,recruiting, screening and evaluating candidates. We understand that each client's need for
key executives is different and that there is no"best"person for all situations. The best prospects are typically

Ihappily employed and not responding to advertisements. These people need to be found and encouraged to
become candidates. They are understandably reluctant to apply for positions when their interest could become -
a matter of public information before being assured that the City of Elgin is interested in their candidacy. Our
I approach to this assignment will reflect the unique qualities of the City of Elgin. It will honor the interests of can-
didates to the extent possible under Illinois law.
We believe some additional advantages to using Slavin Management Consultants are:

BACKGROUND AND OBJECTIVES
Background
We understanding that:
The City of Elgin is approximately 38 miles northwest of downtown Chicago and covers an area of
approximately 24 square miles.The City is located in two counties,approximately 1/5 of the current Equalized
Assessed Valuation in Cook County and 4/5 in Kane County.
Elgin has seen tremendous growth in recent years. City population as of the 1990 Census was 77,010, a
20.9% increase over 1980. The Northern Illinois Planning Commission projects the City's population to
increase to 100,000 by the year 2010.
Elgin was incorporated under a special charter from the State of Illinois in 1854,and is a home rule unit under
the 1970 Illinois Constitution. It operates under the Council-Manager form of government with a Mayor and
six City Council members elected at large for four-year staggered terms. The City Council appoints a City
' Manager,Treasurer and Clerk.All city employees, approximately 550,are responsible to the City Manager,
who is responsible for preparing an operating budget subject to approval by the City Council and for the daily
operations of the City.
' New single family homes in Elgin range in price from$125,000 to more than$300,000.Elgin also boasts many
fine older neighborhoods with homes dating back to the mid-1800's.The Elgin Historic District is one of the
largest in Illinois and is listed on the National Register of Historic Places.The City recently created its second
' historic district,the Spring/Douglas Historic District.
It is our further understanding that:

of City Manager as soon as possible.

THE SEARCH PROCESS AND SCHEDULE
iWe e recommend a five-step process as follows:

• Identify and recruit qualified candidates.

' Each step of this process is described below.
A. Define Position Profile
tWe will meet with the Mayor and City Council members as well as with staff members(if the Mayor and City
Council wishes)to learn the City's needs,focus and requirements such as experience,education and training
as well as preferred management style and personal traits. In developing the recruitment profile, we will
spend a considerable amount of time at the beginning of the process in Elgin to gather additional information
about the City and to ascertain, the unique challenges of the job and the general environment within which
the position functions.
Once we have gained the necessary information,we will prepare a draft recruitment profile and review it with
the Mayor and City Council to arrive at a general agreement regarding the specifications for the position. The
final profile will include information about the region,the City of Elgin,the City government, major issues to
be faced,the position and the selection criteria established.
B. Identify Qualified Candidates
We will first review our database to find those candidates whom we may already know and/or already have
on file who may meet your specifications. Although the above process is valuable,we will rely most heavily
on our own contacts in related fields and on our own experience. In other words,through "networking," we
will conduct a professional search for the best-qualified candidates and invite them to apply for the position.
Based on our discussions with the Mayor and City Council,we will place advertisements in appropriate profes-
sional journals, local newspapers, and specialty publications to encourage applicants to apply. We
acknowledge all resumes received and thoroughly screen all potential candidates.
C. Evaluate Prospective Candidates
Preliminary Screening and Progress Report...Criteria for the preliminary screening will be contained in
the approved "Recruitment Profile." They may include such items as education, technical knowledge,
t experience,accomplishments,management style,personal traits,etc. Screening of candidates against those
criteria will be based on data contained in the resume and other data provided by the candidates and on our
knowledge of the organizations in which they work. At this stage,each must meet the minimum qualifications
specified in the Recruitment Profile.
We request that all candidates provide us,in writing,substantial information about their accomplishments and
their management style and philosophy. This information is verified and,at the City's option,maybe further
tested by having the finalists respond to a supplemental questionnaire and/or complete management and
leadership style inventories. We interpret these instruments for the City as well.

We will meet with the Mayor and City Council to provide a progress report on a number of semifinalist
candidates. These individuals will be top prospects who clearly meet the Citys specifications for the position.
With guidance from the Mayor and City Council,we will narrow the semifinalist candidate group on the basis
of refined criteria. During this meeting we will determine Mayor and City Council expectations relative to
interview questions that we will write as well as the candidate rating and scoring processes which will be
included in our final report.
D. Selection and Employment
In-depth Screening and Final Report...At this point we will interview those semifinalist candidates whom
the Mayor and City Council has the greatest interest in. Proper"fit"is as important as technical ability. We
assess both. In order to better assess candidates'management style and interpersonal characteristics,we
personally interview each In his or her present work environment. We will closely examine each
candidate's experience, qualifications, achievements, management style and interpersonal skills in view of
the selection criteria and our professional expertise in evaluating the quality of such qualifications,skills and I
achievements.
We conduct in-depth background checks on those individuals who continue to demonstrate their overall
suitability for the position. Included are detailed and extensive reference checks which cover a minimum
period of ten years. In conducting these,it is our practice to speak directly to individuals who are now or have
been in positions to evaluate the candidate's job performance. We ask each candidate to provide us with a
large number of references. We then network these references to other persons who know the candidate.
In this way, we thoroughly evaluate each candidate. These references and evaluations are combined to
provide frank and objective appraisals of the top candidates.
As part of our evaluation process we verify undergraduate and graduate college degrees, conduct credit
checks and we arrange for criminal history and driving record checks. As an option, we can arrange for
assessment centers and/or psychological (or similar) testing of the candidates. (These optional items will
result in extra cost.)
We will then meet with the Mayor and City Council to present a group of well-qualified finalist candidates for
interviews in Elgin. These final candidates will not be ranked because,at this point,they will all be qualified
and it will then be a matter of chemistry between the candidates and the Mayor and City Council that should
produce the final selection decision.
Our final report will be presented in a meeting with the Mayor and City Council. This written report is a
comprehensive document. It contains our candidate recommendations,details about the search,interview
tips, interview questions, candidate evaluation forms and information about legal vs. illegal inquiries. The
report also includes the candidate interview schedule as well as our recommendations relative to timing,
sequencing, location, setting, format, and conduct of interviews. The report contains comprehensive
information about each recommended candidate. This includes educational and experience information,an
evaluation of the candidate's experience relative to the criteria established by the City,a summary of reference
comments and a statement of accomplishments and management style prepared by the candidate. Present
compensation is also provided for each recommended candidate.
We will provide information about trends in employment,employment contracts and agreements,relocation
expenses, perquisites, appropriate roles for spouses, receptions, etc. We arrange schedules for top
candidate interviews with the City and we will coordinate the entire process, including staff and community
participation.
We will properly handle any and all media relations. Unless otherwise directed, it is our standard practice to
tell all media that we are working on behalf of the City of Elgin and that any public statement should come from w
the City directly. Under no conditions will we release information to the media unless specifically directed by
the City to do so.
Finally,we will notify all unsuccessful candidates who were not recommended for an interview with the City
of the final decision reached. We suggest,however,that it is more proper for the Mayor to directly notify all
unsuccessful candidates whom City interviewed of the final result.

This section presents our qualifications to conduct projects of this type and describes the staff to be '
assigned to the search.
A. Firm Qualifications I
SMC is an independent management consulting firm formed in 1986 and incorporated in the State of Georgia.
We operate nationwide. The principal of the firm is Robert E.Slavin who has extensive experience as a local I
government executive and as a management consultant.

Robert E. Slavin,President
Mr.Slavin is one of the pioneers in public sector and nonprofit executive search. He is among the best known

EXPENSES
Consultant Travel Costs: The client pays direct cost for all necessary consultant travel using coach or,when
available, lower air rates, corporate hotel rates at moderately priced properties (Holiday Inn or equivalent),
rental cars,using the corporate discount and normal meals. Client controls these costs in the following ways:
(1) When appropriate, consultants will accomplish multiple purposes when traveling and will allocate
costs to multiple clients.
(2) The client pre-approves all work plans including consultant/candidate interviews.
Office Costs Include: Telephone($350 flat fee,billed in two installments),FAX,postage,messenger,copier,
and clerical costs.
Average Advertising Costs: Normally about$1,500. Client controls these costs because the advertising
program will be approved by the City before implementation.
Expenses for the executive search project described in this proposal will not exceed 45%of the professional
fee. The cost for final candidates to travel to Elgin for interviews is not covered by this proposal. Such costs
are typically paid by the City on a reimbursement basis,directly to the candidates,and controlled through the
City's prior approval of the finalist candidates. These costs vary depending on candidate location,espousal
involvement,time required for candidates to be in Elgin, etc. For budgeting purposes, an average cost of
between $450.00 and $650.00 per candidate would be appropriate. About five candidates are normally
recommended for interviews.
Should the City's needs result in additional project scope that significantly increases consultant travel and/or
advertising costs, it may be necessary to increase the expense budget for the project.
Your liability to Slavin Management Consultants for services rendered under this agreement will not exceed
the agreed upon price unless an increase is authorized by you in writing.
We will submit monthly invoices for fees and expenses. It is our practice to bill 30% at the start of the
searches,30%at the end of thirty days,30%at the end of sixty days,and the remaining 10%shortly after the
time the new City Manager accepts employment with the City. Each invoice will be payable upon receipt for
professional services.
Expenses will be billed in addition and shown as a separate figure. Attached is a pro-forma invoice showing
the level of accounting detail we will provide.
We will comply with all applicable laws,rules,and regulations of federal,State,and local government entities.
Our ability to carry out the work required will be heavily dependent upon our experience in providing similar
services to others, and we expect to continue such work in the future. We will, to the degree possible,
preserve the confidential nature of any information received from you or developed during the work according
to our professional standards.
We assure you that we will devote our best efforts to carrying out the engagements. The results obtained,
our recommendations,and any written material provided by us will represent our best judgment based on the
information available to us. Our liability,if any,will not be greater than the amount paid to us for the services
rendered.
This proposal constitutes the agreement between us. It cannot be modified except in writing by both parties.
