TRULL FOR THE HIGHLANDS OF ELGIN GOLF COURSE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Olufemi Folarin, Interim City Manager, and Dolonna Mecum, City Clerk, be and are hereby authorized and directed to execute a First Amendment Agreement on behalf of the City of Elgin with Randy W. Trull for Phase One construction management services for the Highlands of Elgin Golf Course, a copy of which is attached hereto and made a part hereof by reference. s/ Ed Schock Ed Schock, Mayor Presented: June 12 , 2002 Adopted: June 12 , 2002 Omnibus Vote : Yeas : 5 Nays : 0 Attest : s/ Dolonna Mecum Dolonna Mecum, City Clerk FIRST AMENDMENT AGREEMENT THIS FIRST AMENDMENT AGREEMENT made and entered into this (471 day of S(j/1✓g , 2002 , by and between the CITY OF ELGIN, an Illinois municipal corporation (hereinafter referred to as the "City" ) ; and RANDY W. TRULL, an individual (hereinafter referred to as the "Construction Manager" ) . WHEREAS, the City and the Construction Manager have previously entered into an agreement dated November 1, 2000 , wherein the City engaged the Construction Manager to furnish professional services in the form of construction management services for the Spartan Meadows Golf Course Renovation and Expansion Project (hereinafter referred to as the "Subject Agreement" ) ; and WHEREAS, the City and the Construction Manager desire to enter into this First Amendment Agreement to amend the Subject Agreement whereby the Construction Manager will provide additional professional services related to the Spartan Meadows Golf Course Renovation and Expansion Project . NOW, THEREFORE, for and in consideration of the mutual undertakings as set forth herein, and the mutual undertakings as set forth in the Subject Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows : 1 . That the Subject Agreement between the City and the Construction Manager dated November 1, 2000, be and is hereby amended as follows : A. That Section I entitled "SCOPE OF SERVICES" be and is hereby amended by adding an additional Subparagraph C thereto to read as follows : "C. The Construction Manager shall also provide the services relating to the Project as described in the Construction Manager' s memorandum to the City' s Fiscal Services Manager James R. Nowicki dated March 28 , 2002 , a copy of which is attached hereto as Exhibit A. " B. That Section IV of the Subject Agreement entitled "PAYMENT TO THE CONSTRUCTION MANAGER" be and is hereby amended by adding an additional Subparagraph D thereto to read as follows : "D. For the services to be provided by the Construction Manager pursuant to this First Amendment Agreement and described in Exhibit A to the First Amendment Agreement the Construction Manager shall be paid a monthly fee in the total amount of $4 , 000 with the maximum total costs for such services not to exceed $48 , 000, including expenses . " C . That Section VII of the Subject Agreement entitled "TERM" be and is hereby amended by adding an additional paragraph thereto to read as follows : "The Construction Manager shall provide the services provided for in this First Amendment Agreement over a twelve (12) month period commencing May 2002 and ending May 2003 . Services shall be provided each month on a monthly basis . " 2 . That except as modified in this First Amendment Agreement the Subject Agreement between the City and the Construction Manager dated November 1, 2002 , shall remain in full force and effect . 3 . That in the event of any conflict between the terms of this First Amendment Agreement, and the terms of the Subject Agreement dated November 1, 2000 , the terms of this First Amendment Agreement shall control . TRULL Golf Project Management Proposed Amendment to Existing Construction Management Agreement DATE: March 28,2002 TO: Mr.James R Novicki, CPA Fiscal Services Manager-City of Elgin 150 Dexter Court Elgin,IL. 60120-5625 RE: Contract dated November 1,2000 between Randy W. Trull&The City of Elgin,Illinois: Dear Mr.Nowicki, As you requested,the following is a proposal to expand the scope of services listed in the above referenced contract to provide consulting&advisory services related to the following,and/or other,project items: 1. Construction of golf course clubhouse facilities (both permanent & temporary), including, but not limited to: a. planning&construction of an interim clubhouse structure, b. completion of parking area grading and paving c. installation of exterior lighting, d. installation of all required utility services, e. development of interim cart storage facility, f. completion of clubhouse area cart paths&staging areas, g. installation of clubhouse area landscaping materials&irrigation system. 2. Planning&installation of practice range netting lighting and equipment. 3. Development of tunnel crossing beneath McLean Blvd., including design,planning and completion of any modifications made to the existing Spartan Meadows golf course in order to accommodate the tunnel and/or McLean roadway improvements. 4. Completion of Highlands of Elgin Golf Course construction punch-list items and golf course grow-in program. 5. Preliminary planning of future Phase II development Services shall be of an advisory nature and, as we discussed, City staff shall perform actual coordination scheduling,daily monitoring and management of the work. It is proposed that Trull would meet with City staff, contractors,vendors and others involved in planning and completing the work on a weekly basis. Of course, Trull will be available at all times to communicate with involved parties by phone, fax and e-mail transmissions. Consulting and Advisory Services,under this agreement,shall commence upon that same date,and will be provided for the City through May 1,2003(12 months). Services shall be provided on a monthly basis. The City shall have the right to terminate this agreement at any time during this term by delivering to Trill,in writing,notice of termination not less than thirty(30)days prior to the date of termination. Fee Schedule: The City shall make payment for these services on a monthly basis. The monthly fee for services shall be Four Thousand Dollars($4,000.00)per month The maximum total cost of these services shall not exceed Forty-Eight Thousand Dollars($48,000.00),including expenses. Services to be provided under the terms of this agreement are, in my judgment,necessary and would serve the best interests of the City of Elgin,Illinois. Please contact me if you have any questions. Trull for project management of the Highlands of Elgin golf course . BACKGROUND In November 2000, the City entered into a $127, 600 contract with rib- Randy W. Trull for construction management of the Highlands of Elgin Golf Course - Phase I . Mr. Trull provided assistance and advice to the City in organizing, coordinating and managing the construction project . The term of his contract expires at the end of May 2002 . While Phase I of the golf course construction is nearly complete, there remains a significant amount of work that will need to be accomplished for the temporary and permanent clubhouse, practice range, tunnel construction and preparation for Phase II, especially as it deals with the mining contractor (i .e. , lake edge, "Mt . Elgin" , preliminary grading, etc . ) . Mr. Trull and staff negotiated a fee of $4 , 000 . 00 per month, for twelve months, to perform the above services as well as those detailed in the attached proposed contract amendment . COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED Highlands of Elgin Golf Course Leadership Team. / _ FINANCIAL IMPACT Sufficient funds are available in the Riverboat Operating Buildings/Structures Fund, account number 275-0000-791 . 92-36, project number 509537 (budget of $380, 000 . 00) , to pay for this r contract . ALTERNATIVES 1 . Do amend the contract and utilize the project management expertise of Mr. Trull on the golf course project . 2 . Do not utilize the project management expertise of Mr. Trull on the golf course project . RECOMMENDATION It is recommended that the City Council amend the contract with Randy W.
