RESOLUTION
AUTHORIZING EXECUTION OF AMENDMENT NO. 3 TO AGREEMENT
WITH RUST ENVIRONMENTAL & INFRASTRUCTURE, INC. FOR
THE KIMBALL STREET IMPROVEMENTS
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Joyce A. Parker, City Manager, and Dolonna
Mecum, City Clerk, be and are hereby authorized and directed
to execute Amendment No. 3 to Agreement on behalf of the City
of Elgin with Rust Environmental & Infrastructure, Inc . for
the Kimball Street improvements, a copy of which is attached
hereto and made a part hereof by reference .

AMENDMENT NO. 3 TO AGREEMENT BETWEEN THE CITY OF ELGIN
AND RUST ENVIRONMENT & INFRASTRUCTURE, INC.
his Amendment No. 3 Agreement made and entered into this O.l day of
, 2000, by and between the CITY OF ELGIN, an Illinois municipal
co oration (hereinafter referred to as "City") and RUST ENVIRONMENT &
INFRASTRUCTURE, INC., an Illinois corporation (hereinafter referred to as "Engineer.)
WHEREAS,the City and the Engineer have previously entered into an Engineering Services
Agreement dated July 17, 1996 (hereinafter referred to as the "Agreement"), whereby the Engineer
was engaged by the City to perform certain professional services in connection with the preparation
of plans, specifications and estimates of cost and the performance of construction related services
for the Kimball Street and State Street Improvement Project(hereinafter referred to as the"Project");
and
WHEREAS, certain additional design engineering services were required to modify the final
plans and specifications after construction of the Project had already commenced by the contractor
R.W. Dunteman Company; and
WHEREAS, certain additional engineering services were required to provide construction
administration and full time construction observation while R.W. Dunteman Company carried out
construction of the Project; and
WHEREAS, in response to the need for these additional services, certain revisions must be
made to the Agreement between the City and Engineer.
NOW, THEREFORE, for and in consideration of the mutual undertakings as set forth in the
Agreement between the City and the Engineer and the previous amendments thereto,and the mutual
undertakings as set forth in this Amendment No. 3, and for other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
1. That the foregoing recitals are incorporated into this Agreement in their entirety.
2. That the Agreement between the City and the Engineer is hereby further amended as
follows:
1. Section I of the Agreement entitled "SCOPE OF SERVICES" is hereby further
amended to include the following additional services under Subparagraph B
"CONSTRUCTION SERVICES":
* Modify temporary and permanent traffic signal plans and
details for the intersection of Kimball Street and State Street
(Sheets 44 through 48)to meet new design guidelines for traffic
signal systems interconnected with protection systems at
railroad/highway grade crossings from the Illinois Department
of Transportation(IDOT) and Illinois Commerce Commission
(ICC).
2. That pursuant to Amendment No.2 to the Agreement dated March 1997,the project
construction schedule had been modified. Due to subsequent change orders to R.W.
Dunteman's contract with the Cty approved during the construction process, additional work
was included in the Project which required further modification to the schedule of the
construction process. This work consisted of aesthetic improvements on the Kimball Street
bridge, relocation of Commonwealth Edison utility facilities, relocation of various storm and
sanitary sewer lines,traffic signal modifications at the intersection of Kimball and State Streets
and modifications to the railroad/highway grade crossing protection system at Station
69+17.66 on Kimball Street. Section II of the Agreement entitled "PROGRESS REPORTS"
is therefore hereby further amended by revising the construction schedule as follows:
* Begin Construction 03/17/97
* Substantial Completion 07/17/98
* Final Completion 08/07/98
3. That pursuant to Amendment No. 2 to the Agreement dated March 1997, the total
fee for design and construction engineering services had been revised to an amount not-to-
exceed$419,940. That as a result of the increase in the extent of work included in the Project
as described in this Amendment No. 3 Section IV of the Agreement entitled"PAYMENTS TO
THE ENGINEER" is hereby further amended by increasing the total fee for design and
construction engineering services by$140,361.87 to a new,revised,not-to-exceed final amount
of$560,301.87 regardless of actual costs incurred by the Engineer. The additional services
providing a breakdown for the increase in fees as provided by this Amendment No. 3 are set
forth in the attached letter to the Cty dated March 23, 2000 and Exhibits A, B and C attached
hereto.
4. That this Amendment No. 3 is intended as a final Agreement as to all monies due
and owing the Engineer for services rendered forthe Project and it is agreed that no additional
fees or any other monies shall be due and owing to the Engineer for the Project.
5. That all other provisions of the Agreement shall remain in full force and effect.
6. That the changes to the Agreement as provided in this Amendment No. 3 are in the
best interests of the Cty and are authorized by law.

Re: Extra Work Request for Design and Construction Engineering Services
Kimball Street and State Street Improvements
Dear Mr. Pertzborn:
The purpose of this letter is to request additional compensation of$140,361.87 for extra design and
construction engineering services provided by Rust Environment & Infrastructure (Rust) on the
Kimball Street and State Street Improvement project. The reason additional services were required
relate to two items. First, significant additional design hours were spent after plans were completed
for bidding purposes. The extra effort was required to obtain approvals from Metra, IDOT and the
Illinois Commerce Commission(ICC) for roadway and traffic signal improvements on Kimball Street •
at the railroad grade crossing. Secondly, additional hours for construction engineering services were
required due to an increase in the extent of work included in the contract and due to an increase in
the length of the construction schedule by eight months related to many delays.
Extra Design Engineering Services
The City and Rust had coordinated the design of roadway and traffic signal improvements at the
Kimball Street grade crossing with Metra over a two-year period during the preparation of final
construction documents. When Metra and the City executed a joint agreement for grade crossing
improvements on March 19, 1997, it was thought that approvals were now in place to begin
construction. Unfortunately, Metra informed us all at the April 3, 1997 pre-construction meeting that
the approval of the ICC would now be required for the improvements due to the interconnection
between the proposed traffic signals at the Kimball Street and State Street intersection and the
warning system at the grade crossing. The hearing and approval process was a new procedure that
was just being implemented between Metra and the ICC due to the train/school bus accident that
occurred in Fox River Grove the previous fall. It was later learned that the Kimball Street crossing
was the first project in the state that needed to go through this new ICC review and approval process.

A total of 251.5 additional design hours were worked by six individuals between May 1997 and April
1998 to comply with the ICC requirements. Exhibit A (attached) details the hours worked, the
associated costs incurred of$20,654.17 and tasks performed by each individual. Additional services
required include the following:
1. Temporary and permanent traffic signal plans for the Kimball and State intersection were
revised and resubmitted to the ICC, Metra and IDOT on five separate occasions on July 8,
1997, August 29, 1997, December 22, 1997, February 23, 1998 and March 24, 1998.
Significant changes made from the bidding documents included relocating the placement of
signal heads and warning lights, revised signing and pavement striping plans, changes in the
sequence of operations and revised foundation plans for Metra's cantilever crossing arm.
2. Several office and field meetings were held with the City, IDOT and Metra to resolve signal
design issues and construction staging plans on Kimball Street. Meetings were held on June
13 & 17, 1997, July 17, 1997, January 6 & 9, 1998, February 11, 1998 and April 2, 1998.
3. Documents and exhibits were prepared for the City's use in the ICC hearing process. This
included the review of hearing documents on behalf of the City.
Extra Construction Engineering Services
The extent of construction work included in the Kimball Street and State Street project was increased
significantly after a contract had already been awarded to R.W. Dunteman. The additional work
required Rust to provide an assistant resident engineer and one inspector on the project site for
construction observation during the peak of the 1997 construction season to ensure the contractor
conformed with the contract plans and specifications. Exhibit B documents the time periods when
Dunteman, his subcontractors, utility companies and Metra were actively working on the project site.
Additional construction work included the following:
1. Additional Work on the Kimball Street Bridge: Extensive additional aesthetic features
were added to the Kimball Street bridge over the Fox River after construction had already
commenced. Bridge-related work added to the project included replacing the existing parapet
wall on the north side of the bridge, the use of form liners to create an indented relief pattern
on both parapet walls, redesign of the light pole foundations for a monolith appearance and
adding a fluted handrail and Elgin "Cupola" logo on the parapet walls. These modifications
required a change order with Dunteman that increased the cost of bridge-related construction
by nearly 20 per cent over the original bid price and lengthened the time period estimated for
bridge construction by nineteen weeks over Dunteman's original construction schedule. Mike
Johnson, Rust's resident engineer, worked 40 hours in assisting the City in negotiating the

contractor's cost for the change order. An additional 300 labor hours were also worked to
provide construction observation services during the extended bridge construction period.
2. Utility Coordination: After construction had commenced, the City and Commonwealth
Edison (ComEd) agreed to bury the overhead power lines along Kimball Street and along the
east side of State Street within the project limits. Mike Johnson was in daily contact with
ComEd to ensure that their work would be complete when Dunteman was ready to begin
work in those areas. This effort included coordination of Dunteman's electrician, who
installed the Kimball Street roadway crossings for ComEd, and coordination with ComEd's
subcontractor to ensure that their new facilities would not conflict with proposed roadway
and drainage improvements. The coordination effort required an additional 60 labor hours
during the seven weeks that ComEd was on the project site.
3. Field Modifications of Storm and Combined Sewers: After construction had started, it
was discovered that Ameritech had adjusted the location of their underground telephone ducts
in a way that interfered with the proposed location of several drainage structures and pipe
laterals. Ameritech's work had been performed prior to the start of construction activities.
Existing combined sewer lines crossing Kimball Street on Brook and Spring Streets were also
found to be in poor condition and required replacement. The additional work required to
modify the drainage design and replace the combined sewers required an additional 80 labor
hours for resident engineering and construction observation and more construction staking
hours by Rust's subconsultant, Survey Systems of America (SSA).
4. Coordination with Metra's Revised Grade Crossing Improvements and IDOT's Permit
Restrictions: During 1997, many hours were spent by Mike Johnson in coordinating
proposed improvements with work being performed by Metra at the Kimball Street grade
crossing to comply with the new ICC requirements. It was also necessary for Mike Johnson
to work closely with Dunteman in developing revised construction staging plans in project
areas which had not yet been permitted by IDOT, again related to the delay caused by the new
ICC requirements. Between these two changes, in excess of 100 labor hours were worked
by Mr. Johnson to coordinate proposed improvements with the changed conditions caused
by the ICC requirements. SSA, Rust's subconsultant that performed construction staking,
was also required to spend additional time on the project since only limited areas were
available for staking on each visit to the site.
If this additional work had not been added to the construction project, Rust would have performed
construction engineering services during 1997 with the resident engineer and an assistant resident
engineer. However, as we have documented above, due to the additional bridge-related work and
the complexity of coordinating construction activities and negotiating change orders, it was necessary

to add an inspector to the project staff during several periods of more intensive construction activity.
Exhibit B shows the relationship between time periods when several contractors and utility companies
were working simultaneously on the project site and the staffing level provided by Rust for
construction administration and observation.
Besides increases in the extent of construction work, there were delays during construction which
caused resident engineering services to be performed well beyond the time period defined in Rust's
original agreement with the City. In the original agreement, 1,940 labor hours had been estimated
for resident engineering services through substantial completion with the anticipation that all major
construction activity would be completed by the end of the 1997 construction season. During 1998,
it had been assumed that an additional 400 hours of part-time resident engineering services would be
needed to complete the traffic signal installation at the State Street and Kimball Street intersection,
landscaping improvements and any punch list items. Thus, the agreement provided a total budget of
2,340 hours for the resident engineer.
In reality, a total of 3,073.5 resident engineering hours (733.5 hours more than budgeted) were
worked. Substantial construction work was performed throughout the 1998 construction season and
construction activity continued even during the winter months of December 1997 through March
1998. The 1998 work included construction of sidewalks, driveways, irrigation systems, traffic
signals, all paving work on State Street, street lighting, landscaping, brick pavers, the bituminous
surface course for the entire project and all punch list items. Mike Johnson was Rust's resident
engineer until March 1998 when he relocated from the area. As noted on Exhibit C, he worked a
total of 2,100.5 hours. Brian Parks completed the project as resident engineer after Mr. Johnson left
and worked a total of 973 hours in 1998.
Delays which forced construction into a second construction season included obtaining IDOT, Metra
and ICC approvals, the removal of underground storage tanks from the Payless Shoes property on
the east end of Kimball Street and extensive public utility relocations. The delays to the project were
recognized in a change order for Dunteman that was approved by the City. The change order revised
substantial completion from November 30, 1997 to July 17, 1998 and final completion from June 30,
1998 to August 7, 1998.
In budgeting engineering fees for reconstruction of a complex, urban, arterial project that includes
a major bridge structure, it is common to estimate engineering services to be approximately 10% of
the total construction cost. The total construction cost for the Kimball Street and State Street
Improvement project after approval of change orders for R.W. Dunteman was $5,856,445. With the
addition of 1,262 labor hours worked and direct cost expenses, all as a result of the increase in the
extent of construction work and the extensive delays, the actual amount spent for construction
engineering services as shown on Exhibit C increased by $119,707.70 to a total of$489,607.70. The

actual engineering fee is only 8.4% of the final construction cost, well under a budget estimate for
engineering fees on a typical project of this magnitude and complexity.
The additional design and construction engineering hours and costs described in this letter were not
anticipated in either of the two amendments to our engineering agreement that were approved by the
City in February 1997. The extra amount requested of$20,654.17 for additional design engineering
services and $119,707.70 for additional construction engineering services increases the project fee
by a total of$140,361.87.

(SSA). SSA had conducted the original topographic survey for the project and had the staffing

SUBJECT: Amendment to Agreement and Final Payment
with Rust Environment & Infrastructure
Inc. (Rust) for Design and Construction
Engineering Services for the Kimball
Street/State Street Improvement Project
PURPOSE
The purpose of this memorandum is to provide the Mayor and members
of the City Council with information to consider authorization of
Amendment No. 3 to the agreement with Rust and final payment for
the Kimball Street/State Street Improvement Project.
BACKGROUND
The original agreement with RUST ($153, 536. 56) for the preparation
of plans and specifications for the Kimball Street improvements was
authorized by City Council at its July 2, 1996 meeting. Amendment
No. 1 ($19, 442 . 00) adding the design of decorative handrails for
the Kimball Street bridge was authorized by City Council at its
February 12, 1997 meeting. Amendment No. 2 ($419, 940. 00) adding
the construction-related engineering services was authorized by
City Council at its February 26, 1997 meeting.
Amendment No. 3 will add $20, 654 . 17 to Rust' s agreement for
additional design services and $119; 707 . 70 to Rust' s agreement for
additional construction services. Subsequent to the award of the
construction contract, the Illinois Department Of Transportation
(IDOT) , Metra and the Illinois Commerce Commission (ICC) required
extensive changes to the signal design at the Kimball Street/State
Street intersection and Metra railroad grade crossing. Additional
costs were incurred to redesign the signals to meet the
requirements of Metra, IDOT and the ICC. The changes to the
intersection design resulted in the project schedule being extended
by approximately eight months . Additional costs were incurred for
construction services due to the extension of the construction
schedule.

few Staff has been working with Rust to finalize this amendment since
the completion of the project in September of 1998 . Due to
personnel changes at Rust and the documentation required by City
staff to substantiate the request for additional compensation, it
has resulted in the delay in presentation to City Council . Exhibit
B contains the memorandum to City Council for final acceptance and
payment to the contractor for the Kimball Street project . This
memorandum contains a paragraph indicating that staff is in the
process of negotiating an amendment to Rust' s contract for
additional engineering services .

tFINANCIAL IMPACT
The contract with Rust included engineering and construction-
related services for both Kimball Street and State Street in the
aggregate amount of $592, 918 . 56. The Kimball Street portion
totaled $419, 940 . Amendment No. 3 will add $140, 361 . 87 to the
Kimball Street portion of the project, bringing the total to
$560, 301 . 87 . Funds are available in account number 396-1000-
ew 795. 9380, project number 339553, to fund this amendment and
complete payment of the contract.

RECOMMENDATION
It is recommended that City Council authorize execution of
Amendment No. 3 and final payment in the amount of $140, 361 . 87 and
