RESOLUTION
AUTHORIZING EXECUTION OF AN INTERGOV1RNMENTAL AGREEMENT
TO FUND THE IMPROVEMENT OF THE INTERC . NGE OF RANDALL ROAD
AND THE NORTHWEST TO LWAY
WHEREAS, the Illinois Constitution of 1970, Article VII,
Section 10 and 5 ILCS 220/1 et seq. aut orizes the County and
the City to cooperate in the performan.e of their respective
duties and responsibilities by contract and other agreements;
and
WHEREAS, the County and the Cit desire to cooperate
among themselves and in conjunction w th the Illinois Toll
Highway Authority (hereinafter "ISHTA" 1 to provide for the
improvement of the intersection of Randall Road (County
Highway No. 34) and Interstate Route 90 also referred to as
the Northwest Tollway; and
WHEREAS, the ISHTA desires to con-truct full on and off
ramps at the intersection of Randall Road and the Tollway.
The project as contemplated shall consi.t of the construction
by the ISHTA, of complete on and off r.mps from Randall Road
to the Tollway with construction of t affic signalization at
the intersections of the ramps with Randall Road, thereby
providing a full interchange at the i tersection of Randall
Road and the Tollway and in conjunction with the project it is
necessary that Randall Road be impr.ved by widening the
Randall Road bridge over the Tollway t. accommodate the full
interchange as contemplated as well as he widening of Randall
Road including, but not limited to the addition of turn lanes
among those other things that may be n-cessary to accommodate
the full interchange as contempla ed (hereinafter the
"Project" ) ; and
WHEREAS, the estimates for the construction of the
Project as contemplated is determined to cost approximately
twelve million dollars ( $12, 000, 000. 00) ; and
WHEREAS, ISHTA has determined that in order to construct
the Project as contemplated the loca share of the Project
shall be four million dollars ( $4,000, 000 . 00) and that
contribution thereof should be forth oming from benefitted
units of government, namely the County of Kane and the City of
Elgin; and
WHEREAS, the Project is deemed by the County and the City
to be of immediate benefit to the res dents of the County of
Kane and the City of Elgin in that t shall facilitate the
safe and efficient movement of traffi• and shall provide for
the safety of the motoring public; and
WHEREAS, the County, the City and I',HTA have determined a
mutually satisfactory distribution of all costs for said
Project as contemplated.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Kevin Kelly, Mayor, an. Dolonna Mecum, City
Clerk, be and are hereby authorized and .irected to execute an
Intergovernmental Agreement on behalf of the City of Elgin
with the County of Kane for funding of ' he improvement of the
Randall Road and Northwest Tollway in erchange, a copy of
which is attached hereto and made a part hereof by reference.

INTERCHANGE OF RANDALL ROAD AND THE ORTHWEST TOLLWAY

This Agreement entered into this 3 1 day of August 1996 by and between the County of Kane,
a body corporate and politic of the State of Illinois (hereinaft:r "County") and the City of Elgin,
a municipal corporation of the State of Illinois (hereinafter" ity").
WITNESSETH
WHEREAS, the Illinois Constitution of 1970, Article VII, S-ction 10 and 5 ILCS 220/1 et seq.
authorizes the County and the City to cooperate in the perfor ance of their respective duties and
responsibilities by contract and other agreements; and,
WHEREAS, the County and the City desire to cooperate a ong themselves and in conjunction
with the Illinois State Toll Highway Authority (herein: ter "ISTHA") provide for the
improvement of the intersection of Randall Road (County Hi;:hway No. 34) and Interstate Route
90 also referred to as the North-West Tollway (hereinafter 'Tollway"); and,
WHEREAS, ISTHA desires to construct full on and off ram,s at the intersection of Randall and
the Tollway. The project as contemplated shall consist of the construction by ISTHA of on
ramps from Randall Road to the Tollway with construc ion of traffic signalization at the
intersections of the ramps with Randall Road, thereby p oviding a full interchange at the
intersection of Randall Road and the Tollway (hereinafter t e "project").
WHEREAS, in conjunction with the project it is necessary that Randall Road be improved by
widening,the Randall Road bridge over the Tollway to ac ommodate the full interchange as
contemplated, as well as the widening of Randall includin:, but not limited to the addition of
turn lanes among those other things that may be necessary to accommodate the full interchange
as contemplated (hereinafter "improvement"); and,
WHEREAS, the estimates for the construction of the proj- t as contemplated is determined to

WHEREAS, ISTHA has determined that in order to cons ct the project as contemplated the
local share of the improvement shall be four million dollars ($4,000,000.00) and that
contribution thereof should be forthcoming from benefit- s units of government, namely the
County of Kane and the City of Elgin.
WHEREAS, the improvement is deemed by the County and t e City to be of immediate benefit
to the residents of the County of Kane and the City of Elgin i , that it shall facilitate the safe and
efficient movement of traffic and shall provide for the safety of the motoring public; and,
WHEREAS, the County, the City and ISTHA have de ermined a mutually satisfactory
distribution of all costs for said project as contemplated.
NOW, THEREFORE, in consideration of the preambles staled hereinabove and for other good
and valuable consideration, the sufficiency of which is ag ieed to by the parties hereto, the
County and the City agree, covenant and mutually bind the mselves as follows; to wit:
1. The County agrees to enter into an intergovernmen . agreement with ISTHA to cause
the construction of the project.
2. The County agrees to advance to ISTHA those funds ecessary as set forth hereinbelow,
up to but not to exceed four million dollars ($4,000,001.00) for the construction of the
improvement.
3. The County, the City and ISTHA mutually agree tha the estimated costs of the project,
including but not limited to preliminary engineering, constru tion and construction supervision,
is twelve million dollars ($12,000,000.00).
4. The County and the City agree that the distribution o J costs for the project, including the
improvement, shall be as set forth hereinbelow:

5. The County and the City specifically acknowledge tha the costs as set forth hereinabove
may be adjusted downward to reflect the actual cost of design and construction of the
improvement.
6. The County and the City have passed or will pass r=spective resolutions appropriating
sufficient funds to pay their share of the cost of the improve ent.
7. The County agrees to advance four million dollars ('.4,000,000.00) for the cost of the
improvement, subject to reimbursement from the City in the s-rcentages as aforementioned. The
City agrees to pay to the County on the date that the contrast for the project is let, the sum of
one million dollars ($1,000,000.00). The City agrees to pay o the County an additional sum of
one million dollars ($1,000,000.00) one year (365 days) afte the contract for the project is let.
Both the County and the City agree that the County's share fog the improvement shall not exceed
two million dollars ($2,000,000.00) and that the City's s e of the improvement shall not
exceed two million dollars ($2,000,000.00).
8. Upon activation of the traffic signalization in . led by ISTHA, the financial
responsibility for maintenance and electrical energy for the o s eration of said traffic signals shall
be the sole responsibility of the County.
9. It is further understood and agreed by the County and the City that maintenance of traffic
signals will be performed by the County by contractual agr--ment. The County shall retain the
right to control the sequence of the traffic signals. The ounty shall also arrange to have
electrical power provided for the operation of the traffic si:nals
10. This Agreement and the covenants contained herein shall be null and void in the event
that the contract for construction of the project and the improvement is not awarded by
December 31, 1998.
11. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto
and their respective heirs successors and assigns.
12. In the event a dispute arises regarding the terms If this Agreement the copy in the
possession of the County shall control.
13. No oral modification, amendment or change shall 'e allowed to this Agreement. Any
modification, amendment or change hereto shall be in writ ng signed by both the City and the
County.
14. In the event that any provision of this Agreement sh;11 be found by a court of competent
jurisdiction to be void, such finding shall not invalidate the remaining provisions hereof.

SUBJECT: Randall Road/Interstate 90 Tollway
Intergovernmental Agreement with
Kane County
PURPOSE
The purpose of this memorandum is to provide the Mayor and
members of the City Council with information to consider
entering into an Intergovernmental Agreement with Kane County.
BACKGROUND
The 1996 Budget and the 1996-2000 Financial Plan include
funds to help finance the cost of the Randall Road/Interstate
90 interchange. The City, Kane County and State of Illinois,
along with the Chamber of Commerce, established the expansion
of the interchange from a half interchange to a full
interchange as a number one priority for the Illinois State
Toll Highway Authority ( ISTHA) . The ISTHA developed plans and
specifications to expand the interchange as recommended.
As set forth in the proposed Intergovernmental Agreement, the
County, City and ISTHA mutually agree that the estimated
costs of the project, including preliminary engineering,
construction and construction supervision, is $12,000,000 .
The distribution of costs for the proje:t are as follows :
City 16 .65% $2,000,000 .
County 16. 65% $2,000, 000.
ISTHA 66 . 07% $8,000, 000.
Kane County has agreed to advance the City's share of the
improvement. The City is to reimburse Kane County with
$1,000, 000 in 1996 and $1,000, 000 in 1997. The 1996
installment is due at the time a construction contract is
awarded by ISTHA. The construction contract was awarded on
April 26, 1996 to Eric Bolendar Construction Co. , Inc. of
Libertyville, IL; therefore, Kane County has requested the
first installment of $1,000, 000.

information. The Kane County Board has already executed the
agreement. A copy of the resolution a•proved by the Kane
County Board is also attached for your. information.

FINANCIAL IMPACT
The Intergovernmental Agreement requires the City to pay Kane
County two installments of $1, 000, 000. ' he first installment
is due at the time a contract is let for the project. The
second installment will be due one year after the contract
for the project is let (April, 1997 ) .
The City has budgeted $1, 000, 000 in 199: for the I-90/Randall
Road interchange, Account No. 275-00-10-791 . 93-80, Project
No. 339551 . The 1997 installment will b= included in the 1997
budget under the same account and projec number.

ALTERNATIVES
None.
RECOMMENDATION
It is recommended that City Council a thorize the Mayor and
City Clerk to execute the Intergover mental Agreement with
Kane County.

said Agreement.
BE IT FURTHER RESOLVED, that the funds necessary to pay for the costs incurred
pursuant to this agreement be paid from the Local Option Tax, Fund No. 035, Line Item No.
560.
