RESOLUTION
AUTHORIZING EXECUTION OF AN INTERGOVERNMENTAL AGREEMENT WITH
KANE COUNTY FOR RANDALL ROAD SITE UTILITIES
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Kevin Kelly, Mayor, and Dolonna Mecum, City
Clerk, be and are hereby authorized and directed to execute an
Intergovernmental Agreement on behalf of the City of Elgin
with Kane County for Randall Road site utilities, a copy of
which is attached hereto and made a part hereof by reference.

INTERGOVERNMENTAL AGREEMENT
FOR
INSTALLATION OF UNDERGROUND UTILITIES
ON
RANDALL ROAD
CITY OF ELGIN AND COUNTY OF KANE
An agreement, entered into this 11th day of June
1996, by and between the County of Kane, hereinafter called
"COUNTY", and the City of Elgin, hereinafter called "CITY",
witnesseth
WHEREAS the parties hereto are authorized to exercise
intergovernmental cooperation pursuant to the provision of the
Illinois Constitution of 1970 and the Intergovernmental Cooperation
Act; and
WHEREAS it is deemed necessary in order to facilitate the free
flow of traffic and to insure the safety to the motoring public to
improve Randall Road from Bartels Drive on the south to a point 120
meters south of IL 72 for a total distance of 3 ,257 meters (10, 685
ft. ) by constructing additional traffic lanes, turn lanes, traffic
signals, medians, shoulders, drainage, landscaping, pavement
marking and other necessary appurtenances, hereinafter referred to
as the "IMPROVEMENT"; and
WHEREAS the City requests that the County include on the plans
the construction of water distribution facilities and sanitary
sewerage collection facilities as a part of the improvement; and
WHEREAS the City and the County desire to make said
improvement in that the same will be of immediate benefit to the
City's and the County's residents and shall be permanent in nature.
WHEREAS the County and the City desire to coordinate and
expedite the improvement with the contractor, subcontractors,
utility companies, suppliers, other interested parties, and the
motoring public, and to insure this mutually cooperative effort
shall agree to become a partner in this improvement and by becoming
a partner shall attend construction coordination meetings as
required by the County and the contractor; and
WHEREAS the City and the County agree that the inclusion of
the water distribution facilities and the sanitary sewerage
collection system in the roadway improvement plans will result in
a better coordinated improvement by one contractor than by two
separate contractors; and
NOW, THEREFORE in consideration of the mutual promises and
covenants herein contained, the County and the City hereby agree as
follows:
A. The cost of the design of the underground water
distribution and the sanitary sewerage collection system
shall be the sole cost of the City under separate
agreement between the City and the consultant.

B. The cost of the construction of the underground water
distribution system and the sanitary sewerage collection
system shall be the sole cost of the City.
C. The observance, inspection, and testing of the
construction of the underground water distribution system
and the sanitary sewerage collection system shall be the
sole cost and responsibility of the City.
D. The County agrees to permit the City to include the water
distribution system and the sewerage collection
facilities on the Randall Road improvement plans.
E. The City agrees to pay to the County an amount of 100% of
the cost of the water distribution system and the
sanitary sewerage collection system as received from the
lowest responsible bidder not later than 30 days after
the award of the contract by the County Board. When the
engineer's final pay estimate is approved by the Illinois
Department of Transportation, a final adjustment of the
utility costs will be made between the City and the
County no later than 30 days after such date.
F. Upon completion of the construction of the underground
water distribution system and the sanitary sewerage
collection system it is understood and agreed that such
facilities shall be the property of and solely owned by
the City. The County further agrees to assign to the
City any and all warranties of the contractor with
respect to the underground water distribution system and
the sanitary sewerage collection system.
This agreement shall be binding upon the parties hereto, all
heirs, successors, beneficiaries, and assigns.

SUBJECT: Motorola Site Utilities
Intergovernmental Agreement
with Kane County
PURPOSE
The purpose of this memorandum is to provide the Mayor and
members of the City Council with information to consider
entering into an "intergovernmental Agreement with Kane County.
r BACKGROUND
At their meeting on February 14, 1996, City Council authorized
a Development Agreement with Motorola Inc. Paragraph 3 of
that Agreement requires the City to extend a 12-inch water
main and a 24-inch intercepter sewer (Motorola Site Utilities)
along Randall Road to the southern boundary of the property
known as Randy's Vegetables.
Kane County is currently developing plans and specifications
for the improvement of Randall Road along the alignment where
the Motorola site utilities are to be installed. In order to
avoid conflicts between separate contractors working within
overlapping areas, it appears beneficial to both the City and
Kane County to add the installation of the Motorola site
utilities work to Kane County's Randall Road improvement
contract.
Kane County has also recognized the benefits of incorporating
this work within their contract and have prepared an
Intergovernmental Agreement to accomplish this integration, a
copy of which is attached as Exhibit A.
City staff has requested a proposal from Kane County's design
engineer, Hampton, Lenzini and Renwick, Inc. , for their engi-
neering services related to adding the Motorola site utilities
to the Kane County construction contract. That agreement will
be brought to City Council for their consideration in April,
1996 .

FINANCIAL IMPACT
The Intergovernmental Agreement requires the City to convey to
Kane County 100 percent of the low bid amount for the Motorola
site utilities within 30 days of the contract award by Kane
County.
The City has budgeted for the above work in 1996 as follows:
• W03b: Randall Road Water Main (Motorola) in the amount
of $140,000, Account No. 396-4000-795.92-80, Project
409605. ( 1996 bond sale)
• SSOlb: N. Randall Intercepter Extension in the amount of
$365,000, Account Nc. 396-4200-795.92-32, Project 429502 .

LEGAL IMPACT
None.
RECOMMENDATION
It is recommended that City Council authorize the Mayor to
execute an Intergovernmental Agreem nt with Kane County.
