RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH
WESTFIELD HOMES OF ILLINOIS, INC.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Richard B. Helwig, City Manager, be and is
hereby authorized and directed to execute an agreement on
behalf of the City of Elgin with Westfield Homes of Illinois,
Inc. , for storm sewer maintenance, a copy of which is attached
hereto and made a part hereof by reference.

March, 1995, by and between Westfield Homes of Illinois, Inc., ; n Illinois corporation
("Owner") and the City of Elgin. an Illinois municipal corporation (the "City").

A. Owner is the holder of fee simple title to that parce of real estate legally

described on Exhibit A attached hereto (the "Property"), located within tl ie municipal boundaries
VI of the City which Owner intends to develop with residential housing iii accordance with plans
that have been or will be approved by the City.

B. As part of the development of the. Property, Owner will be required to construct
and install certain storm sewer facilities on the Properly to provide for the run-off and detention
of water in accordance with engineering plans and specifications prel.ared by Owner and
approved by the City.
NOW, THEREFORE, for and in consideration of the terms, cov :nants and conditions
contained herein, and other good and valuable consideration, the receipt an I sufficiency of which
is hereby mutually acknowledged, Owner and the City hereby agree as foil, ws:
1. Storm Se er Maintenance. Notwithstanding any pr;vious agreement or
arrangement that may apply to the Property regarding the responsii-ility for maintaining,
repairing and replacing storm sewers on the Property (including th at certain Annexation
Agreement dated August 12, 1990, by and among the City, Zale 72 , Inc., and American
National Bank and Trust Company of Chicago, not personally, but solely as Trustee under Trust
Agreement dated September 29, 1989,and known as Trust No. 109526-0=1, which is applicable to
the Property and other land), Owner, its successors and assigns, shall be responsible for the
maintenance, repair and replacement of all the storm sewers now or f ereafter located on the
Property, except that the City shall retain the responsibility to maintain, repair and replace (i) all
storm sewer facilities located on the Property that were shown and depi:ted on the preliminary
engineering plans attached to the aforementioned Annexation Agreemei t; and (ii) those certain
storm sewer facilities located on the Property that provide outfall for tht adjoining development
to the east of the Property, currently called the Glens of College Gre m. Attached hereto as
Exhibit B is a diagram showing the proposed location of all storm sewer facilities on the
Property that Owner has submitted to the City with final engineering plans for installing said

facilities, which has been approved by the City. As an aid to the above-d :scribed allocation of
responsibility for the maintenance repair and replacement of portions Df said storm sewer
facilities, Exhibit C attached hereto contains a diagram delineating those facilities that are the
responsibility of Owner and Exhibit D attached hereto contains a diagr am delineating those
facilities that are the responsibility of the City.
?. Indemnification and Ilold Harmless.
a. Owner hereby agrees to indemnify and hold harmle:.s the city, its officers,
trustees and representatives, front and against any and all loss, c damage, cause of
action, action or liability arising out of the failure of Owner to per form the maintenance,
repair or replacement of any of the storm sewer facilities located c n the Property that are
designated to be the responsibility of Owner pursuant to the terms and provisions of this
Agreement.
b. lithe City shall claim indemnification hereunder ar sing from any claim or
demand of a third party, the City shall promptly notify Own r, or its successors or
assigns, in writing of the basis for such claim or demand in detail Owner shall have the
right to compromise or, if appropriate, defend at its own cost am. through counsel of its
own choosing, any claim or demand of any third party giving rise to such claim for
indemnification. Such notice and the said opportunity to cot tpromise or defend, if
applicable, shall be conditions precedent to any asserted liability ► nder this indemnity and
hold harmless. The City shall fully cooperate with Owner and its counsel in the defense
or compromise of such claim or demand. After the assumption C F the defense by Owner,
or its successor or assigns, Owner shall not be liable for any legal or other expenses

subsequently incurred by the City in connection with such defcn; e, but the City may
participate in such defense at its own expense. No settlement of; third party claim or
demand defended by Owner shall be made without the written cons(nt of Owner.
3. Binding Effect. This Agreement and the rights, bent fits and obligations
hereunder shall be binding upon the respective parties, as applicable, and nure to the benefit of
their respective successors and assigns. The term "Owner" as used in this f.greement means only
the owner for the time being of the Property, so that in the event of any sale or transfer of the
Property, the owner executing this Agreement shall be and is entirely f1 ee and relieved of all
covenants and obligations of Owner hereunder, and it shall be deemed Ind construed without
further agreement between the parties or their successors in interest, or b;tween the parties and
the purchaser at any such sale, that the purchaser of the Property has assun led and agreed to carry
out tiny and all covenants and obligations of Owner hereunder.

SUBJECT: Storm Sewer Maintenance Agreement with Westfield
Homes of Illinois, Inc.
PURPOSE
The purpose of this memorandum is to present to the Mayor and
members of the City Council an agreement with Westfield Homes
of Illinois, Inc. for maintenance of storm sewer facilities
in the Townhomes of Woodbridge Development.
fik BACKGROUND
Westfield Homes of Illinois, Inc. , the owner of the
Woodbridge North Townhomes Development, is seeking to install
storm sewer facilities outside of the rights of way for the
second and third phases of its Woodbridge North Development.
Installation outside of the street area has been requested by
Westfield. The governing annexation agreement for the sub-
ject property requires the City to maintain and repair all
storm sewer facilities, regardless of their location after
installation. The annexation agreement was entered into in
1990, prior to use of the City's standard annexation agree-
ment. The standard annexation agreement requires stormwater
facilities meet City codes and policies. Current policy is
that the stormwater system be built in the right-of-way or in
easements, and that stormwater detention areas be privately
owned and maintained.
In exchange for City approval of Westfield's engineering
plans, and the installation of storm sewer facilities outside
of the rights of way of the development, Westfield Homes has
agreed to assume the responsibility for maintenance and re-
pair of the storm sewer facilities. Additionally, Westfield
Homes has agreed to hold harmless and indemnify the City from
elk and against any damages or liability arising out of the fail-
ure of Westfield to maintain, repair or replace the storm
sewer facilities . After Westfield Homes is completed with
construction, the homeowners ' association assumes responsibil-
ity.

None.
LEGAL IMPACT
The agreement provides that Westfield Homes of Illinois, Inc .
shall maintain, repair and replace storm sewers on the sub-
ject property, and shall hold harmless and indemnify the
City.
RECOMMENDATION
It is recommended that the City Manager be authorized to
execute the attached agreement with Westfield Homes of Illi-
nois, Inc .
