Resolution No. 95-245 RESOLUTION AUTHORIZING EXECUTION OF A PROFESSIONAL SERVICES AGREEMENT WITH ATEC ASSOCIATES, INC. FAX NO. 17089315610 P. 02 RAGREE/ATEC.PSA Draft 10/19/95 PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT is made and entered into this 3,4i�day of November, 1995, by and between the City of Elgin, Illinois, a municipal corporation (hereinafter referred to as "City") , and ATEC Associates, Inc. , an Indiana corporation (hereinafter referred to as "Consultant") . Whereas, the City has determined it to be in its best interests to obtain the assistance of an expert environmental consultant concerning the environmental conditions located at 206-280 South Grove Avenue; and Whereas, Consultant is an expert in the relevant environmental sciences, and desires to render Consultant services to the City. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the receipt and sufficient of which is hereby acknowledged, the parties hereto hereby agree as follows: 1. Scope of Work Consultant shall provide and direct the necessary qualified personnel to perform the services described in the proposals for environmental consulting services associated with the operation and maintenance of the groundwater remediation system located at 206-280 South Grove Avenue, which description is attached hereto and incorporated by reference herein as Attachment IV. 2 . Term This agreement shall have a term commencing on November 8, 1995, and ending on December 31, 1995. This agreement may be terminated by City at such time as City may elect, provided that the effective date of such termination shall not be earlier than seven (7) days following the mailing of written notice of termination to consultant at the address provided herein. Upon receipt of a notice of termination, consultant shall deliver to City the work product or other results obtained by consultant up to that time. 3. Fee So long as Consultant is discharging its obligations hereunder to the reasonable satisfaction of City, Consultant shall be paid a fee for such services at the rate set forth in Table 1 which is attached hereto and incorporated by reference herein. Said fee shall be payable within 60 days of receipt by City of an itemized invoice for services rendered by Consultant. 4. Rights in Results of Services The results of Consultant's services under this agreement shall be the exclusive property of City, and all documents (including without limitation, all writings, drawings, blueprints, pictures, recordings, computer or machine-readable data, and all copies or reproductions thereof) which describe or relate to the services performed or to be performed pursuant to this agreement or the results thereof, including without limitation all notes, data, reports or other information received or generated in the performance of this agreement, shall be the exclusive property of City and shall be delivered to City upon request (except for one copy, which may be retained. by Consultant for its confidential files) . No articles, papers, treatises, or presentations related to or in any way based upon or associated with the services performed pursuant to this agreement shall be presented or submitted for publication without the prior written consent of City. 5. Other Agreements Consultant warrants that it is not a party to any other existing or previous agreement which would prevent Consultant from entering into this agreement or which would adversely affect Consultant's ability to perform services under this agreement. During the term of this agreement Consultant shall not, without the prior written consent of City, perform services for any person, firm or corporation other than City if such services could foreseeably lead to a conflict with Consultant' s obligations under this agreement. 6 . Subcontracting If Consultant intends to hire or retain any person, firm or corporation to perform services under this agreement, Consultant shall first secure the written agreement of such party that such party ( 1) shall assume and agree to be bound by the same obligations as Consultant has assumed under the provisions of this agreement, and (2) that such party shall not be or act as an agent or employee of City, nor assume or create any commitment or obligation on behalf of nor bind City in any respect whatsoever. Consultant shall provide City with a copy of each such written agreement. 7. Assignment Neither this agreement nor any of the rights or obligations hereunder may be assigned or otherwise transferred by Consultant, nor shall the benefits of this agreement inure to the benefit of any trustee in bankruptcy, receiver or -2- OCT-19 195 THU 11 :28 CITY OF ELGIN/CITY MGR. FAX NO. 17089315610 P. 04 creditor of Consultant, except as may be required by law, whether by operation of law or otherwise, without the prior written consent of City. Any attempt to assign or transfer this agreement or any rights hereunder without such consent shall be null and void and of no force or effect. 8. Independent Contractor Consultant is and shall perform its services under this agreement as an independent contractor, and shall not be deemed an agent, employee or legal representative of City. Consultant has no authority to assume or create any commitment or obligation on behalf of or to bind City in any respect whatsoever. 9 . Licenses and Permits Consultant shall obtain any and all licenses and permits required by federal, state, or local statutes, regulations or ordinances necessary for the performance of its services pursuant to this agreement. 10. Compliance with Laws Consultant shall at all times impose word orders on its employees and subcontractors which are designed to assure that they comply with all applicable federal, state and local laws and regulations (including, but not limited to, occupational safety and environmental protection statutes and regulations) in performing services hereunder, and shall comply with any directions of governmental agencies and City relating to site safety, security, traffic or other matters. 11. Indemnification of Client Consultant shall defend and indemnify City from and against any and all claims for damages, causes of action, suits or other liability arising out of the performance of this agreement for City where such liability is caused by the negligent act, error or omissions of consultant, its agents, employees or assigns, or any person or organization for whom Consultant is legally liable. 12. Consultant's Insurance Consultant shall obtain and maintain the following policies of insurance: ( 1) Worker' s compensation and occupational disease insurance in amounts required under the laws of the State of Illinois; (2) Comprehensive general liability and automobile liability insurance for bodily injury, death or -3- -OCT-19=95 THU 11 :28 CITY OF ELGIN/CITY MGR. FAX NO. 17089315610 P. 05 loss of or damage to property of third persons in the minimum amount of $1 million per occurrence which policy shall name City as additional insureds. Consultant shall furnish to City of Elgin certified Copy of such policies on or before November 6, 1995. (3) Professional liability insurance for errors and omissions in the minimum amount of $1 million per occurrence. Consultant shall furnish to the City a Certificate of Insurance as evidence of such policy on or before November 6, 1995. 13. Right of Entry City shall provide for Consultant's right to enter from time to time property owned by City or other(s) in order for Consultant to fulfill the scope of services, pursuant to the attached authorization form. 14. Severability If any portion of this agreement, or application thereof to any person or circumstance, shall to any extent be deemed to be invalid, void, or otherwise unenforceable for any reason, the remainder of this agreement, and the application of such provision to persons or circumstances other than those as to which it is held invalid, shall not be affected thereby, and each provision of this agreement shall be valid and shall remain in full force and effect. 15. Governing Taw This agreement shall be subject to and governed by the laws of the State of Illinois. 16 . Additional Provisions This agreement includes those additional provisions contained in Attachments I, II, III and IV. 17 . Entire Agreement This agreement contains the entire understanding and agreement between the parties hereto with respect to the subject matter hereof and supersedes all previous communications, negotiations and agreements, whether oral or written, between the parties hereto with respect to such subject matter, and no additions to or modifications of this agreement or waiver of any provisions of this agreement shall be binding on either party unless made in writing and executed by City. -4- OCT-19-95 THU 11 :29 CITY OF ELGIN/CITY HGR. Work Force Analysis using the enclosed bidder's employee utilization form. 2. Provide the information required by item #3 on the employee utilization form if the answer to question 2 on the form is 'yes ' . 3 . Set out the name and phone number of the bidder's Affirmative Action Officer. 2. Clearly identify the bidder's recruitment area and the percentage of minority and female in the area's population and labor force. 3. Set out what the bidder has done and has as a goal to be done to recruit minority and female employees. 4. Set out the bidder's specific goals to recruit minority and females for training programs or other similar opportunities available through the bidder's organization. 5. Indicate bidder' s consent to submit to the City upon request, statistical data concerning its employee composition and recruitment efforts anytime during the term of the contract. 6 . Show bidder' s consent to distribute copies of the written commitment to all persons who participate in recruitment, screening, referral, selection and hiring of job applicants for the bidder. 7 . Clearly show that the bidder shall require all subcontractors, if any, to submit a written commitment meeting the above requirements or their affirmative action plan to the City. 8. Helwig, City Manager SUBJECT: Operations and Maintenance Agreement with ATEC and Associates for South Grove Ground Water Remediation System PURPOSE The purpose of this memorandum is to request that the Mayor and members of the City Council authorize an agreement with ATEC and Associates for operation and maintenance service: for the South Grove Avenue Ground Water Remediation System. BACKGROUND The City was required by IEPA to install a groundwater remediation system as part of the environmental remediation process that was designed and implemented at the South Grove riverboat site. ATEC designed and installed the groundwater system. Installation of the groundwater system began in the fall of 1994 . Start up of the system occurred in March of 1995 . The first two months of operation and maintenance of the system was covered under a prior agreement with ATEC. ATEC has continued to monitor the performance of the groundwater system, undertake any necessary repairs and provide the re- . quired documentation to the IEPA. and the Fox River Water , Reclamation District. 'The proposed agreement with ATEC takes over from the previous agreement and continues their services through the end of this year. ATEC' s environmental services covered by the proposed include: 1 . Quarterly reports to IEPA 2 . Fox River Water Reclamation District Permit Requirements 3. Anticipating Operating and Maintenance Costs for the Groundwater System ATEC Agreement October 4 , 1995 Page 2 Later this year, competitive proposals for operations and maintenance services for the groundwater system will be ob- tained for all of 1996 . COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED None. FINANCIAL IMPACT The estimated contract cost is $38, 392 . 78 . Expenses related to this agreement will be charged to the South Grove Tax Increment Financing Fund, account number 260-0000-791 .45-99 , project number 179511 . These costs are eligible for reim- bursement should funds become available under the LUST Pro- gram. LEGAL IMPACT None. RECOMMENDATION Authorize City Manager to enter into an agreement with ATEC and Associates for operation and maintenance services for the South Grove Groundwater Remodiation System. (ATF.C) is pleased to submit this proposal to provide environmental consulting services regarding the reporting requirements and operation and maintenance(O&M) of the groundwater remediation system_at,the above-referenced property from May 12 through December 31, 1995. The total projected cost of this proposal is $38,392.78. This proposal addresses the following operational requirements: costs already incurred to operate the groundwater remediation system, • quarterly reporting requirements of the Corrective Action Plan (CAP) approved by the Illinois Environmental Protection Agency (1EPA), • permit requirements by the Fox River Water Reclamation District(FRWRD)to discharge groundwater to the FRWRD's sanitary sewer, and • anticipated 0&M costs as described in the Operations and Maintenance Plan of March 8, 1995. SCOPE OF WORK TASK 1 - Operations and Maintenance Costs Incurred From May 12 to October 1, 1995 ATEC has incurred $14,232.68 in costs to operate the groundwater remediation system from May 12 to October 1, 1995. Costs include the repair and replacement of the lower explosive limit (LM) modules in the extraction well vaults, quarterly reporting to the IEPA, discharge sampling, two compliance monitoring reports to the FRWRD, application for renewal of the discharge permit, and calibration of the flowmeter and the LEL meters. PW Z TASK 2 - Quarterly Reporting to IEPA required by CAP IEPA requires submittal of a quarterly report that describes the operation of the groundwater remediation system and demonstrates that the system is capturing contaminated groundwater. This demonstration is based on obtaining groundwater elevations from each monitoring well and extraction well and the Foot River. Special safety precautions must be employed due to the potential for explosive vapors in the extraction vaults. Two more quarterly reports are required in 1995. TASK 3 - FRWRD Permit Requirements The principal requirements of FRWRD's permit are the following: • Sample the groundwater discharged to FRWRD for parameters defined in the permit in November or December, 1995; • Submit compliance monitoring report by January 20, 1996; and • Calibrate the discharge flowmeters prior to submittal of the compliance monitoring report. TASK 4 - Anticipated Operations and Maintenance Costs O&M visits should occur twice monthly to verify that the groundwater remediation system is operating properly. At those times, O&M logs will be filled out and rainwater accumulating in the vaults will be pumped out. In accordance with the CAP, each extraction well vault and the discharge manhole have been equipped with LEL sensors, which require monthly calibration. Special safety precautions must be employed during calibration due to the potential for explosive and toxic vapors in the discharge manhole. A contingency cost has boon built into this proposal to cover costs for equipment repairs and replacement. ATEC anticipates costs to replace a cracked elbow in the EW-3 extraction vault, installation of a new monitoring well to replace MW-12 (destroyed during trenching of the extension of the bike path), installation of two staff gauges in accordance with the Groundwater Cornectfve Action Update Report Number 2, and surveying of the monitoring well and staff gauges. ATEC has tested the use of a rain shield on the LEL sensor in the discharge manhole with good results and recommends,the purchase of rain shields to prevent condensation and damage to the LEL sensors. ATEC also recommends the purchase of spare parts, including two LEL modules and two tanks of calibration gas, to ensure the smooth functioning of the groundwater remediation system. OCT-03-95 TUE 13;48 P. 04 October 8, 1995. PW 8 Rust appears to be fouling the groundwater remediation system pipes. Eventually, it will become necessary to use a sewer contractor to clean out the pipes. 'Since it has not been determined when the cleaning would become necessary, it has been assumed that cleaning will not be.required in 1993. ATEC proposes to perform the scope of work on a time and materials basis. The attached table provides an opinion of probable cost for the project. Thank you for considering ATEC for this project.
