ILLINOIS, that Kevin Kelly, Mayor, and Dolonna Mecum, City
Clerk, be and are hereby authorized and directed to execute
Addendum #1 to an agreement on behalf of the City of Elgin
with the Illinois Department of Transportation for the
construction and maintenance of traffic signals on Randall
Road at Alft Lane and Fox Lane, a copy of which is attached

Agreement Provisions
• THE LOCAL AGENCY AGREES:
;1) To acquire in es name,or in the name of the state if on the state highway system. all right-of-way fleet/Mtn/for this project in
'accordance with the requirements of Titles It and til of the Uniform Relocation Assistance.and Real Property Acquisition Policies
Act of 1970,and established State policies and procedures. Prior to advertising for bids.the LA shalt certify to the STATE that
all requirements of Titles II and Ut of said Uniform ACt have been satisfied and the disposition of encroachments,if any,will be
cooperatively determined by representatives of the LA,the STATE and the FHWA.
(2) To provide for all utility adjustment&and to regulate the use of the rightvf-way of this improvement by utilities,public and private.in
accordance with the Current Utility Accommodation Policy For Local Agency Highway and Street Systems.
(3) To provide for surveys and the preparation of plans for the proposed improvement and engineering Supervision during construction
of the proposed improvement.
(4) To retain jurisididtton of the completed improvement unless specified otherwise by addendum(addendum should be accompanied
by a location map).
(5) To maintain or cause to be maintained.to a manner satisfactory to the STATE and FHWA,the completed improvement,or that
portion of the completed improvement within their respective junscliction as established by addendum referred to in item 4 above.
(6) To comply with an applirabie Executive Oders and Federal Highway Acts pursuant to the Equal Employement Opportunity and
Nondiscrimination Regulations required by the U.S. Department of Transportation.
(7) To maintain,for a minimum of 5 years after the completion of the Contract.adequate books.records and supporting documents to
verify the amounts,recipients and uses of all disbursements of funds passing in conjunction with the contract the contract and all
books,records and supporting documents related to the contract shall be available for review and audit by the Auditor General and
the department and the LOCAL AGENCY agrees to cooperate fully with any audit conducted by the Auditor General and the
department and to provide full access to all relevant materials. Failure to maintain the books.records and supporting documents
required by this section shall establish a presumption in favor of the STATE for the recovery of any funds paid by the STATE under
the contract for which adequate books.records and supporting documentation are not available to support their purported disburse
mens.
(8) To provide it required.for the improvement of any railroad-highway grade crossing and rail crossing Protection within the limits of the
proposed improvement:
(9) To comply with Federal requirements or possibly lose(partial or total)Federal participation as determined by the FHWA;
(10) (STATE Contracts Only) That the method of payment designated on page one will be as tofIowet
Method A- Lump Sum Payment. Upon award of the contract for this improvement.the LA will pay to trip STATE,in a lump Sum.
an amount equal to 95%of the LA's estimated obligation incurred under this Agreement and will pay to the STATE the
remainder of the s obligation(including any nonparticipating costs)in a lump sum upon completion of the project
based upon final costs.
Method B- Monthly Payments. Upon award of the contract for this improvement the LA will pay to the STATE,a specified
amount each month for an estimated period of montfts,or until 95%of the LA's estimated obligation under the provi-
sions of the Agreement has been paid,and will pay to the STATE the rernarnderof the LA's obttgatlon(inducing any
nonparticipating )in a Lump sum,upon completion of the project based upon final costs.
Method C- Progress Payments. Upon receipt of the contractor's first and subsequent progressive bills for this improvement,the
LA will pay to the STATE,an amount equal to the LA's share of the constriction cost divided by the estimated total
cost,multiplied try the actual progress payment(appropriately adjusted for nonparticipating costs)made to the
contractor until the entire obligation incurred under this Agreement has been paid.
(1 1) (Day Labor or Local Contracts Only) To provide or cause to be provided all of the initial funding,equipment,labor,material and
services necessary to construct the complete project.
(12) (Preliminary Engineering Only) In the event that right-of-way acquisition for.or actual construction of the project for which this
preliminary engineering is undertaken with Federal participation is not started by the close of the fifth fiscal year following the fiscal
year in which this agreement is executed.the LA will repay the STATE any Federal funds received under the terms of this Agree-
ment.
(13) (Right-of-Way Acquisition Only) That in the event that the actual construction of the project on this right-of-way is not undertaken by
the close of the tenth fiscal year following the fiscal year in which this Agreement is execute*the LA will repay the State any Federal
Funds received under the terms of this Agreement.

tion that
(a) No Federal appropriated funds have been paid or will be paid.by or on behalf of the undersigned,to any person for influencing
or attempting to influence an officer or employee of any agency,a Member of Congress,an officer or employee of Congress or
any employee of a Member of Congress in connection with the awertting of any Federal Contract,time making of any cooperative
agreement.and the extension,continuation,renewal,amendment or modification of any Federal contract,grant loan or
cooperative agreement.
(b) If any funds other than Federal appropriated funds have been paid or will be Paid to any person for influencing or attempting to
influence an officer or employee of any agency,a Member of Congress,an officer or employee of Congress or an employee of
a Member of Congress,in connection with this Federal contract.grant,loan Or cooperative agreement the undersgned shalt
complete and submit Standard Form-LLL"Disclosure Form to Report Lobbying',in accordance with its instructions.
(c) The LOCAL AGENCY shaft require that the language of this certification be inducted in the award documents for ail subawarda

(18) To regulate panting and traffic in accordance with the approved project report.
THE STATE AGREES:
(1) To provide such guidance.assistance and supervision and to monitor and perform audits to the extent necessary to=sure validity
of the LA'S certification of compliance with Tides II and ill requirement&
(2) (STATE Contracts Only)To receive bids for the construction of the proposed improvement when the plans have been approved by
The STATE(and FHWA,if required)and to award a contract for construction of the proposed improvement after receipt of a
satisfactory bid.
(3) (Day Labor Only)To authorize the LA to proceed with the construction of the improvement when Agreed-Unit Prices are approved
and to reimburse the LA for that portion of the cost payable from Federal and/or State funds based on the Agreed Unit Prices and
Engineer's Payment Estimates in accordance with the Division of Cost on page one.
(4) (Local Contracts)That for agreements with Federal and/or Std funds in engineering,tight-of-way and/or utility wore:
(a) To reimburse the LOCAL AGENCY for the Federal and/or State share of engineering.right-of-way and/or utility work on the
basis of periodic billings,provided said billings contain sufficient cost information and.it Said services are performed by a
consultant,and snow evidence of payment by the LOCAL AGENCY.
(b) To provide independent assurance sampling,to furnish off-site rrtatenal inspection and tasting at sources normally visited by
STATE inspectors of steel,cement,aggregates,stn ictural steel and other materials customsnly tested by tete STATE.

1T.IS MU.TUALLY AGREED:
(1) That this agreement shall be null and void in the event that the FHWA does not approve the proposed improvement for Federal-aid
participation and in the event the contract covering the construction work contemplated herein is not awarded within three years of "
the date of execution of this Agreement.
(2) This Agreement shall be binding upon the parties,their successors and assigns.
(3) It is the policy of the U.S.Department of Transportation that Minority Business Enterprises,as defined in 49 CFR Part 23,shall
have the maximum opportunity to participate in the performance of contracts financed in whole or in part with Federal funds under
this Agreement. Consequently the MBE requirements of 49 CFR Par 23 apply to this agreement.
The STATE/LA agrees to ensure that minority business enterprises,as defined in 49 CFR Part 23.have the maximum opportunity
to participate in the performance of this Agreement In this regard the STATE/LA shall take all neoessary and reasonable steps, in
accordance with 49 CFR Part 23,to ensure that minority business enterprises have the maximum opportunity to compete for and
perform portions of contracts and subcontracts financed in part with Federal funds provided under this Agreement The STATE/LA
shall not discriminate on the basis of race,color,national origin or sex in the selection and retention of contractor or subcontractors
including procurement of materials and leases of equipment.
The LA Shall include the provisions of this"Policy"in every contract,including procurement of materials and leases of equipment.
Failure to carry out the requirements set forth above shall constitute a breach of this Agreement and may result in termination of the
Agreement or such remedy as deemed appropriate.
(4) This Agreement shall be administered under the provisions of the STATES federally approved Disadvantaged Business Enterprise
Program.

RESOLUTION NO 95 - 177
INTERGOVERNMENTAL AGREEmEN% BETWEZN TEE COUNTY OF KANE, THE =TY OP
ELGIN,AND TIE STATE OF ILLINOIS FOR THE IMPROVEMENT
OF RANDALL ROAD
WHEREAS, the Illinois Constitution of 1970, Article VII, Section 10
and 5 ILCS 220/1 et seg. authorizes the County of Kane (hereinafter
"county") and the State of Illinois (hereinafter "State") , and the City
of Elgin (hereinafter "City") to cooperate in the performance of their
respective duties and responsibilities by contract and other agreements;
and,
wHEREAS, the County, the City and the state desire to undertake a
project to upgrade of Kane County Highway No. 34 also known at Randall
Road (hereinafter "Randall") from its intersection with 1-90 to Big
Timber Road. Said upgrade shall consist of, among other things, roadway
construction, Widening, resurfacing, curb and gutter, storm sewers,
traffic signals, pavement markings and other associated work; and,
WHEREAS, the County, the City and the State wish to cooperate among
themselves to accomplish the improvement to Randall. The improvement is
deemed by the County, the City and the State to be of immediate benefit
to the residents of the County of Kane in that it shall facilitate the
efficient movement of traffic and shall provide for the safety of the
motoring public; and,
WHEREAS, the County and the State have determined a Mutually
satisfactory distribution of all costs for said improvement to Randall
as set fort.h, in the attached Local Agency Agreement For Federal
Participation. The total cost of the project is estimated to be two
million two hundred and fifty thousand dollars ($2,250,000.00) . The
County's share of the project is estimated to be four hundred fifty
thousand dollars ($450,000. 00) , the Federal share as administered by the
state is estimated to be one million eight hundred thousand dollars
($1,000, 000 . 00) . Further, the County and the City mutually agree to a
distribution of the maintenance and energy costs of the new traffic
signals to be installed at Randall Road and Fox Lane and Randall Road
and'AIft Lane in the percentages as set forth in the attached agreement.
NOW, THEREFORE BE IT RESOLVED, by the County Board of Kane County
that the Chairman thereof is hereby authorized to execute the attached
intergovernmental agreement (a copy of which is on file with the County
Clerk's Office) and that the County's share of the improvement as
indicated herein shall be paid from the Local Option Motor Fuel TaX
Fund, Fund No. 035, Line Item 560.

SUBJECT: Randall Road Traffic Signals
at Alft Lane and Fox Lane
PURPOSE
The purpose of this memorandum is to provide the Mayor and
the members of the City Council with information to consider
entering into an Agreement with the Illinois Department of
Transportation ( IDOT) for the construction and maintenance of
traffic signals on Randall Road at Alft Lane and at Fox Lane.
BACKGROUND
Kane County, through IDOT, has scheduled the bidding for the
reconstruction of Randall Road from Big Timber Road to the
I-90 Tollway. A component of this project will be the
reconstruction, with new traffic signals, of the
intersections of Randall Road at Alft Lane and at Fox Lane.
It has been the practice of the City to accept ownership of
the permanent traffic signal installations on Randall Road
subject to the following conditions :
1 . All construction and installation costs are borne by Kane
County.
2 . The City will pay 100 percent of the electrical charges
for the signals ' operations.
3. The maintenance costs of the signals will be shared
equally between Kane County and the City. The maintenance
and repairs to the signals will be accomplished by Kane
County with the City invoiced on a periodic basis .
In order to comply with federal and IDOT requirements, the
City is required to execute the attached agreement.

FINANCIAL IMPACT
The City will not be subjected to any immediate cost. Upon
completion and acceptance of the two traffic signal
installations, which will likely be in 1997 , the City will be
subject to the following costs .
1 . Electrical: Under the current Franchise Agreement with
Commonwealth Edison, the City receives power to traffic
signals at no charge. The Franchise Agreement expires in
the year 2016 .
2 . Maintenance: It is anticipated that the annual
maintenance cost share for the City will be approximately
$1, 200 and will need to be added to the 1997 budget.
LEGAL IMPACT
None.
rRECOMMENDATION
It is recommended that City Council authorize the execution
of an Agreement with IDOT for the installation of the traffic
signals on Randall Road at Alft Lane and at Fox Lane.

Re: Randall Road - Big Timber to I-90
Dear Mr. Helwig:
The scheduled bid date for the above referenced section is July 7,
1995 in Springfield. Since this project has federal funding, the
letting is held by IDOT on their scheduled bid dates. Prior to the
project being approved for the letting, all right-of-way must be
acquired and intergovernmental agreements must be completed and
approved by IDOT. These items must be signed off by the IDOT -
Schaumburg office by no later than May 31, 1995.
We are in the process of finalizing the right-of-way acquisition
and intend to forward certification to IDOT in mid-May. An
intergovernmental agreement must be completed regarding the energy
and maintenance of the signals.
There are two traffic signals to be installed as part of the
Randall Road improvement. Both are at Elgin maintained side roads.
One is at Alft Lane and the other is at Fox Lane. Since the City
receives free energy as a part of their franchise agreement with
Commonwealth Edison, we anticipate that the City would accept this
responsibility. The cost of the maintenance of the signals is
proposed to be 50% County and 50% City. The County will assume the
responsibility for the maintenance of the signals.
Attached is a copy of a letter forwarded to the City regarding Alft
Lane west of Randall Road. Prior to us completing the right-of-way
acquisition on Alft Lane, we must have a response regarding the
correspondence.

the proposed bid date of July 7 is not jeopardized. Please give us
