RESOLUTION
AUTHORIZING EXECUTION OF A LETTER OF UNDERSTANDING
WITH SHERMAN HOSPITAL FOR THE SLADE AVENUE IMPROVEMENTS
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Richard B. Helwig, City Manager, be and is
hereby authorized and directed to execute a Letter of
Understanding on behalf of the City of Elgin with Sherman
Hospital for the Slade Avenue improvements, a copy of which is
attached hereto and made a part hereof by reference.

LETTER OF UNDERSTANDING

Dear Mr. Meister:
This letter will serve to confirm the mutual understanding
between the City of Elgin and Sherman Hospital regarding the
improvements to Slade Avenue.
The improvements will generally conform with the schematic
design as prepared for Sherman Hospital by Thompson Dyke and
Assoc. Ltd. , a copy of which is attached to this letter.
The City of Elgin will assemble, issue, bid and award the
construction of the improvements . Sherman Hospital will
provide to the City, plans, detailed specifications and cost
estimates for the following improvement components :
1 . Special intersections .
2 . Pedestrian "acorn" styled street lights and related
improvements .
3 . Landscaping.
4 . Entrance monument.
5 . Hill Avenue cul-de-sac and related improvements .
The City of Elgin will engineer, or cause to have engineered:
1 . Street improvements other than at intersections .
2 . Storm and sanitary sewer repairs, as needed.
3 . Traffic signals at the Dundee Avenue and Slade Avenue
intersection. The City will attempt to obtain a right
turn bay from Dundee Avenue onto Slade Avenue.

The project costs will be shared between the City and Sherman
Hospital generally as identified in James L. Kristiansen' s
letter dated June 9, 1994 to John K. Meister, and John K.
Meister' s letter dated August 2, 1994, concurring in the cost
sharing arrangement, copies of which are attached to this
letter. The project manual will be developed such that con-
struction costs will be clearly identified as to City or
Sherman Hospital responsibility. Prior to bidding, Sherman
Hospital will review and approve the project manual, as appro-
priate.
After bids are received by the City, the City and Sherman
Hospital will jointly review the bids and jointly concur in
the recommendation of award to the City Council . Prior to
the award by City Council, Sherman Hospital will deposit with
the City an amount of money corresponding to the bid value of
those portions of the project cost for which Sherman Hospital
is responsible.
The City of Elgin will provide full time construction inspec-
tion during the duration of the construction, as required.
Sherman Hospital will provide any technical assistance and
inspections, as required, for those portions of the project
for which Sherman Hospital provided plans and detailed speci-
fications .
Sherman Hospital may review and comment on periodic progress
payments to the contractor, if desired. Any disagreement on
any payment to the contractor shall be made in writing to the
Director of Public Works, whose decision will be final .
Upon substantial completion of the construction, the City of
Elgin and Sherman Hospital will mutually inspect the work and
prepare a "punch list" of outstanding work yet to be complet-
ed and substandard work to be repaired or replaced. Upon
certification by the contractor that all work has been com-
pleted, the City of Elgin and Sherman Hospital will perform a
final inspection of the work.
The City of Elgin and Sherman Hospital will jointly concur in
the satisfactory completion of the work, and will jointly
recommend to City Council the acceptance, by the City, of the
completed improvements .
Prior to the making of final payment to the contractor, Sher-
man Hospital will deposit with the City any additional costs
incurred corresponding to those portions of the project for
which Sherman Hospital is responsible. After making final
payment to the contractor, the City of Elgin will rebate to
Sherman Hospital any surplus moneys corresponding to those
portions of the project for which Sherman Hospital is respon-
sible.

If you concur in this understanding, please so indicate by
signing all three copies of this Letter of Understanding, and
return two original copies to my office to the attention of
James L. Kristiansen.
The City Council of the City of Elgin has authorized this
Letter of Understanding by Resolution dated December 7, 1994,
a copy of which is attached to this letter.

SUBJECT: Authorization of a Letter of Understanding with
Sherman Hospital on Slade Ave. Improvements
PURPOSE
This memorandum will provide the Mayor and members of the City
Council with information to consider authorizing a Letter of
Understanding with Sherman Hospital concerning certain
improvements to Slade Ave.
BACKGROUND
On June 8, 1994, City Council discussed both the scope of the
Slade Ave. improvements as well as the division of the
engineering and improvement costs between the City and Sherman
Hospital. The responsibilities of both parties have been
formalized in the attached letter of understanding.
In summary, the City of Elgin will pay for all improvements
related to normal street improvements, while Sherman Hospital
will bear all costs related to special construction and
special lighting.
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
A neighborhood meeting of residents of Hill Street was
conducted on October 26, 1994 . See attached letter of
invitation. Three residents appeared at the meeting and did
not oppose the cul-de-sac.
FINANCIAL IMPACT
Funds have been requested for inclusion in the 1995 CIP budget
in the amount of $635,000.

Dear Mr. Meister:
Please reference the City Council Committee-of-the Whole meeting
on June 8, 1994, and the discussion concerning the subject
project.
City Council concurred in the development of plans and
specifications in conformity with the schematic design prepared
by Thompson Dyke and Associate. The closing of Hill Ave. at
Slade Ave. was conditioned upon obtaining an adequate cul-de-sac
on Hill Ave. and the concurrence of the abutting property owners.
Concerning the sharing of project costs between the City and
Sherman Hospital, the consensus of the City Council was as
follows:
1. The City would incur allcosts; engineering, construction,
inspection, testing, etc. , for street reconstruction, curb
and gutter replacements, parkway sod restoration, normal
parkway tree infill planting, sidewalk repairs, new street
signage, storm sewer repairs and new traffic signals.
The sole exception to the above street work would be the
engineering and construction cost related to the poured
integrally colored and patterned concrete pavement at
selected intersections.
2 . Sherman Hospital would be responsible for all costs;
engineering, construction, inspection etc. for ornamental
street lighting, banners, special colored and patterned
concrete intersections, landscaping beyond normal infill
parkway tree planting, property acquisition and entrance
features at the Slade-Dundee intersection.

Dear Mr. Kristiansen:
Thank you for your letter of July 12, 1994 concerning Slade Avenue
improvements. We have reviewed your previous correspondence re.
cost sharing between the City of Elgin and the hospital for this
project, and we are in agreement with your proposal.
We are tryingto arrange a meeting with representatives from Katy
rIndustry regarding the acquisition of frontage at the intersection
of Dundee and Slade avenues. We plan to keep you apprised of our
progress on that matter.
Also, we anticipate meeting with neighbors along Hill Avenue within
the next several weeks, and will contact your office to invite your
participation in these meetings.
Thank you, again, for your interest and persistence in this
important matter. We look forward to working with you on this
exciting project in the next few months to come.

After we reach mutual agreement on the Letter of Understanding,
I will submit the Letter to City Council for their concurrence
and adoption of a Resolution.
I have requested that $635,000 be appropriate in 1995 for the
City's share of the project costs. I remain confident that this
request will be approved and that this project will be
accomplished next year.

between Slade Avenue and Cooper Street on Wednesday, October 26
at 7:00 p.m. here at Sherman. A copy of the letter we sent to them is
enclosed for your information. I understand from your secretary that
you will be attending the City Council meeting that evening and will be
unable to attend. I will let you know how the meeting turned out.
