RESOLUTION
ACCEPTING THE PROPOSAL OF ATEC ASSOCIATES, INC. FOR
AN ENVIRONMENTAL ASSESSMENT OF 573 NORTH CRYSTAL
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Larry L. Rice, City Manager, be and is hereby
authorized and directed to accept the proposal on behalf of
the City of Elgin of ATEC Associates, Inc. for an
environmental assessment of 573 North Crystal, a copy of which
is attached hereto and made a part hereof by reference.

PROFESSIONAL SERVICES AGREEMENT

"This agreement is entered into this day of
17e 61-urk rX , 1993, between the City of Elgin, Illinois, a
municipal corporation (hereinafter referred to as "City" ) ,
and ATEC Associates, Inc. , an Indiana corporation (hereinaf-
ter referred to as "Consultant".) .
WHEREAS, the City has determined it to be in its best
interests to obtain the assistance of an expert environmental
consultant concerning environmental conditions located at 573
North Crystal Street, Elgin, Illinois; and
WHEREAS, Consultant is expert in the relevant environmen-
tal sciences, and desires to enter into an agreement to ren-
der Consultant services to the City;
NOW, THEREFORE, in consideration of the mutual promises
and covenants contained herein, the receipt and sufficiency
of which is hereby acknowledged, the parties hereto agree as
follows:
1. Scope of Work
Consultant shall provide and direct the necessary quali-
fied personnel to perform the services described in the pro-
posal for soil and ground water sampling and report prepara-
tion, which is attached hereto and incorporated by reference
herein as Attachment III .
2 . Term
This agreement shall have a term of twelve ( 12) weeks
commencing on February 25, 1993 through May 20, 1993. This
agreement may be terminated by the City of Elgin at such time
as the City of Elgin may elect, provided that the effective
date of such termination will not be earlier than seven days
following the mailing of written notice of termination to
Consultant at the address provided herein. Upon receipt of a
notice of termination, Consultant shall deliver to the City
of Elgin the work product or other results obtained by Consul-
tant up to that time.
3. Fee
So long as Consultant is discharging its obligations
hereunder to the reasonable satisfaction of the City of
Elgin, Consultant shall be paid a fee for such services at
the rate set forth in Table 1 which is appended hereto and
incorporated by reference herein. Said fee shall not exceed
$25,284 .78. Said fee shall be payable within 60 days of
receipt by the City of an itemized invoice for services ren-
dered by the Consultant.
4 . Rights in Results of Services
The results of Consultant's services under this agree-
ment shall be the exclusive property of City of Elgin, and
all documents (including without limitation, all writings,
drawings, blueprints, pictures, recordings, computer or ma-
chine-readable data, and all copies or reproductions thereof)
which describe or relate to the services performed or to be
performed pursuant to this agreement or the results thereof,
including without limitation all notes, data, reports or
other information received or generated in the performance of
this agreement, shall be the exclusive property of City of
Elgin and shall be delivered to City of Elgin upon request
(except for one copy, which may be retained by Consultant for
its confidential files) . No articles, papers, treatises, or
presentations related to or in any way based upon or associat-
ed with the services performed pursuant to this agreement
shall be presented or submitted for publication without the
prior written consent of City of Elgin.
5. Other Agreements
Consultant warrants that it is not a party to any other
existing or previous agreement which would prevent Consultant
from entering into this agreement or which would adversely
affect Consultant's ability to perform the services under
this agreement. During the term of this agreement Consultant
will not, without the prior written consent of City of
Elgin, perform services for any person, firm or corporation
other than City of Elgin if such services could lead to a
conflict with Consultant's obligations under this agreement.
6 . Subcontracting
If Consultant intends to hire or retain any person, firm
or corporation to perform services under this agreement,
Consultant shall first secure the written agreement of such
party that such party ( 1) shall assume and agree to be bound
by the same obligations as Consultant has assumed under the
provisions of this agreement, and (2) that such party shall
not be or act as an agent or employee of City of Elgin, nor
assume or create any commitment or obligation on behalf of
nor bind City of Elgin in any respect whatsoever. Consultant
shall provide the City of Elgin with a copy of each such
written agreement.
7. Assignment
Neither this agreement nor any of the rights or obliga-
tions hereunder may be assigned or otherwise transferred by
Consultant, nor shall the benefits of this agreement inure to
the benefit of any trustee in bankruptcy, receiver or credi-
tor of Consultant, whether by operation of law or otherwise,
without the prior written consent of City of Elgin. Any
attempt to assign or transfer this agreement or any rights
hereunder without such consent shall be null and void and of
no force or effect.
8 . Independent Contractor
Consultant is and shall perform its services under this
agreement as an independent contractor, and shall not be
deemed an agent, employee or legal representative of City of
Elgin. Consultant has no authority to assume or create any
commitment or obligation on behalf of or to bind City of
Elgin in any respect whatsoever.
9 . Licenses and Permits
Consultant shall obtain any and all licenses and permits
required by federal, state, or local statutes, regulations or
ordinances necessary for the performance of its services
pursuant to this agreement.
10 . Compliance with Laws
Consultant shall at all times impose work orders on its-
employees and subcontractors which are designed to assure
that they comply with all applicable federal, state and local
laws and regulations, including occupational safety and envi-
ronmental protection statutes and regulations, in performing
the services hereunder, and shall comply with any directions
of governmental agencies and City of Elgin relating to site
safety, security, traffic or other like matters .
11 . Indemnification of Client
Consultant shall defend and indemnify the City of Elgin
from and against legal liability from damages arising out of
the performance of the service for the City of Elgin where
such liability is caused by the negligent act, error or omis-
sion of Consultant, its agents, employees or assigns, or any
person or organization for whom Consultant is legally liable.
12 . Consultant ' s Insurance
Consultant shall obtain and maintain the following poli-
cies of insurance:
( 1) Worker ' s compensation and occupational disease
insurance in amounts required under the laws
of the State of Illinois;
(2) Comprehensive general liability and automobile
liability insurance for bodily injury, death
or loss of or damage to property of third
Persons in the minimum amount of $1 million
Per occurrence which policy shall name City of
Elgin and owner of property, if other than the
City, upon which Consultants services are
Performed as additional insured. Consultant
shall furnish to City of Elgin a certified
copy of such policies on or before February
25, 1993.
( 3) Professional liability insurance for errors
and omissions in the minimum ariiount of $i
million per occurrence. Consultant shall
furnish to the City a certified copy of such
Policy on or before February 25, 1993 .
13 . Right of Entry
City shall provide for Consultant' s right to enter from
time to time property owned by City or othe-rts) in cider for
Consultant to fulfill the scope of services, pursuant to the
attached authorization form.
14 . Severability
If any portion of this agreement, or application thereof
to any person or circumstance, shall to any extent be in-
valid, the remainder of this agreement, and the application
Of such provision to persons cr circumstances other than
those as to which it is held invalid, shall not be affected
thereby, and each provision of this agreement shall be valid
and enforced to the fullest extent permitted by law.
15 . Governing Law
The validity, performance and construction of h 2 agree-
ment shall be governed and interpreted in accordance with the
laws of the State of Illinois applicable to contracts trade
and to be performed therein.
15 . Additional Provisions
This agreement includes those additional provisions
contained in Attachments I, II, and III .
17 . Entire Agreement
This agreement contains the entire understanding and
agreement between the parties hereto with respect to the
subject matter hereof and supersedes all previous co=tunica-
tions, negotiations and agreements, whether oral or written,
between the parties with respect to such subject matter, and
no addition to or modifications of this agreement or waiver
of any provisions of this agreement shall be binding on ei-

The written commitment required in item #4 of the "Bidder's

3. Set out what the bidder has done and has set as goal to

BACKGROUM
The subject property houses the City of Elgin"s municipal garage.
Previous investigations at the site have detected contamination in
the soils. The contamination is believed to be associated with two
currently unused underground storage tanks located on the eastern
property line. An incident report has been filed for the two
registered tanks. A 20-day report and a limited 45-day report have
has been filed. IEPA has requested a soil remediation plan and, if
applicable, a groundwater remediation plan. These plans are due to
IEPA on Narch 5, 1993. The City has indicated that it will seek an
extension to this deadline. It has been ATEC's experience that IEPA
generally grants extensions when genuine effort and intent has been
demonstrated.
YTATEKZNT OF WORE AND PRODUCT
The purpose of this investigation is to further- define the
horizontal and vertical limits of soil contamination at the
referenced site. In addition, the investigation will evaluate
groundwater in the area to determine if groundwater has been
impacted.
The results of the investigation will be submitted to the City in
a written report. The report will also be presented in person to
the City staff and the Council to allow for questions.
Finally, a report will be prepared for submittal to IEPA addressing
the requirements in IEPAts December 17, 1992 letter. Depending upon
the results of the investigation, additional . studies may be
proposed in the remediation plan to IEPA.
Tusk 1 - Soil Sampling/Monitoring Well DevelQM*nt
BORINGS
ATEC cost proposal is based on six 30-foot borings with field
screening as specified in the RFP. The specified program requires
that one sample be obtained at 2.5-foot intervals for the first ten
feet and at 5-foot intervals for the remaining twenty feet.
Although this is traditional soil sampling protocol and acceptable
for underground tank investigation, it does not provide adequate
Information to focus on the smallest area to be remediated. For
example, if the soil interval at 10-feet is contaminated and next
tested interval (at 15-feet) is clean, the entire five foot section
between the two test location will be considered contaminated.
7o minimize the volume of soil included in a remediation plan, ATEC
suggests an alternative field screening mechanism. ATEC proposes
continuous split spoon sampling. A soil sample from each 2-foot

split spoon will be placed in a clean jar, covered with foil and
allowed to equalize for about 15-minutes. The foil will then be
punctured and the head space will be monitored with a organic vapor
monitor (OVM) . The readings will be recorded on the field notes.
ATECfs cost proposal includes an optional cost for continuous split
spoon sampling. As can be seen, there is, minimal cost for this
substantial additional information.
Select soil samples will be obtained from the borings. In general,
samples exhibiting the highest and lowest OVM readings from a
boring will be submitted to the laboratory for analysis. Field
decisions will dictate the ultimate selection of samples.
Soil samples will be submitted to ATEC's laboratory in Highland,
Indiana. The samples will be analyzed for BETX and PNAs utilizing
SW-846 methods. Normal turn-around time from the laboratory is
three weeks from receipt of the sample.
Drill cuttings will be collected in drums and left on-site for
future management. ATEC generally collects the cuttings from a
single borehole in one drum rather than combining cuttings from
multiple boreholes. By segregating cuttings, there is better
control for determining which materials require on-site disposal.
Boreholes will be grouted to the surface with a bentonite, cement,
and/or volclay grout.
b W 40A� STEC understands that some borings and/or wells may need to be
�? Installed on-site. Every effort will be made to locate these
borings and wells in the public right-of-way. The City of Elgin
D will be responsible for obtaining permission to drill and install
wells off-sits.
MONITORING WELLS
Based on the results of the soil analyses, ATEC will determine the
appropriate placement for four groundwater monitoring wells. To
avoid cross-contamination of an aquifer, the wells will be placed
in locations where soils are not contaminated. The monitoring wells
will be constructed of 2-inch internal diameter 304 stainless steel
flushjoint riser above an 0.010-inch slot flushjoint stainless
steel screen. A 10-foot screen is anticipated, however, the screen
length may be shortened depending upon field observations. Based on
the information contained in the October 1992 Warzyn report, ATEC
has assumed the depth of the wells will be 30-feet. However, the
physical setting at the garage indicates that deeper wells may be
necessary, especially if the wells are installed on the City"s
property. The property within the retaining wall has obviously been
filled in creating a artificial topography.

The annular space surrounding the screen section will be packed
with silica sand. The sand pack will extend 2-feet above the well
screen. To prevent the migration of fluids from the surface and
between subsurface sediments, a bentonite seal will be installed
above the filter pack. The bentonite seal will .extend a least 2-
feet above the filter pack. The bentonite will be hydrated and
tremied in place. A concrete-bentonite grout will be installed
above the bentonite seal and will extend to the surface. A
protective casing will be installed at the surface. If possible,
the well and protective casing will extend (stick-up) approximately
2-feet above the ground surface. If traffic or other activities
prohibit a stick-up, a flushmounted protective casing will be
installed.
Task 2 - Well Development and SaaRl__inc
In accordance with IEPA guidance, the newly installed wells will be
allowed to sit for at least 24-hours before developing. At least 10
volumes of water will be removed from each well using a
decontaminated stainless steel bailer. The time required to purge
the well of 10 volumes of water is contingent upon natural recharge
time. ATEC has assumed four hours per well for development.
After development the well will be allowed to equalize for at least
48-hours prior to sampling. Groundwater elevations will be obtained
at each well prior to sampling. These measurements will be used to
create a groundwater table map. A minimum of 3 well volumes will be
purged from the well prior to sampling. Decontaminated stainless
steel bailers will be used to purge the wells and to obtain
samples. The samples will be placed in laboratory cleaned sample
containers, labeled, and packed in an iced cooler. A field blank
will be prepared by pouring clean, distilled water over a clean
sampling tool. The water is collected in a laboratory cleaned
sample container, labeled, and packed in the cooler. The cooler
will be delivered or shipped to ATEC's laboratory in Highland,
Indiana within 24-hours of sampling. The samples will be analyzed
for BETX and PNAs utilizing SW-846 methods. Normal turn-around time
for the laboratory is three week from the date of sample receipt.
Task 3 - Report (Written 6 Verbal) to City of Elgin
Following the field investigation and receipt of the analytical
data, ATEC will prepare a report presenting and summarizing the
tiAdings. The report will include ATEC's recommendations and will
19present remedial alternatives. Four copies of the final report will
- provided.
ATEC has budgeted time for two meetings with the City. One meeting
In anticipated to discuss the report with the City staff. Time for
a second meeting is budgeted to present the report to the City
Council.

SPA has requested a soil remediation plan and, if applicable, a
groundwater remediation plan. After discussing the remedial options
with the City, ATEC will prepare a Cesponse to the IEPA request. If
groundwater has been impacted, ATEC will include available
hydrogeologic information in the response. A groundwater table map
showing groundwater flow direction will be prepared and geologic
cross-sections depicting the geology will be included.
It should be noted that if there is significant groundwater
contamination, additional wells may need to be installed to
determine the extent of contamination. Other tests may be required
to obtain adequate technical information to design a groundwater
treatment system. If additional activities are necessary, they will
be proposed as a component of the remediation plan submitted to
IEPA.
Schedule '
ATEC is prepared to commence work on this project within five
working days of written notice to proceed, weather permitting.
Figure 1 shows the anticipated schedule.

The cost estimate for the scope of work described above is
presented in Table 1. Unit rates are shown on Table 1 should the
City request additional work outside the scope. The optional cost
for continuous split spoon sampling is also provided.
The cost estimate includes time to prepare a site-specific health
and safety plan.
