Rice, City Manager, and Dolonna Mecum, City Clerk, be and are hereby authorized and directed to execute a Real Estate Sales Contract on behalf of the City of Elgin with Leo Leichter, for the property located at Shales Parkway, a copy of which is attached hereto and made a part hereof by reference. sl George VanDeVoorde George VanDeVoorde, Mayor Presented: October 23, 1991 Adopted: October 23, 1991 Vote: Yeas 7 Nays 0 Recorded: Attest: sl Dolonna Mecum Dolonna Mecum, City Clerk W lam October 17, 1991 MEMORANDUM TO: Mayor and Members of City Council FROM: Larry Rice, City Manager SUBJECT: Shales Parkway Acquisition PURPOSE: The purpose of this memorandum is to describe the transactions concerning the acquisition of the Shales Parkway site for the purpose of constructing a water tower and moving the IDOT roadway maintenance facility from the Farm Colony to the Shales Parkway site. BACKGROUND: The City Council previously approved the Shales Parkway site as the location for a new water tower site. The Elgin Development Corporation has agreed to fund the purchase of the water tower site and adjoining land for relocation of IDOT's road maintenance facility, in consideration of IDOT's release of its interest in the Farm Colony property which is owned by the Elgin Development Corporation. In the event that IDOT interest in the Farm Colony has not been conveyed to the city and by the city to the Elgin Development Corporation, the city is obligated to repay the sum of $528,500 to the Elgin Development Corporation, with interest. The city has entered into an agreement with IDOT whereby the city would make certain improvements in the Shales Parkway site to enable IDOT to vacate the Farm Colony at an estimated out -of- pocket cost of $103,000. IDOT has agreed to exchange the Farm Colony site for the Shales Parkway property. In order to provide access to the Shales Parkway site, Commonwealth Edison has delivered a grant for a public roadway and subsurface facilities and has waived its usual fee of $1,000. The owner of the Shales Parkway site has agreed to sell the property to the city for the sum of $528,500 to be paid from funds obtained from the Elgin Development Corporation. Mayor and Members of City Council -2- October 17, 1991 FINANCIAL IMPACT: None beyond the cost of improvements on behalf of IDOT. RECOMMENDATION: It is recommended that the City Council pass appropriate resolutions for the following purposes: 1. Authorize a real estate purchase contract with Leo Leichter for the Shales Parkway property. 2. Authorize an agreement with the Elgin Development Corporation. 3. Rice, City Manager Attachment (Sixth Draft 9/12/91) LEICHTER.E REAL ESTATE SALES CONTRACT This Agreement made this ". day of < `, <,- 1991 by and between Leo Leichter, hereinafter referred to as Seller, and the City of Elgin, an Illinois municipal corporation, hereinafter referred to as Purchaser, as follows: 11 Purchaser agrees to purchase at a price of $528,500.00 on the terms set forth herein the following described real estate in the City of Elgin, Kane County, Illinois: See Exhibit A attached hereto and made a part hereof 2. Seller agrees to sell the real estate and the property, if any, described above at the price and terms set forth herein, and to convey or cause to be conveyed to Purchaser or nominee title thereto by a recordable warranty deed, with release of dower and homestead rights, subject only to: (a) public and utility easements and roads and highways, if any; (b) special taxes or assessments for improvements not yet completed; (c) general taxes for the year 1989 and subsequent years; (d) right -of -way for existing drainage tiles, ditches, feeders, and laterals; (e) Ordinance T7 -75 recorded March 27, 1975, as Document 23033771 made by City of Elgin establishing fees for the connection and use of certain water main improvements; (f) ordinance apportioning the cost of the construction of a sanitary sewer known as the Poplar Creek - Lovell Road Sanitary Sewer Extension among those who may elect to hook on and utilize such sanitary sewer facilities in the future recorded August 30, 1979, as Document 25125758, if applicable. (g) Easement recorded on December It 1981 as Document 26074082 to Elgin National Bank Trust 310, 39 Purchase price shall be paid at closing. 4. Closing shall be on or before October 15, 1991 at the office of the Corporation Counsel of the City of Elgin, a title company or escrow agent, or as agreed upon by the parties. 5. Possession shall be given to Purchaser immediately following closing. Seller agrees to deliver possession of the property free of all leases, tenants and occupants, in the same condition as it is at the date of this contract, ordinary wear and tear excepted, and to remove all debris from the premises by the date of possession. -2- 6. General real estate taxes (based upon tax assessor's latest valuation and latest known tax rate), water taxes, and proratable items shall be prorated to the date of closing. All prorations are final unless otherwise provided herein. 7. Seller, at his own expense, shall furnish to Purchaser the following Documents to evidence the condition of Seller's title: A. A commitment for title insurance for the real estate issued by a title insurance company licensed to do business in the State of Illinois, bearing date on or subsequent to the date hereof, in the amount of the purchase price and showing title in the intended grantor, subject only to the general exceptions contained in the policy, exceptions set forth in Paragraph 2 above and exceptions pertaining to liens or encumbrances of a definite or ascertainable amount which may be removed by the payment of money at the time of closing to the intended grantor. Such title commitment report shall be conclusive evidence of merchantable title, except for matters not covered or insured thereby. B. Affidavit of title C. Recordable stamped General Warranty Deed (or other appropriate deed if title is derived from a fiduciary), subject only to title exceptions stated above, including release of Homestead rights. -3- S. If the evidence of title discloses unpermitted exceptions, Seller shall have 30 days from the date of delivery thereof to have the exceptions removed from the commitment or to have the title insurer commit to insure against loss or damage that may be occasioned by such exceptions, and, in such event, the time of closing shall be 35 days after delivery of the commitment or the time specified in Paragraph 4, whichever is later. If Seller fails to have the exceptions removed, or in the alternative, to obtain the commitment for the title insurance specified above as to such exceptions within the specified time, Purchaser may terminate this contract or may elect upon notice to Seller within 10 days after the expiration of the 30 -day period, to take title as it then is with the right to deduct from the purchase price liens or encumbrances of a definite or ascertainable amount. If Purchaser does not so elect, this contract shall become null and void without further actions of the parties. 91 The provisions of The Uniform Vendor and Purchaser Risk Act of the State of Illinois shall be applicable to this contract. 10. At the election of Seller or Purchaser upon notice to the other party not less than 5 days prior to the time of closing, this sale shall be closed through an escrow with the lending institution or a trust company licensed to do business in the State of Illinois ( "escrowee ") in accordance with the -4- general provisions of the usual form of deed and money escrow agreement then in use by the escrowee. The escrow shall provide for immediate payout of funds, provided there is simultaneous issuance of policy of insurance, along with such special provisions inserted in the escrow agreement as may be required to conform with this contract. Upon the creation of such an escrow, anything herein to the contrary notwithstanding the payment of the purchase price and delivery of deed and other title Documents set forth in Condition 3 above shall be made through the escrow, provided that Purchaser shall, in addition, deposit in the escrow a Quit Claim Deed to Seller reconveying the subject real estate. The cost of the escrow, if any shall be divided equally between the Seller and Purchaser. 11. Seller warrants that Seller, its beneficiaries, or agents of Seller or its beneficiaries, have received no notices from any city, village or other governmental authority of zoning, building, fire or health code violations in respect to the real estate that have not been heretofore corrected. 12. All agreements, representations and warranties made herein shall be deemed to be remade on the closing and shall survive the closing. 13. Time is of the essence of this contract. 14. All notices herein required shall be in writing shall be served, unless otherwise provided, on the parties -5- personally or by certified or registered mail (return receipt requested). Notices shall be deemed given on the date of actual receipt. The singular shall include the plural, whenever appropriate, and the masculine shall include both feminine and neuter. 15. It is expressly understood and agreed that this contract is entered into in lieu of, and under threat of, eminent domain. 16. Purchaser shall cause a screening fence to be constructed in a neat and orderly appearance; said fence to be erected on the purchaser's northerly and westerly boundaries with the seller's retained property lying northerly and westerly thereof. This fence shall be for the purpose of providing a visual screen of the activities and improvements on the real estate. The deed of conveyance shall include this obligation and shall provide that the maintenance of said fence shall run with the land and be binding on successors and assigns and shall further provide for recovery of attorneys fees in the event it becomes necessary to enforce the maintenance provision. 17. Seller agrees to release all of seller's interest in the easement recorded as Document 26074082 which affects the .14 acre owned by Commonwealth Edison. This obligation of seller to release its easement rights over the .14 acre parcel -6- shall be contingent upon the occurrence of a dedication of the .14 acre parcel as a public right -of -way. 18. Purchaser shall be obligated to carry out the dedication of the .03 acre parcel conveyed hereunder as a public right -of -way within 120 days of the closing of the real estate pursuant to this real estate sale contract; and 19. Seller hereby waives any right to reimbursement or recapture which he is entitled to pursuant to the City of Elgin Ordinance T5 -79 recorded as Document 25125758.
