AUTHORIZING EXECUTION OF AN AGREEMENT WITH
THE ILLINOIS DEPARTMENT OF TRANSPORTATION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that George VanDeVoorde, Mayor, and Dolonna Mecum,
City Clerk, be and are hereby authorized and directed to
execute an agreement on behalf of the City of Elgin with the
Illinois Department of Transportation for the purpose of
delineating the rights and responsibilities of the parties
relevant to the transfer of certain property located in the
City of Elgin, a copy of which is attached hereto and made a
part hereof by reference.

MEMORANDUM
TO: Mayor and Members of the City Council
FROM: Larry L. Rice, City Manager
SUBJECT: Agreement for Transfer of Property - IDOT
Farm Colony/Shales Parkway
PURPOSE: This memorandum will provide the Mayor and Council
with information to consider authorizing an agreement with the
Illinois Department of Transportation (IDOT) regarding certain
responsibilities pertaining to the transfer of properties.
BACKGROUND: The City of Elgin (Elgin Development Corporation)
e""' acquired for development 143.7 acres of land from U-46 that lies
in the northeast quadrant of McLean Boulevard and Bowes Road.
Included in that parcel is 3.5 acres of land owned by IDOT and
used for roadway maintenance purposes. In order to develop the
property, the City must obtain the parcel of land from IDOT.
The way to accomplish that is to find property on the east side
of Elgin and trade that property for the parcel located east of
McLean.
The City has found a suitable site for IDOT (they concur) which
is adjacent to the water tower site to be acquired on the east
side of Shales Parkway and the Commonwealth Edison right of way
and north of Sheldon Manufacturing. The City is negotiating for
and is about to obtain, an easement for public purposes across
the Commonwealth Edison right of way. The City also needs an
agreement with IDOT, a copy of which is attached, to cover the
transfer of property and other responsibilities that will make
the proposed IDOT site suitable from which to provide necessary
roadway maintenance activities . The responsibilities to be
performed by the City of Elgin include providing utilities
(water, sewer, gas, electricity, telephone) , earthwork,
spreading gravel for base material, providing and constructing a
metal pole type building with heating and restroom facilities,
installation of an 8-foot high perimeter fence and the
construction of an access roadway ( 16 feet wide) across the
Commonwealth Edison property.

FINANCIAL IMPACT: The cost of the various items mentioned above
are: utilities $2,000, earthwork $55,000, spreading gravel
$16,000, provide and construct building $95,000, install fence
$6,000 and construct access road $6,000 for an estimated total
of $180,000. Some of the work could be performed by IDOT and
City forces such as the earthwork, spreading gravel and
constructing the access road so that the cost of the outside
work would be reduced to about $103,000. The Water Capital Fund
has budgeted for land for the new tower (which is part of the
total project area) . The Development Corporation will be
contributing the land costs, however, which frees the water
funding for this portion of the project.
RECOMMENDATION: It is recommended that the City Council
authorize the Mayor and City Clerk to execute the agreement with
IDOT for the transfer of the properties and direct the staff to
prepare the necessary specifications and bid documents for the
purchase and construction of the metal building and for the

installation of the fence, and receive bids for City Council
consideration and award.

AGREEMENT
This AGREEMENT, entered into this 24 day of
SerIVIVIe rz , 1991, between the DEPARTMENT OF TRANSPORTATION OF THE
STATE OF ILLINOIS, hereinafter referred to as DEPARTMENT, and
the CITY OF ELGIN, hereinafter referred to as CITY, is for the
purpose of delineating the rights and responsibilities of
parties relevant to the transfer of certain properties located
in the City of Elgin.
WHEREAS the DEPARTMENT has an interest in and utilizes a
parcel of property of approximately 3.5 acres in the vicinity of
Elgin State Hospital (see EXHIBIT "A") and the CITY owns a
parcel of property of approximately 3.02 acres in the vicinity
of Shales Parkway (see EXHIBIT "B") , and
WHEREAS it is in the mutual best interests of the parties
that the CITY exchange its parcel of property for the
DEPARTMENT'S interest in its parcel.
NOW, THEREFORE, the DEPARTMENT and CITY agree as follows:
1. The CITY will transfer by deed all its interest in the
parcel legally described in Exhibit "B" . Prior to this
transfer, the CITY shall provide a current title commitment
showing good title in the CITY.
2. The CITY shall have the parcel desribed in Exhibit "B"
surveyed and will provide a legal description and plat of
survey along with having property pins placed by a
Registered Land Surveyor.

3 . The CITY will furnish to the property described in
Exhibit "B" all normal water, gas, sewer services, and 200
amp electrical service.
4 . The City shall be responsible for site preparation in
accordance with the DEPARTMENT'S site plan and instructions
(attached to and made part of this AGREEMENT as Exhibit
"C") . The CITY shall be responsible for the excavation,
removal, and disposal of approximately 11,000 cubic yards of
dirt currently distributed and compacted on the site. The
CITY shall also be responsible' for the spreading and
compacting of approximately 16,000 tons of granular
material, supplied by the DEPARTMENT, in accordance with the
site plan. These quantities could vary depending on the
depth of the top soil and the final grade of the stoned area.
5. The CITY will furnish a 60 ' x 54 ' building equivalent to
or similar to a Morton type building.
6 . The CITY shall erect an 8' high perimeter fence with slats
(including three strands of barbed wire on top and a 24 '
cantilever roll gate) surrounding the parcel described in
Exhibit "B" using material supplied by the DEPARTMENT.
7. The CITY shall obtain right of way for an access road for
the parcel described in Exhibit "B" for public purposes
across Commonwealth Edison property.

8. The CITY shall construct an access roadway of suitable
granular base and asphalt surface extending from Shales
Parkway to the fence referred to in Paragraph 6 .
9 . The CITY shall obtain any necessary permits required
from any pipeline owners for any pipeline crossed by the
access roadway referred to in Paragraph 8.
10. The CITY will permit the DEPARTMENT to store uncovered
salt at its sole discretion on the site.
11. The CITY will not post truck weight limits on Shales
Parkway that will detrimentally affect the DEPARTMENT'S use
of the property.
The DEPARTMENT'S obligations under this agreement are as
follows:
1. The DEPARTMENT shall furnish and deliver the granular
material referred to in Paragraph 4 of the CITY'S
obligations .
2. The DEPARTMENT shall provide the CITY with the materials
required to erect the perimeter fence referred to in
Paragraph 6 of the CITY'S obligations, which fence will be
maintained by the DEPARTMENT.
3. The DEPARTMENT will provide to the CITY a properly executed
Quit Claim Deed relinquishing all its rights and interests
to the parcel described in Exhibit "A" , including the
buildings, fence, and any other improvements on the site.

All obligations under this AGREEMENT shall be completed
by May 1, 1992 . The DEPARTMENT agrees to vacate the parcel
described in Exhibit "A" by May 1, 1992 .
If any portion of this AGREEMENT is held by a court of
law to be invalid, all other portions of the AGREEMENT shall
remain in force, unless either the CITY or the DEPARTMENT
gives written notice of its intent to void this AGREEMENT
within 30 days of such a decision.
The CITY shall furnish to the DEPARTMENT a certified copy
of the minutes of the City Council meeting approving this
AGREEMENT.

Building Specifications
1. Building to be 60 ' x 54' and insulated. Attached is
information on a building manufactured by Morton Builders.
I . A 6" reinforced concrete floor constructed
of 5% - 8% air entrained concrete, tined
towards the floor drains. NO sealer.
II. A continuous trough floor drain system,
draining into a triple manhole system and
connected to sewer system.
III . A minimum 4' approach slab with 4" steel
post to protect door corners.
IV. Seamless aluminum rain gutters with
downspouts.
V. No exterior windows.
VI. Two 22 ' x 14' insulated overhead doors with
electric door openers.
VII . Minimum interior lighting.
VIII . Heating sufficient to keep building heated
above 50 degrees at all times (gas furnaces
to be all of the same type and brand
throughout) .
IX. Washroom facilities including at least one
toilet and sink .
X. Hot water service to the truck storage area
and washroom.
XI . Ceiling fans in the truck storage area for
circulation.
