HomeMy WebLinkAbout87-0528 PIMS Chicago Aerial Survey 21-'05A Elgin PAGE 1 AGREEMENT PARTIES This Agreement is made between Chicago Aerial Survey (CAS) , an Illinois corporation having its principal place of business at 2140 Wolf Road, Des Plaines , Illinois 60018, and the City of Elgin, Police Department (Customer) , 150 Dexter Court , Elgin, Illinois, 60120, a user of the Police Information Management System (PIMS) operated by the Illinois Criminal Justice Information Authority. DEFINITIONS As used throughout this Agreement , the following terms shall have the meaning set forth below. 1 . "CAS" means Chicago Aerial Survey. 2 . "Customer" means the City of Elgin, Police Department . 3 . "the Authority" means the Illinois Criminal Justice Information Authority. 14 . "Subject Data" means all recorded information collec- ted and developed under this Agreement, regardless of the form in which they are stored or tabulated. The term does not include financial reports and similar information related to the administration of this Agreement . 5 . "Ancillary Products" means original computer programs , sound recordings, pictorial reproductions, drawings or other graphical representations, and other works of any similar nature produced as a result of activities supported under this Agreement . 6 . "Source Material" means annotated maps , marked with political and geocode boundaries and address ranges, as well as street listings and any other documents supplied by the Customer that will be used by CAS in the process of producing the product . STATEMENT OF WORK CAS will develop a Geographic Base File (GBF) for the area described in Exhibit A, attached hereto and made a part hereof, in accordance with the terms and conditions of this Agreement, and the specifications shown on Exhibit A attached hereto and made a part hereof. Customer agrees to accept the GBF under the terms and conditions of this Agreement . Elgin PAGE 2 WORK PRODUCT CAS shall deliver to Customer on or before September 30 , 1987 , a GBF that meets the specifications set forth in Exhibit B to this Agreement . The delivery date can be extended by the Customer at the sole discretion of the Customer. The Customer shall accept the GBF after determining that the GBF meets the specifications detailed herein. Upon request by Customer, the Authority may evaluate the GBF, and CAS agrees to cooperate fully with the Authority to assist in the evaluation. In the event that the GBF does not meet said specifications , CAS shall have fifteen (15) days from receipt of the notifica- tion from the Customer to correct records that do not conform. In the event the defects are not corrected within fifteen (15) days Customer may, at its discretion, either terminate this Agreement in accordance with the provisions contained herein without any obligation of the parties to one another, or Customer may accept the product by paying CAS a reasonable fee for the work completed. TITLE Title to the GBF shall pass to the Customer at the time of ac- ceptance of the GBF by the Customer regardless of when the Customer takes physical possession. CAS will retain no proprietary rights in the GBF after acceptance by Customer. CAS shall indemnify Customer for any loss, damage, expense or liability that may result by reason of any infringement, or claim of infringement , of any United States patent, trademark or copyright based on the normal use of the services provided hereunder, except where such infringement or claim arises sole- ly from CASs' adherence to Customers' written instructions or directions or the utilization of Source Material. Customer shall indemnify CAS in the same manner in the event such loss , damage, expense or liability results from adherence to Customers written instructions or directions or the utilization of Source Material. Each party shall defend or settle, at its own expense, any ac- tion for which it is responsible hereunder. Each party shall notify the other promptly of any claim of infringement for which the other is responsible and shall cooperate with the other in every reasonable way to assist the other with the defense of any such claim. CAS warrants that the title to the GBF is marketable to the ex- tent that title to the GBF is good and free from any liens or encumberances . WARRANTIES Elgin PAGE 3 CAS also warrants that the GBF will operate in accordance with the specifications, that the GBF will be compatible with exist- ing hardware and software specified in this Agreement and that the GBF will be adequate to meet the specific use stated in Exhibit B of this Agreement . PRICE WARRANTY CAS warrants that the price charged Customer herein is equal to or less than the net price currently charged (after the most favorable discount) to any other customer for a work product of identical or comparable nature. PAYMENT Six Thousand Six Customer shall pay CAS Hundred Fifty and no/1003011arS ($6 ,650 ) in accordance with the following payment plan: 1 . Upon completion by vendor of phase u set out on page 5 of Exhibit B attached herein the customer shall pay the vendor 50% of the total cost of this contract . 2 . Upon completion by vendor of phase 6 set out on page 6 of Exhibit B attached herein the customer shall pay the vendor 40% of the total cost of this contract . 3 . Upon completion by vendor of phase 8 set out on page 6 of Exhibit B attached herein the customer shall pay the vendor 10% of the, total cost of this contract . No other costs shall be charged to the Customer unless authorized in writing by the Customer. MODIFICATIONS AND AMENDMENTS Modifications to the specifications set forth in Exhibit B to this Agreement may be made by Customer (provided such modifica- tions are technically feasible) at any time upon seven (7) days notice to CAS. CAS agrees to implement any modification that may be requested by Customer, for reasonable additional compen- sation, upon receipt of the modifications . TERMINATION FOR DEFAULT OR CONVENIENCE OF USER The performance of work under this Agreement may be terminated in whole or in part by the Customer in accordance with this clause: (a) Whenever CAS shall default in performance of this Agreement in accordance with its terms (including within the term "default" any such failure by CAS to make progress in the work hereunder) and shall Elgin PAGE 4 fail to cure such default within a period of fifteen (15) days (or such longer period as Customer may allow) after rece,ipt from Customer of a notice specifying the default, or (b) Whenever for any reason Customer shall determine that such termination is in the best interest of the Customer. Any such termination shall be effective by delivery to CAS of a Notice of Termination specifying whether termination is for default of CAS or for the convenience of the Customer, the ex- tent to which performance of work under the Agreement is ter- minated and the date on which such termination becomes effec- tive. If, after Notice of Termination of this Agreement for default under paragraph (a) above, it is determined for any reason that CAS was not in default pursuant to paragraph (a) or that CAS' s failure to perform or make progress in performance is due to causes beyond the control and without the fault or negligence of CAS, the Notice of Termination shall be deemed to have been issued under paragraph (b) , and the rights and obligations of the parties hereto shall in such event be governed accordingly. In the event this Agreement is terminated for the convenience of the Customer, then upon delivery to Customer by CAS of the work completed to date of termination, and upon acceptance by Customer of such work completed, Customer shall pay CAS a reasonable fee for the work completed. After receipt of a Notice of Termination and except as otherwise directed by the Customer, CAS shall stop work under the Agreement on the date and to the extent specified in the Notice of Termination, com- plete performance of such part of the work as shall not have been terminated by the Notice of Termination, and transfer title to the Customer and deliver as directed by Customer, work in progress , completed work, subject data, ancillary products and other materials produced as a part of, or acquired in respect of the work product and complete or partially complete plans , drawings, information and other property which, if the Agreement had been completed, would be required to be furnished to the Customer. RIGHTS IN DATA The Customer shall have the right to use, duplicate and dis- close, in whole or in part , in any manner for any purpose what- soever and have others do so, the subject data and ancillary products produced in the performance of this Agreement and required to be furnished to the Customer. CAS agrees not to assert any rights at common law or equity in subject data or ancillary products required to be furnished to the Customer in performance of this Agreement . Elgin PAGE 5 DISPUTES In the event a dispute regarding the terms , of the Agreement is not resolved within thirty ( 30) days , the Customer and CAS shall submit the dispute to non-binding arbitration for resolution. This computer file will consist of one record for each directed straight line segment representing certain geographic surface features or geopolitical boundaries . Each record will contain end point coordinate information and geopolitical information describing the areas adjacent to the right and left side of the line segment . Census GBF/DIME files require that one side ( left or right) of each street contain odd addresses and the other side contain even addresses; that same convention applies here. The features to be included will be: all vehicular thoroughfares , railroads, shorelines of lakes and rivers, and political boundaries for municipal borders , police beats, police sub-beats and two geopolitical areas to be specified by the user. The information to be included on each record is as follows : 1 . From segment end point in State Plane Coordinates . 2 . To segment end point in State Plane Coordinates . 3 . Low address right - Lowest address on right side of line segment . U.S Post Office addresses used when applicable; Assigned address-like location identification for some non- street features (i .e. sections of railroads and rivers) which will be provided to Vendor by User, or its designated repre- sentative, The Authority. Zero for all other non-street features . 4 . High address right - Highest address on right side of line segment . Acceptable directions are: N, S, E, W, NE, NW, SE and SW. b . Line segment feature name- Alphanumeric descriptor for the line segment . c . A street type abbreviation - See Appendix to this Exhibit , incorporated herein, for the more commonly used street type ab- breviations which are acceptable . 8 . Geocode 1 right - Reporting Districts number contiguous with the right side of line segment . 9 . Geocode 1 left - Reporting Districts number contiguous with left side of line segment . 10 . Geocode 2 right - Block number contiguous with right side of segment . 11 . Geocode 2 left - Block number contiguous with left side of line segment . 12 . Geocode 3 right - Beat number contiguous with right side of line segment . 13 . Geocode 3 left - Beat number contiguous with left side of line segment . 14 . Geocode 4 right - Sub-beat number contiguous with right side of line segment . 15 . Geocode 4 left - Sub-beat number contiguous with left side of line segment . Items 16 through 20 are special feature codes - to be assigned a "1" if the description applies to a line segment and a "0" if the description does not apply to the line segment . 16 . DISPOSITION OF SOME NON-ADDRESSED FEATURES Certain currently unaddressed features will be fitted with ad- dress like location identifiers using either ranges conforming to an external grid system superimposed on the municipality or addresses from addressed thoroughfares in close proximity to said features . For example, railroad tracks on which there is considerable activity can be given address ranges conforming to an external grid system. Such information will be provided to Vendor by User or its designated representative, The Authority. Addresses given to these special features will conform the the syntax of regular thoroughfares (e.g. , address range, direction (if required) , name, type) . SPECIFICATION OF GEOPOLITICAL BOUNDARIES The precise boundaries of relevant geopolitical areas (e.g. , fire districts, beats, and sub-beats) will be provided to the Vendor by a designated representative of the police department . In any questions regarding the location of these boundaries the User' s designated agent , The Authority will be the final arbiter. USES OF THE WORK PRODUCT The ability to generate a complete street level map composed of directed line segments which represent vehicular thoroughfares , railroads, shorelines of lakes and rivers and political boun- daries on which the location of incidents can be plotted. This file will be used programatically ( i.e. , non-graphically) to create an intersection file and perform other line segment processing tasks . For this reason it is necessary that all meeting and/or intersecting line segments be "snapped" to en- sure that they share coordinates in the processed version of the file.
